1 General
The National Park Deng Deng (PNDD) was created in 2010 in the context of the development of two major infrastructure projects: the Chad-Cameroon oil pipeline (PPTC) and the Lom Pangar hydroelectric dam project (PHLP).
The Government of Cameroon is preparing, with the support of the French Development Agency (AFD), a project to set up and operationalize a governance and sustainable management entity of the Deng Deng National Park, guaranteeing management transparent financial income generated by the water rights of the Lom Pangar hydroelectric dam (BHLP). The Government of Cameroon is seeking funding from AFD to make the PNDD a pilot site for developing a public-private partnership (PPP). This approach is part of the national forest-wildlife sector strategy and is part of a regional development strategy for PPPs for protected areas (PPP-AP).

2 The project
AFD finances the implementation of the Environmental and Social Management Plan (ESMP) of PHLP. One of the components of the latter "Deng Deng Forest Management" includes the sub-component "Management of Deng Deng National Park".
The objectives of this component are as follows:

- Constitute a proportional offset compensation for the natural habitats destroyed by the PHLP project, especially the natural habitats flooded by the reservoir. Achieving this objective requires sufficient protection of the Park's ecosystems and biodiversity, including strict control of agricultural encroachments, illegal logging, or poaching within the Park's boundaries.

- Servicing the gorilla population of the Deng Deng Forest Massif (and its chimpanzee population), which is adjacent to the dam construction site, access roads, and a portion of the transmission line. The portion of the Deng Deng forest area that is home to the gorillas is a critical natural habitat within the meaning of World Bank OP 4.04, and therefore can not be significantly altered or degraded by the project.
The PNDD is located at the northern edge of the dense rainforest of the Congo Basin. It is located 260 km from Yaoundé as the crow flies and is located in the Administrative Region of Eastern Cameroon.
The PNDD was officially created by Decree No. 2010/0482 / PM of March 18, 2010 on an area of ??52, 300 ha following public consultations conducted between 2008 and 2009. It was extended by Decree in 2013 bringing the area of ??the park at 68.200ha. This decree also created a wildlife migration corridor of 2.112 ha, located between the PNDD and the FMU 10.065. The park does not have a legal buffer zone.
The main conservation issues of the PNDD are:

The purpose of the project "Innovative mechanism for sustainable financing of the Deng Deng National Park mobilizing the payment of water rights in the context of a public-private partnership" is to make operational an assembly in the form of public-private partnership between the State and a provider to be recruited who, on the one hand, ensures an effective management of the PNDD and its periphery and, on the other hand, guarantees a transparent management of the financial income generated by the water rights of the PHLP.
The project will intervene on two distinct but complementary levels:

• support for the development of a contractual relationship between the State and a private (non-profit) operator including the establishment and operation of a governance and training structure; management of the PNDD;

• support to the operational management of the PNDD.
Two specific objectives are assigned to the project:

a) to establish and facilitate the functioning of the governance and management structure of the PNDD;

b) maintain the good state of conservation of the PNDD by facilitating the operational management of the PNDD.
To meet these objectives, the project will be organized into three operational components and one support component:

• Component 1: Legal and Operational Engineering.

• Component 2: Investments.

• Component 3: Priority Activities.

• Component 4: Management & Capitalization.
3 Scope of the mission
The service provider will be responsible for implementing components 1 and 4 of the project.
3.1 Component 1 (Component 1 of the project)
• Activity 1: Awareness of institutional actors on the relevance of developing a PPP for the benefit of the PNDD:

- define and implement a strategy to raise the awareness of institutional actors, technical and financial partners and the public at the PPP-AP;

- organize and participate in a study tour between MINFOF, EDC and a host country that has already implemented PPP solutions for conservation management.
• Activity 2: Definition of the key principles of the PPP governing the PNDD:

- the governance of the PPP;

- budget allocation by major class of charge;

- the managerial modalities;

- accountability;

- geographical limits of intervention;

- the priority actions expected.
• Activity 3: Identification of the PPP legal framework:

- Identify the most relevant legal framework with regard to the possibilities offered by Cameroonian law and / or the Ohada framework, and consistent with the charters or rules of the main actors of this sector.
