European tender procedure negotiated pursuant to Legislative Decree no. 50/2016 and s.m.i., carried out in telematic mode, for the assignment of the ICT services of government and application / operational management of the systems, of safety logosca, conduction of hardware infrastructures and provision of IAAS and PAAS services to support the systems, including any supply of specific technological assets. This procedure is organized by Ferservizi on its own behalf, in the name and on behalf of Trenitalia S.p.A., Ferrovie dello Stato Italiane SpA, Italferr S.p.A., Ferroviaria Italiana S.p.A., as well as on behalf of Ferrovie del Sud EstS. Automobile Services, FS Sistemi Urbani S.r.l., Grand Stazione Rail S.p.A., Nugo S.p.A., Busitalia Sita Nord S.r.l., Mercitalia Rail S.r.l., Mercitalia Logistics S.p.A., Mercitalia Intermodal S.p.A., Mercitalia Shuntingrat and training, in particular:

1) i (CPV 72253000) to which the HelpDesk sub-services refer,

2) i (CPV 72510000) to which the sub-departments refer to:

- management and application management, understood as the management of applications in operation in compliance with the established service objectives,

- governance and management of processes in the Service Design, Service Transition, Service Operation,

- management of the system and application management service,

- Disaster Recovery and Business Continuity service;

3) i (CPV 72263000) to which the management and configuration sub-services of the testing environments refer; pre-certification, certification, training, production and integration;

4) i (CPV 72310000) to which the sub-departments refer to:

- governance of-logical security services,

- IT security management.

5) i (CPV 72228000) to which the subservices refer to:

- management of infrastructure services to support applications,

- system management and maintenance of IT infrastructures,

- design, implementation of IT infrastructures,

- Service Orchestration on IAAS, PAAS.

6) i (CPV 72150000) to whichthe sub-services of:

- Housing / hosting of the elaboration systems and of the connected central and distributed technological and security infrastructures,

- supply IAAS, PAAS;

7) i (CPV 72710000) to which the sub-services of management and operation of local networks;

8) i (CPV 72720000) to which the WAN management and management sub-services and Internet networks refer.

-signed with the successful tenderer will have a duration of 72 (seventy-two) months, starting from the date of signing of the same, and a maximum amount of EUR 894 150 000.00 (EUR eight hundred and ninety-four million, one hundred and fifty thousand / 00), as .

The contracting authority reserves the option of renewal - through the stipulation of one or more acts - at least to the sameconditions for a further maximum of 24 (twenty-four) months and a further maximum of EUR 345 950 000 (EUR three hundred forty-five million, nine hundred and fifty thousand / 00) excluding VAT, as specified in more detail.

With reference to the maximum amount of the framework agreement and / the renewal / s it is specified that the contractor will have nothing to claim for any reason - in view of theions not requested and consequently not rendered during the execution of the framework agreement - in the event that at the time of expiration of the latter, the maximum amount of the same has not been consumed and any amount of benefits up to the moment requested . The services object of this procedure, expected the peculiarity of the same, are part of the larger and more completessi ICT services of the Ferrovie dello Stato Italiane Group for which, in order to ensure maximum participation (in terms of the requirements for participation in terms of technical and financial stability), a strategy of acquisition through the call for more tender procedures for each type of service. In light of the above, the services ogThis contract has not been broken down into functional / performance batches.

Participation in this tender is only permitted in electronic form. In this regard, interested parties are required to produce on the Purchasing Portal of Ferservizi S.p.A. (hereinafter, for brevity), all the documentation required for the purposes of participation, under penalty of admissibility of the-itself, by filling in the fields in the digital envelope on the Portal and in accordance with the facsimiles, the latter available in the reserved area of the Portal, at the Internet address www.acquistionlineferservizi.it accessible upon registration.

Requirements required under penalty of exclusion:

a ) entry in the Register of the Chamber of Commerce, Industry, Crafts and Agriculture or in the registro of the provincial commissions for the handicraft, or near the competent professional orders, if Italians or resident in Italy; in one of the professional or commercial registers referred to in Annex XVI of Legislative Decree No. 50/2016, if coming from other countries of the Union without residency in Italy; in any case, from these registers it should be clear that the company performs activities in the sector to which the contract is basedi); b) possession of the general requirements identified in accordance with the provisions of art. 80 of Legislative Decree 50/2016;

c) possession - exclusively in the case of participation in the tender of an economic operator resident in a country falling within the so-called - of the authorization ex D.M. 14.12.2010 (published in GURI 25.2.2011 No. 46) or as an alternative possession of the request of the aforementionedsubject to authorization pursuant to art. 4 of the aforementioned decree.

In the case of a business meeting (Temporary Grouping of Companies - RTI - / consortia / European Economic Interest Group - EEIG - pursuant to Article 45, paragraph 2, letter e), of Legislative Decree no. Lgs. N. 50/2016) the requisites as per the previous letters a), b) and possibly c) must be owned by each economic operator participating in the meeting.ssa.

In the case of consortia pursuant to art. 45, paragraph 2, lett. b) and c) of Legislative Decree no. 50/2016, the requirements referred to in letters a), b) and c) above must be held by the consortium and by all the associated economic operators named executors and declared by the latter at the time of their designation. single / mandatary-group economic operator-of an RTI / consortium will have to make the declarations referred to in letters a), b) and c) if necessary by completing the facsimile attached to the document.

The mandating economic operators and the consortium members (in the case of RTI and consortiums respectively) must make the declarations referred to in letters a), b) above and c) if necessary by completing the facsimile aAttachment 2 to the document.

The declarations referred to in the facsimiles above must be digitally signed by the subjects who render them.

Regarding the requirement of the previous letter a) it is specified that a copy of the certificate being validated must be attached or alternatively a declaration made pursuant to Presidential Decree 445/00 containing the chamber data and drafted in accordance withfacsimile attached to the document.

In order to allow maximum participation but at the same time have guarantees regarding the reliability of the Competitor and required, under penalty of exclusion, the possession of a turnover in the business sector to the extent indicated as. In the case of a business meeting (RTI / EEIG / consortia pursuant to Article 45, paragraph 2, letter e) of Legislative Decree No. 50/2016) the valueof the requested turnover, regardless of the share of participation / execution declared, must be held for at least 40% by the mandator-group economic operator and each mandating economic operator must possess at least 10% of the cumulative requirement so that, in any case, the requirements thus summed up, held by the combined economic operators meet up to l'total amount required. It is understood that the agent must in any case possess the majority requirements.

In the case of consortia pursuant to art. 45, paragraph 2, lett. b) and c) of Legislative Decree 50/2016, the aforementioned requirement must be possessed by the consortium itself.

The single economic operator / economic operator mandatary-parent company of an RTI / consortium shallthe declaration referred to in the subsequent letter a) by completing the facsimile attached to the document.

The mandating economic operators and the consortium members (in the case of RTI and consortiums respectively) must make the declaration referred to in the following letter. (a) by completing the facsimile attached to the document.

The declarations referred to in the above-mentioned facsimiles shall bedigitally processed by the parties that make them.

1) the procedure will be carried out in telematic mode on the Portal, at the website: www.acquistionlineferservizi.it where, together with this call for tenders, the document governing: the registration modalities Portal for participation, certification of requirements, subcontracting and explicit general terms and conditionsthat will be applied; no applications for participation presented in a manner other than the telematic one on the Portal are allowed;

2) all the required documentation must, under penalty of admissibility, be written in Italian or with an attached translation in that certified language conforming to the foreign text by the competent representation diplomatic or consular or by a translator officesale;

3) all files attached to the Portal (scanned documents and / or documents) must be digitally signed, under penalty of exclusion, by the legal representative of the competing economic operator or attorney with appropriate powers; in this case, if the petitioner's powers do not result from the certificate of registration with the Chamber of Commerce, Industry, Crafts and Agriculture (CCIAA), must be inserted in Portale, under penalty of exclusion, suitable documentation signed digitally, certifying that the signer of the tender documentation and equipped with the necessary powers to definitively commit the competitor; in the case of RTI or a consortium already established in the documentation, an irrevocable collective mandate with representation withinjured to the mandator or the consortium's deed of incorporation; in case of non-attachment, the documentation must be digitally signed by the legal representatives of all the economic operators gathered or associated,

4) the timeliness of the application for participation will be certified by the Portal;

5) Ferservizi S.p.A. in the cases referred to in art. 110, paragraph 1, of Legislative Decree 50/16 reserves thefaculty to scroll the ranking of the competition, it being understood that the eventual subsequent assignment will take place at the conditions proposed in the tender by the subject requested for the same;

6) pursuant to art. 13 and 14 of Regulation (EU) 2016/679, the personal data of the employees of the companies, acquired directly or indirectly in the phase of assignment and execution of the framework agreement, will come betweentaken in accordance with the detailed procedures in the; 7) responsible for the procedure for the awarding phase, pursuant to art. 31, co. 10, of Legislative Decree 50/2016, and Paolo Fratoni di Ferservizi S.p.A .; responsible for the procedure for the execution phase and the pro-tempore manager of the central Innovation and Information Systems Directorate of Ferrovie dello Stato Italiane S.p.A.,

8) pursuant to art. 83, co.-9 of Legislative Decree 50/16, the shortcomings of any formal element of the application, with the exclusion of those relating to the technical and economic offer, can be remedied through the preliminary investigation procedure. In relation to the modalities and terms of regularization, please refer to the; in case of unnecessary completion of the regularization period the competitor is excluded from the race;

9) possiblequestions or clarifications may be requested, in Italian, through the Portal no later than 19.10.2018 hours 13: 00;

10) the use of subcontracting and admitted ex art. 105 of Legislative Decree 50/2016; the competitor must indicate during the offer the willingness to use the subcontracting institute as better specified in the document;

11) this procedure does not involve thecontracting authority, and in no case the competitors, including the successful tenderer, will be entitled to any reimbursement for failure to complete the procedure.
