Assignment Title: TRANSACTION ADVISORY SERVICES FOR THE EXPANSION AND PRIVATISATION OF THE SOAPBERRY WASTEWATER TREATMENT PLANT IN JAMAICA

The Development Bank of Jamaica Limited, on behalf of the National Water Commission, intends to procure the services of a qualified firm or consortium of experts as Transaction Advisors to undertake a complete Business Case for the expansion and privatisation of the Soapberry Wastewater Treatment Plant (SWTP).
The Transaction Advisory Services (“the Services”)
1. The Transaction Advisory Services (“the Services”) for the expansion and privatisation of the Soapberry Wastewater Treatment Plant Project is to be implemented over a period of 20-23 months with an expected start date of April 2021. The Project will include undertaking a complete Business Case for the expansion and privatisation of the SWTP including legal, technical, financial, environmental, social and economic assessments. Following which the consultant is to assist with the execution of the recommended strategy including tendering the opportunity for private sector engagement.
2. The Development Bank of Jamaica (the Client) now invites eligible consulting firms (“Consultants”) to indicate their interest in providing the services. Interested Consultants should provide information demonstrating that they have the required qualifications and relevant experience to perform the Services. However, the description shall be limited to maximum of 30 pages- length of A4 paper. The Transaction Advisor will comprise of a team managed by a team lead. The lead advisor should be the Economist/Financial Expert. The shortlisting requirements for the Firm-s experience are:
a) At least 10 years- demonstrable experience in successfully completing PPP and Privatisation transactions including conducting financial and economic analysis of infrastructure development projects, particularly project financing of water & sewerage entities; (20 Points)
b) Minimum of 15 years- experience in implementing and completing water/sewerage projects, planning, engineering designs, distribution, and operation; (15 Points)
c) Legal and regulatory expertise with at least 10 years- experience in corporate transactions; specifically providing legal advisory services on water and wastewater infrastructure PPP and Privatisation transactions;(15 points)
d) Minimum of 15 years- financial expertise in PPP and Privatisation transactions including extensive financial modelling experience. (15 Points)
e) Experience in conducting a minimum of five (5) Environmental and Social Impact assessments for transactions; (5 Points)
f) Experience in successfully managing IPO processes, organizing offers and listing companies on the Jamaica Stock Exchange; (10 Points)
g) Demonstrable experience in undertaking business, machinery and equipment valuations including at least three (3) valuations of water or wastewater facilities (10 Points)
h) Experience with the local conditions in developing countries or similar jurisdictions. (5 Points)
i) Experience in assessing and applying climate change/resilience techniques in wastewater infrastructure (5 Points)
The minimum points required for short-listing is 70.
3. Consultants may associate with other firms to enhance their qualifications but should indicate clearly whether the association is in the form of a joint venture and/or a subconsultancy. In the case of a joint venture, all the partners in the joint venture shall be jointly and severally liable for the entire contract, if selected.
4. The attention of interested Consultants is drawn to the Public Procurement Act, 2015; which sets forth the Government of Jamaica-s policy on the procurement of goods, works and consulting services; and for related matters. In the fi rst stage interested consulting firms will be shortlisted on the basis of their experience and expertise to deliver the services detailed above.

6. Availability of Request for Expressions of Interest (REOI) document and Submission: this is an online tender where tender documents, clarifications and bids will only be made available and accepted via the Government of Jamaica Electronic Procurement Portal-GOJEP (www.gojep.gov.jm). Bidders are therefore urged to commence tender upload at least two (2) hours prior to the submission time. The GOJ will not be held liable for documents not submitted on time due to late commencement of tender upload. 7. No offline (hard copies) will be accepted and there will be no physical tender drop-off of tender documents.
- Consultants must first be registered on the Government of Jamaica Electronic Procurement System at www.gojep.gov.jm.

- REOI must be submitted online via www.gojep.gov.jm by Thursday, December 17, 2020 at 3:00 p.m. (EST).
- An online bid opening will take place on Thursday, December 17, 2020 at 3:15 p.m. (EST)
- Deadline for Clarification: All clarifications should be submitted on or before Thursday, December 10, 2020 at 3:00 p.m. (EST) via the electronic portal.
Late bids will be automatically rejected by the system.
