PROPOSED REPLACEMENT OF EXISTING DILAPIDATED ROOF OF MCWD MAIN BUILDING
TERMS OF REFERENCE
I. THE PROJECT
The project name is Proposed Replacement of Existing Dilapidated Roof of MCWD Main Building under Purchase Requisition (PR) No. 25672-001. The project involves the supply of all materials, labor, tools, and equipment for the replacement of dilapidated roof of Metropolitan Cebu Water District (MCWD) Main Building, including the necessary ridge roll, flashings and all related works as stated in this Terms of Reference and approved Plans. Completion of the Works is required within ninety (90) calendar days.
II. SCOPE OF WORK
The Work under the contract shall include the following:
A. Removal of the existing dilapidated roof, ridge roll and flashing
B. Installation of new roofing, ridge roll and flashing
C. Hauling of removed GI sheets
D. Installation of new downspouts
E. Other works as indicated in the plans and specifications
The Contractor shall provide all the materials, labor, tools and equipment necessary to complete the Work.
III. APPROVED BUDGET FOR THE CONTRACT (ABC)
The Approved Budget for the Contract is PHILIPPINE PESO: Nine Hundred Eighty Seven Thousand Three Hundred Fifty Four & 50/100 (PhP 987, 354.50). Bids received in excess of the ABC shall be automatically rejected.
IV. SIGNING OF CONTRACT
Within ten (10) calendar days from receipt of the Notice of Award, the lowest calculated and responsive bidder (LCRB), shall post the required performance security, sign and date the contract and return it to MCWD.
The Performance Security shall be denominated in Philippine Pesos and posted in favor of MCWD in an amount not less than the percentage of the total contract price in accordance with the following schedule:

(a) Cash or cashier-s/manager-s check issued by a Universal or Commercial Bank. Ten percent (10%)
(b) Bank draft/guarantee or irrevocable letter of credit issued by a Universal or Commercial Bank: Provided, however, that it shall be confirmed or authenticated by a Universal or Commercial Bank, if issued by a foreign bank.
(c) Surety bond callable upon demand issued by a surety or insurance company duly certified by the Insurance Commission as authorized to issue such security.
Thirty percent (30%)
Failure of the successful Bidder to comply with the above-mentioned requirement shall constitute sufficient ground for the annulment of the award, in which event MCWD shall have a fresh period to initiate and complete the evaluation of the next lowest bidder. The procedure shall be repeated until LCRB is identified and selected for recommendation of contract award. However if no Bidder passed the evaluation, the BAC shall declare the bidding a failure and conduct a re-bidding with re-advertisement, if necessary.
MCWD shall enter into contract with the successful Bidder within the same ten (10) calendar day period provided that all the documentary requirements are complied with.
V. NOTICE TO PROCEED (NTP)
Within seven (7) calendar days from the date of approval of the Contract, MCWD shall issue the NTP together with a copy or copies of the approved contract to the LCRB. All notices called for by the terms of the contract shall be effective only at the time of receipt thereof by the LCRB.
VI. CONTRACTOR-S RISK AND WARRANTY SECURITY (WS)
The Contractor shall assume full responsibility for the Works from the time project construction commenced up to final acceptance by MCWD and shall be held responsible for any damage or destruction of the Works except those occasioned by force majeure. The Contractor shall be fully responsible for the safety, protection, security, and convenience of his personnel, third parties, and the public at large, as well as the Works, Equipment, installation, and the like to be affected by his construction work.
The defects liability period for infrastructure projects shall be one year from contract completion up to final acceptance by MCWD. During this period, the Contractor shall undertake the repair works, at his own expense, of any damage to the Works on account of the use of materials of inferior quality within ninety (90) days from the time MCWD has issued an order to undertake repair. In case of failure or refusal to comply with this mandate, MCWD shall undertake such repair works and shall be entitled to full reimbursement of expenses incurred therein upon demand.
In case the Contractor fails to comply with the preceding paragraph, MCWD shall forfeit its performance security, subject its property(ies) to attachment or garnishment proceedings, and perpetually disqualify it from participating in any public bidding.
The warranty against Structural Defects/Failures, except those occasioned on force majeure, shall cover the period of fifteen (15) years reckoned from the date of issuance of the Certificate of Final Acceptance by the MCWD.
The Contractor shall be required to put up a warranty security in the form of cash, bank guarantee, letter of credit, GSIS or surety bond callable on demand, in accordance with the following schedule:

(c) Surety bond callable upon demand issued by GSIS or any surety or insurance company duly certified by the Insurance Commission Thirty Percent (30%)
The warranty security shall be stated in Philippine Pesos and shall remain effective for one year from the date of issuance of the Certificate of Final Acceptance by MCWD, and returned only after the lapse of said one year period.
VII. INSURANCE
The Contractor shall, under his name and at his own expense, obtain and maintain, for the duration of this Contract, the following insurance coverage:
1. Contractor-s All Risk Insurance;
2. Transportation to the project Site of Equipment, Machinery, and Supplies owned by the Contractor;
3. Personal injury or death of Contractor-s employees; and
4. Comprehensive insurance for third party liability to Contractor-s direct or indirect act or omission causing damage to third persons.
b. The Contractor shall provide evidence to MCWD-s Representative that the insurances required under this Contract have been effected and shall, within a reasonable time, provide copies of the insurance policies to MCWD-s Representative. Such evidence and such policies shall be provided to MCWD-s Representative.
c. The Contractor shall notify the insurers of changes in the nature, extent, or program for the execution of the Works and ensure the adequacy of the insurances at all times in accordance with the terms of this Contract and shall produce to MCWD-s Representative the insurance policies in force including the receipts for payment of the current premiums.
If the Contractor fails to obtain and keep in force the insurances referred to herein or any other insurance which he may be required to obtain under the terms of this Contract, MCWD may obtain and keep in force any such insurances and pay such premiums as may be necessary for the purpose. From time to time, MCWD may deduct the amount it shall pay for said premiums including twenty five percent (25%) therein from any monies due, or which may become due, to the Contractor, without prejudice to MCWD exercising its right to impose other sanctions against the Contractor pursuant to the provisions of this Contract.
In the event the Contractor fails to observe the above safeguards, MCWD may, at the Contractor-s expense, take whatever measure is deemed necessary for its protection and that of the Contractor-s personnel and third parties, and/or order the interruption of dangerous Works. In addition, MCWD may refuse to make the payments until the Contractor complies with this obligation.
The Contractor shall immediately replace the insurance policy obtained as required in this Contract, without need of MCWD-s demand, with a new policy issued by a new insurance company acceptable to MCWD for any of the following grounds:
1. The issuer of the insurance policy to be replaced has:
a. become bankrupt;
b. been placed under receivership or under a management committee;
c. been sued for suspension of payment; or
d. been suspended by the Insurance Commission and its license to engage in business or its authority to issue insurance policies cancelled; or
e. Where reasonable grounds exist that the insurer may not be able, fully and promptly, to fulfill its obligation under the insurance policy.
VIII. TERMINATION FOR DEFAULT OF CONTRACTOR
MCWD shall terminate this Contract for default when any of the following conditions attend its implementation:
(i) Due to the Contractor-s fault and while the project is on-going, it has incurred negative slippage of fifteen percent (15%) or more in accordance with Presidential Decree 1870, regardless of whether or not previous warnings and notices have been issued for the Contractor to improve his performance;
(ii) Due to its own fault and after this Contract time has expired, the Contractor incurs delay in the completion of the Work after this Contract has expired; or
(iii) The Contractor:
(i) abandons the contract Works, refuses or fails to comply with a valid instruction of MCWD or fails to proceed expeditiously and without delay despite a written notice by the MCWD;
(ii) does not actually have on the project Site the minimum essential equipment listed on the bid necessary to prosecute the Works in accordance with the approved Program of Work and equipment deployment schedule as required for the project;
(iii) does not execute the Works in accordance with this Contract or persistently or flagrantly neglects to carry out its obligations under this Contract;
(iv) neglects or refuses to remove materials or to perform a new Work that has been rejected as defective or unsuitable; or
(v) sub-lets any part of this Contract without approval by MCWD.
All materials on the Site, Plant, Works, including Equipment purchased and funded under the Contract shall be deemed to be the property of MCWD if this Contract is rescinded because of the Contractor-s default.
IX. TERMINATION FOR DEFAULT OF MCWD
The Contractor may terminate this Contract with MCWD if the works are completely stopped for a continuous period of at least sixty (60) calendar days through no fault of its own, due to failure of MCWD to deliver, within a reasonable time, supplies, materials, right-of-way, or other items it is obligated to furnish under the terms of this Contract; or
X. SUBMISSION AND APPROVAL OF DRAWING PLANS
a. All Drawings prepared by the Contractor for the execution of the Temporary Works, are subject to prior approval by MCWD-s Representative before its use.
b. The Contractor shall be responsible for design of Temporary Works.
c. The MCWD-s Representatives approval shall not relieve the Contractor from his liability in case of failure of the design of the Temporary Works.
XI. AS-BUILT PLANS
The Contractor shall submit -œas built- drawings upon completion of the project. -œAs built- drawings shall be printed on 20-x30- mylar film paper and shall be submitted together with the electronic file. As-built drawings shall be subject to review and approval by MCWD-s Representative.
XII. ADVANCE PAYMENT
MCWD shall, upon a written request of the contractor which shall be submitted as a contract document, make an advance payment to the contractor in an amount not exceeding fifteen percent (15%) of the total contract price, to be made in lump sum or, at the most two installments.
The advance payment shall be made only upon the submission to and acceptance by MCWD of an irrevocable standby letter of credit of equivalent value from a commercial bank, a bank guarantee or a surety bond callable upon demand, issued by a surety or insurance company duly licensed by the Insurance Commission and confirmed by MCWD.
The advance payment shall be repaid by the Contractor by an amount equal to the percentage of the total contract price used for the advance payment.
The contractor may reduce his standby letter of credit or guarantee instrument by the amounts refunded by the Monthly Certificates in the advance payment.
XIII. PROGRESS PAYMENTS
The Contractor may submit a request for payment for Work accomplished. Such request for payment shall be verified and certified by MCWD-s Representative/Project Engineer. Materials and equipment delivered on the site but not completely put in place shall not be included for payment.
MCWD shall deduct the following from the certified gross amounts to be paid to the contractor as progress payment:
1. Cumulative value of the work previously certified and paid for.
2. Portion of the advance payment to be recouped for the month.
3. Retention money in accordance with the condition of contract.
4. Amount to cover third party liabilities.
5. Amount to cover uncorrected discovered defects in the works.
Payments shall be adjusted by deducting therefrom the amounts for advance payments and retention. MCWD shall pay the Contractor the amounts certified by MCWD-s Representative within twenty eight (28) days from the date each certificate was issued. No payment of interest for delayed payments and adjustments shall be made by MCWD.
b. The first progress payment may be paid by MCWD to the Contractor provided that at least twenty percent (20%) of the work has been accomplished as certified by MCWD-s Representative.
c. Items of the Works for which a price of -œ0- (zero) has been entered will not be paid for by MCWD and shall be deemed covered by other rates and prices in the Contract.
XIV. RETENTION
The Procuring Entity shall retain from each payment due to the Contractor an amount equal to ten percent (10%), referred to as the -œretention money.- Such retention shall be based on the total amount due to the Contractor prior to any deduction and shall be retained from every progress payment until fifty percent (50%) of the value of Works, as determined by the MCWD, are completed. If, after fifty percent (50%) completion, the Work is satisfactorily done and on schedule, no additional retention shall be made; otherwise, the ten percent (10%) retention shall again be imposed using the rate specified therefor.
The total -œretention money- shall be due for release upon final acceptance of the Works. The Contractor may, however, request the substitution of the retention money for each progress billing with irrevocable standby letters of credit from a commercial bank, bank guarantees or surety bonds callable on demand, of amounts equivalent to the retention money substituted for and acceptable to MCWD, provided that the project is on schedule and is satisfactorily undertaken. Otherwise, the ten (10%) percent retention shall be made. Said irrevocable standby letters of credit, bank guarantees and/or surety bonds, to be posted in favor of MCWD shall be valid for a duration to be determined by MCWD and will answer for the purpose for which the ten (10%) percent retention is intended, i.e., to cover uncorrected discovered defects and third party liabilities.
On completion of the whole Works, the Contractor may substitute retention money with an -œon demand- Bank guarantee in a form acceptable to the Procuring Entity.
XV. ELIGIBILITY REQUIREMENTS
The following documents shall be submitted during the submission of the Request for Quotation (RFQ):
a) SEC or DTI Registration;
b) Mayor-s/Business Permit;
c) PHILGeps Registration Number (Red Registration);
d) PCAB License, at least Small B category for Building and Industrial Plant;
e) Income and Business Tax Return (for the past six months);
f) Statement of Single Largest completed project; and
g) Omnibus Sworn Statement
For individual or sole proprietor only the BIR Certificate of Registration shall be submitted in lieu of DTI Registration and Mayor-s Permit.
To be eligible for this project, the Contractor shall have completed a similar project equivalent to at least fifty percent (50%) of the Approved Budget for the Contract (ABC). For this purpose, similar contracts shall refer to roof installation of at least 3-storey buildings.
XVI. SIGNING OF CONTRACT
a. Within ten (10) calendar days from receipt of the Notice of Award, the successful Bidder shall post the required performance security, sign and date the contract and return it to MCWD.
b. The MCWD shall enter into contract with the successful Bidder within the same ten (10) calendar day period provided that all the documentary requirements are complied with.
c. The following documents shall form part of the contract:
1. Contract Agreement;
2. Winning Bidder-s bid, Eligibility documents and all other documents/statements submitted (e.g., Bidder-s response to request for clarifications on the bid), including corrections to the bid, if any, resulting from the MCWD-s bid evaluation;
3. Performance Security; and
4. Notice of Award of Contract.
XVII. TECHNICAL SPECIFICATIONS
A. GENERAL
In undertaking the works, the contractor must provide scaffoldings (if necessary) with safety harness and lifelines. Appropriate warning signs shall be provided.
The Contractor shall construct a lift, hoisting equipment or appropriate pulley assembly to raise the materials to the roof level.
The roofing installation shall conform to appropriate standards and best practices of the trade.
B. SCOPE OF WORK
The Work under the contract shall include the following:
F. Removal of the existing dilapidated roof, ridge roll and flashing
G. Installation of new roofing, ridge roll and flashing
H. Hauling of removed GI sheets
I. Installation of new downspouts
J. Other works as indicated in the plans and specifications
The Contractor shall provide all the materials, labor, tools and equipment necessary to complete the Work.
C. REMOVAL OF EXISTING DILAPIDATED ROOF
The existing GI sheets, ridge roll roof and flashing of the MCWD Main Building shall be removed.
MCWD intends to re-use the removed dilapidated roof therefore extreme care must be taken during the removal process.
Damage to the existing trusses, purlins, sag rods, cross bracing and insulator arising from the Contractor-s work shall be repaired to the satisfaction of MCWD at the expense of the Contractor.
D. HAULING OF REMOVED GI SHEETS
The Contractor must transport all removed GI Sheets to MCWD Talamban Warehouse. Materials to be transported shall be checked and recorded by MCWD before leaving at the project site and upon unloading at MCWD designated area at the Talamban Warehouse.
Rest of the debris shall be disposed by the Contractor to appropriate dumpsite.
E. INSTALLATION OF THE NEW ROOFING MATERIALS
In no case shall any section be left open after a day-s work. The removed roof shall immediately be replaced with the new roofing materials to avoid leaking or flooding when rain occurs. All workers shall be provided with body harness and other personnel protective equipment (PPE).
E.1 Material Requirement
E.1.a Roof Materials
Roofing materials must be continuous hot-dip zinc-coated steel coil, fullhard and annealed. It shall conform to PNS 1990:2004; ISO 3575; JIS G 3302; ASTM A924/653. Thickness and any other requirements are indicated in the plans and drawings. The color shall be as approved by MCWD.
The corrugation shall be exactly the same with the existing roof or as maybe approved by MCWD.
All materials shall be new and free of latent defects. Defective materials shall be rejected and must be replaced at the Contractor-s cost.
E.1.b Paint Coating
It shall be oven cured high performance modified epoxy primer and high quality oil free polyester top coat and back coat paints. Specifically formulated to give well balanced and superior paint protection conforming to standard requirements.
E.1.c Paint Coating Thickness
Topcoat : 12-18 microns
Primer : 2-3 microns
Underside : 4-8 microns
It shall conform to PNS 201; JIS G 3312; ASTM A755
E.1.d Color and Samples
The color/s shall be specified by MCWD. The contactor shall submit sample color for MCWD approval.
E.2 Workmanship
All work shall be done by skilled/experienced workers strictly observing quality output acceptable to MCWD.
E.3 Cleaning Up
Upon completion of work, the Contractor shall remove all debris and other excess hardware accessories like tekscrew, blind rivets, scaffold, etc. and leave the place in perfect condition acceptable to the Engineer.
F. PERMIT
The Contractor shall secure the all the necessary Permit/s on behalf of the Procuring Entity within thirty (30) calendar days from receipt of the Notice to Proceed (NTP). He shall be responsible to file, process, secure and shoulder all fees for the required Excavation Permit/s from concerned agency/s.
The Contractor shall not be allowed to commence any physical work without the necessary Permit/s.
G. BONDS, INSURANCES AND WARRANTIES
The Contractor shall, at his own expense, secure and maintain all bonds, insurances, and warranties required under the Contract.
H. ENGINEER
The term -œEngineer- as used herein and in the Specifications shall refer to the Owner-s authorized personnel to oversee the execution of this Contract acting within the scope of authority delegated by the Owner.
I. DRAWINGS TO BE PROVIDED TO THE CONTRACTOR
MCWD shall provide two (2) sets of Construction Drawings to the successful bidder.
J. PROJECT SIGNS
The Contractor shall furnish, erect, and maintain two (2) project signs and two (2) COA signboards in accordance with the MCWD Standard Drawings. These shall be erected at locations designated by the Engineer.
Payment for this item shall be deemed included in the Contractor-s bid price for the Items of Work in the Bill of Quantities.
K. CONSTRUCTION DRAWINGS AT WORK SITE
The Contractor shall maintain at least one (1) set of construction drawings at the work site. This shall be marked and updated to indicate work progress and deviations from the construction drawings. Actual location and depth of all mains, fittings, thrust blocks, valves, fire hydrants, and water stub-outs, among others, shall be indicated on the drawings. Valve location shall be tied-in by reference to two or three existing permanent ground features.
The Contractor shall transfer the above as-built information to the as-built drawings.
L. WEEKLY WORK SCHEDULE
The Contractor shall submit to the Engineer a weekly work schedule. Submission shall be every Friday of the current week for the schedule of the incoming week, unless changed by the Engineer.
M. MCWD`s RIGHT TO REMOVE CONTRACTOR`s PERSONNEL
Only qualified personnel and skilled workmen shall be employed on the site except in positions normally occupied by unskilled labor. When ordered in writing by MCWD`s Representative, the Contractor or any subcontractor shall remove any person who, in the opinion of MCWD`s Representative, is incompetent, disorderly or otherwise unsatisfactory, and shall not include again that person in the project except with the written consent of MCWD`s Representative. Such removal shall not be a basis for any claim for damages against MCWD. If the Contractor permits such a person on the work site without the consent of MCWD`s Representative, this alone shall be a ground to suspend the Contract until MCWD`s Representative`s instructions have been complied.
N. EQUIVALENCY OF STANDARDS AND CODES
Wherever reference is made in the Contract to specific standards and codes to be met by the materials and equipment to be furnished, and work performed or tested, the provisions of the latest edition or revision of the relevant standards and codes in effect shall apply, unless otherwise expressly stated in the Contract. Where such standards and codes are national, or relate to a particular country or region, other authoritative standards that ensure a substantially equal or higher quality than the standards and codes specified will be accepted subject to the Engineer-s prior review and written consent. Differences between the standards specified and the proposed alternative standards shall be fully described in writing by the Contractor and submitted to the Engineer at least twenty eight (28) days prior to the date when the Contractor desires the Engineer-s consent. In the event the Engineer determines that such proposed deviations do not ensure substantially equal or higher quality, the Contractor shall comply with the standards specified in the documents.
15.0 TAXES
Payments of progress billings shall be subject to expanded withholding tax and final withholding VAT in accordance to the revenue regulations of the BIR. MCWD shall issue Creditable Tax Certificate to the Contractor for taxes withheld.
16.0 PUBLIC SAFETY AND CLEANLINESS AT WORK SITE
The Contractor shall be responsible to furnish, erect, and maintain such fences, barricades, lights, warning signs, and other safety devices as are necessary to prevent accidents and avoid damage or injury to the public. Flagmen, where necessary, shall be provided to direct the flow of traffic.
The Contractor shall keep the work site in a neat and clean condition, and free from accumulation and rubbish. The Contractor shall conduct the work so as to avoid unnecessary dust. He shall provide adequate water and equipment at site for this purpose. Upon completion of the project, the Contractor shall leave the work site in a clean and neat condition satisfactory to the Owner.
All cost of carrying this provision shall be borne by the Contractor. Failure to observe this provision shall be a ground for suspension of work.
17.0 CONSTRUCTION SAFETY AND HEALTH PROGRAM
The DOLE approved Construction Safety and Health Program (CSHP), as mandated by Department Order No. 13, series of 1998 (Guidelines Governing Safety and Health in the Construction Industry), specific for the project must be submitted within fifteen (15) calendar days from the receipt of the Notice to Proceed (NTP).
In no case shall the Contractor be allowed to proceed with any physical activities at the worksite without the approved CSHP.
The cost of implementing this program shall be as indicated in the Bill of Quantities (BOQ) under Lump Sum Pay Item.
All workers shall wear proper identification badges and uniform all the time while on duty at site. The workers- outfits shall be suitable for construction work; the minimum shall be long pants, T-shirt, and steel -toe shoes or sturdy shoes.
Each worker and staff of the Contractor shall have hard hat; this must be worn all the time on duty or inside designated -œhard hat area-. For identification purposes, the color of hard hats must be different for the workers and staff. Body harness and other protective gears shall be readily available at site and must be used whenever the type of work so requires.
The Contractor shall make available at site a minimum of five (5) hard hats, same color with that for his staff, for the Owner and visitors.
The Contractor must comply with all applicable national and local laws, ordinances, and regulations regarding safety and health at construction site.
