ASSIGNMENT DESCRIPTION
Background:
IFC is supporting Vientiane Logistics Park Company Limited (VLP) and Sitthi Logistics Lao Company Limited (the Sponsor) in developing/structuring the Thanaleng Dry Port and Vientiane Logistics Park Project which is an international standard dry port (connecting the Lao-Railway line and Lao-Thailand bridge) and a logistics park (including warehouses, distribution centers, export processing zone, industrial complex, commercial complex, tank farm and other value added services) (the Project). The support envisaged by this activity will support VLP and the Sponsor to structure the investment phases of the Project, develop risk mitigation and structuring strategies, and address legal, regulatory, technical, financial, and environmental and social (E&S) risks and to support VLP and the Sponsor to meet international performance standards. This support will in turn help the sponsor to strengthen the investment profile of the Project to attract experienced operating and financing partners, including IFC.
Given the above background, IFC is keen to engage a consultant to undertake legal and regulatory assessment of the Project and the laws and regulations applicable to the Sponsor in developing and implementing the Project.
Preliminary Description of Tasks:
Conduct a legal, institutional, policy and regulatory review to identify and understand any legal and regulatory issues that may impact VLP and the Sponsors ability to implement and operate the Project as required. This should include, inter alia, the following:
1. Review the CA and other agreements proposed to be or entered into by the Sponsor and or VLP in respect of the Project and identify areas where the CA and such other agreements would benefit from clarification/ or would need to be strengthened if the Project were to be financed on an international project finance basis;
2. Identify and review other key legal rights and obligations of VLP/ the Sponsor under the law of Laos applicable to the Project; and the status of E&S permitting, and other E&S permits required by national applicable law for the project development (pre-construction, construction and operation).
3. Review the procurement law and other laws relating to the powers of the concessioning authority as are relevant to the Project, including but not limited to the right of the concessioning authority to award and enter into the CA and to perform its obligations under the CA;
4. Identify and review other key legal rights and obligations of VLP/ the Sponsor in respect of the Performance Standards;
5. Confirm land ownership and user rights for the site required for the project and its associated facilities, review the land acquisition and permitting process for the Project and identify if there are court cases or open claim on the land and assets required for the project, and
6. Propose solutions to mitigate specific key risks or issues identified and agreed by Parties as material to the Project.
CONSULTANT PROFILE
The consultant should have:
(a) Understanding of Lao PDR`s transport sector;
(b) In-depth knowledge of the legal and regulatory environment in Lao PDR, particularly with respect to transport and logistics, and its implications on private investment;
(c) Experience in structuring PPP transactions, suggesting public policy changes and drafting contractual documents under PPP arrangement in the transport sector in developing markets;
(d) Experience in advising on bankability issues on legal and regulatory aspects on PPP and similar transactions and in advising development finance institutions on such issues; and
(e) Understanding of IFC Performance Standards.
(f) Have a local office in Lao PDR or/and capability work with local law firm.

ELIGIBILITY
To foster competition, the Bank permits consultants from all countries to offer consulting services for Bank-financed projects or funded with its own budget. Any conditions for participation shall be limited to those that are essential to ensure the firms capability to fulfill the contract in question.

NOTES
Following this invitation for Expression of Interest, a shortlist of qualified firms will be formally invited to submit proposals. Shortlisting and selection will be subject to the availability of funding.
Only those firms which have been shortlisted will receive notification. No debrief will be provided to firms which have not been shortlisted.
