Marine Technical Advisory Services for the construction of LNG Bunkering Vessels-BlueHubs Project

The Public Gas Corporation (DEPA) S.A. is going out to tender on behalf of itself and Navigas, for a Technical Advisor (Advisor) concerning the construction of two (2) LNG Bunkering vessels of approx. 3 000 m capacity, on behalf of DEPA and Navigas, the Vessels Owners (The Client).

Main Site : At Advisor's Offices, DEPA and/or Navigas Offices, the Shipbuilders' Yard and anywhere else is deemed necessary for the proper execution of the services as these are described in the tender documents.

DEPA S.A. is planning the construction of an LNG bunkering vessel, which will be registered at the port of Piraeus, in order to establish the fundamental supply chain for the distribution of LNG to users in the ports of Piraeus, Heraklion and other EU Ports in East Mediterranean Sea. The vessel will be loaded with LNG mainly from the Revithoussa LNG Import terminal, in Greece.

Under the same action, Navigas, is going to construct an LNG bunkering vessel to be registered at the port of Limassol, for the distribution of LNG to users in the port of Limassol and other EU Ports in East Mediterranean Sea.

The LNG bunkering Vessels of an indicative capacity of approx. 3 000 m each, will have to serve LNG fueled vessels, as well as small scale mobile bunkering equipment (LCNG stations and tanker trucks). The vessels will be adequately equipped to perform terminal-to-ship, ship-to-ship, ship-to-shore and ship-to-truck operations. The vessels will be loaded with LNG mainly from adjacent LNG terminals (Revithoussa LNG Import terminal in Greece and Vassilikos (FSRU) terminal in Cyprus), but they should be able to load LNG from any other LNG terminal with small scale LNG loading facilities.

The Successful Bidder (Technical Advisor) is expected to carry out all the necessary actions and plans to assist DEPA and NAVIGAS (the "Ship Owners") as indicatively stated here below:

Phase A:

(i) prepare and propose outline specifications of the vessels based on ship owner's requirements after analyzing the current international environment with respect to LNG bunkering vessels;

(ii) request proposed designs and technical specifications by shipyards aiming at improving vessel's operational;

(iii) review and assess a short list of proposed shipyards, discuss with the ship owners the different options and visit the candidate shipyards in order to assess and evaluate current shipyard's status, facilities, production capabilities, etc.;

(iv) assist in the implementation of any tendering procedure required by the ship owners;

(v) assist in the final selection of the shipyard and the vessels' definition (by preparing a techno-economic assessment report) and determine all the necessary technical, financial and contractual requirements for the selected shipyard with which each ship owner will sign a contract (the "Contractor").

Phase B

(vi) perform project management and on site supervision during construction, including but not limited to, plan approval, class and flag inspections monitoring, acting as owner's representative in all technical aspects of construction, witnessing critical equipment FAT (Factory Acceptance Tests), participation in DAT (Dock Acceptance Tests) and SAT (Sea Acceptance Tests) of both vessels' and cryogenic equipment on board.

(vii) support the ship owners in case of claims and/or any litigation process with the Contractor, upon and following vessels' delivery.

(viii) support the ship owners, if required, to select and engage a ship management company, for the operation of the Vessels.

The vessels are an open sea LNG bunkering vessels with the following general indicative technical characteristics:

Bidders shall be economic operators, as per par. 6 of Article 2 of the Directive 2014/25/EU, registered in a European Union (EU) or a European Economic Area (EEA) country or a country having an association or bilateral agreement with the EU, allowing the participation in public tenders of Contracting Authorities with activities in Marine/Offshore Engineering and Project Management, who may also be mentioned hereinafter as companies or associations/joint ventures/consortium of companies as above.

The legal formation of a Joint Venture (J/V) is not a prerequisite for taking part in the present tender. Bidders participating in a J/V are not allowed to submit bids solely.

Each bidder shall submit among other:

1) Solemn declaration that the successful bidder (or in case of a J/V each of its members) is not an offshore company according to the provisions of case a. par. 4 of article 4 of the Greek Law 3310/2005, the Presidential Decree 82/1996 as amended by Law 3414/2005;

2) Bid letter, dully filled-in, signed and stamped, as per form in the tender documents;

3) Subject to rejection of the bid, a declaration by the bidder, confirming the absence of any conflict of interest as per relevant stipulations in the tender documents;

4) The bidder shall complete all relevant sections of the European Single Procurement Document (ESPD) by electronic means, at https://ec.europa.eu/growth/tools-databases/espd with the corresponding EU inquiry number as stated in the tender documents;

5) Bidders shall accompany any document containing personal data (e.g. solemn declaration, personnel CVs, criminal records, etc.) with an explicit statement by the data subject, as the case may be, in compliance with the "Personal data Form" in the tender documents.

Subject to rejection of the bid, the bidder, or in the case of a J/V, each of its members undertakes the obligation to submit to DEPA within reasonable time and at any stage of the biding/evaluation period of this Inquiry, all or part of the documents that are stated in their submitted ESPD.

Documents to be submitted only by the successful bidder:

(a) company statutes and company's decision taking body/person according to the legislation of the country the bidder is registered;

(b) minutes of meeting of the board of Directors, or other competent decision-taking body or duly authorised person of the successful bidder:

— regarding their decision to participate in the bid,

— appointing a legal representative authorised to represent the successful bidder until the date of contract signature,

— declaring the acceptance of the company's percent participation in the J/V and naming the Leader of the J/V (if applicable).

(c) submission of the J/V Agreement signed by all members of the J/V, or other legal document to that effect;

(d) documents proving that the provisional successful bidder, or in case of a J/V each of its members, is registered in a professional register in compliance with the law of the country where he is established and that the bidder has the essential qualifications in order to be capable to undertake the services in accordance with the legislation of the country where he is established;

(e) documents issued by competent judicial or administrative authorities in the country of origin and/or the country where the successful bidder (or in case of a J/V each of its members) is registered, proving that:

— he is not bankrupt, under liquidation, bankruptcy, obligatory management, compromise,

— no procedure has been instigated against him for declaration in bankruptcy, obligatory management, compromise,

— he has not been convicted for anything related to its professional integrity and behaviour,

— he has not committed a serious professional misdeed,

— has fulfilled its obligations, concerning the payments of social security contributions,

— has fulfilled its obligations related to payment of taxes.
