1. The subject of the order is the maintenance, maintenance and repair of infra-installationsstructure and software of the TRISTAR Integrated Traffic Management System along with the server room in the city of Gdynia.

1. The subject of the order is the maintenance, maintenance and repair of infrastructure and software devices of the TRISTAR Integrated Traffic Management System along with the server room in the city of Gdynia.

2. The system is defined as the system implemented at the Orderwithin the framework of the TRISTAR Integrated Traffic Management System, which consists of the following elements: - a) technical infrastructure, - b) software, - c) modifications of the Employer; - d) hardware infrastructure of the Employer.

3. The contractor is obliged to ensure the uninterrupted operation of the hardware and software infrastructure as well as providing other services inhelping the use of hardware and software infrastructure by the Employer.

4. The maintenance service includes:

1) provision of services in accordance with Annex No. C Detailed conditions for the provision of services, under which the Contractor undertakes, in particular, to: a) handle notifications, in accordance with the principles described in the abovementioned Annex, (b) ensuring the proper operation of the infrastructure, andsystem programming, in accordance with the principles described in the above attachment,

2) carrying out maintenance activities in accordance with the maintenance instructions,

3) performing maintenance and maintenance activities in accordance with the "List of basic maintenance activities", enclosing B to SIWZ, ensuring the correct operation:

a) technical infrastructure specified in Annexes D to SIWZ,

b) operating systems, database and virtualization systems, as well as applications and software specified in Annexes E to the ToR,

4) transfer to the Purchaser proprietary copyrights / licensing to individual works and technological solutions created under the order, on principles specified in the contract template constituting Appendix No. 7 to SIWZ.

5) delivery of all source codes, operating instructions and documentation necessary for handling and / or modification by the Ordering Party or third parties recommended by the Contracting Party and technological solutions made by the Contractor under this agreement.

5. The maintenance service will be provided throughout the duration of the contract, regardless of the amount of labor required afterthe Contractor's side (unlimited labor consumption).

6. The number of TRISTAR system devices to be maintained within the subject of the contract may change: decrease or increase by 20% during the contract period. The actual scope of the order will result from the current number of TRISTAR system devices requiring maintenance. The above amount will be determined on a monthly basis for a period ofs of the contract.

7. The Contractor is obliged to have third party liability insurance in the scope of conducted activity related to the subject of the order for a guarantee sum in the amount of at least PLN 200, 000.00, including civil liability for damage caused by the Contractor's actions or omissions and reasons beyond the Contractor's control.

8. The detailed scope of prorder form includes:

Submitted to the ordering party's request:

1. In order to make a monster lack of basic exclusion of the Contractor from participation in the proceedings, the contracting authority demands that the Contractor should submit the following documents:

1) information from the National Criminal Register in the scope specified in art. 24 sec. 1 point 13, 14 and 21 of the PPL, issued not earlier than 6 months pbefore the deadline for submitting bids,

2) certificate of the competent head of the tax office confirming that the Contractor is not in arrears with payment of taxes, issued not earlier than 3 months before the deadline for submission of bids or other document confirming that the Contractor has entered into an agreement with the competent tax authority repayment of these receivables along with any interest(3) a certificate from the relevant local organizational unit of the Social Insurance Institution or the Agricultural Social Insurance Fund or other document confirming that the Contractor is legally entitled to exemption, deferment or payment of overdue payments into installments or suspension in full; he is not in arrearspaying social security or health insurance premiums, issued not earlier than 3 months before the deadline for submission of bids or other document confirming that the Contractor has made an agreement with the competent authority regarding repayment of such receivables with possible interest or fines, in particular obtained legally binding exemption, postponement or spreading into installments fromany overpayments or suspension in full of the decision of the competent authority; - 4) excerpt from the relevant register or central records and business information, if separate regulations require an entry in the register or records, in order to confirm the absence of grounds for exclusion under Art. 24 sec. 5 point 1 Pzp;

5) the Contractor's statement that he has not been issued with a valid one-the court's judgment or final administrative decision on default of taxes, fees or social security or health insurance premiums, or in the event of issuing such a verdict or decision documents confirming payment of such claims together with any interest or fines or a binding agreement on repayment of such receivables, about the content correspondsAttachment No. 8 to SIWZ.

6) Contractor's statement about the lack of a ruling against him as a preventive measure to prohibit applying for public procurement, with content corresponding to Annex 8 to the ToR. - 7) Contractor's declaration of non-payment of taxes and local fees referred to in the Act of 12.1.1991 on local taxes and charges (unified text Journal of Laws of 2017. Pos. 1785 from late zm.), with content corresponding to Annex No. 8 to the ToR.

1.1 If the Contractor has a registered office or place of residence outside the territory of the Republic of Poland, files documents in accordance with -7 of the Regulation of the Minister of Development of 26.7.2016 on the type of documents that may be request the Employer from the contractor in the proceedings for the award of the contract (Journal of Laws of 2016, item 116) and Chapter 7points 2.1 to 2.5 of the SIWZ.

2. The contracting authority demands from the contractor, which relies on the abilities or situation of other entities under the rules set out in Article 22a of the Act, present in relation to these entities the documents listed in -5 points 1-6 and point 9 of Regulation RM.

3. Submitted by the Contractor without ordering the Purchaser

In order to demonstrate the lack of grounds for exclusion from the proceedings for the award of the contractment in the circumstances referred to in Article 24 sec. 1 point 23 of the Contractor's Act within 3 days of posting information on the website referred to in art. 86 par. 5, provides the orderer with a declaration on belonging to or not belonging to the same capital group, within the meaning of the Act of 16.2.2007 on competition and consumer protection, with other Contractorsinvolved in the procurement procedure - Pzp means the Act of 29.1.2004. Public Procurement Law, i.e. OJ from 2017, item 1579 from late zm., RM means Rozp. The Minister of Development of 26.7.2016 on the type of documents that the contracting authority may request from the contractor in the proceedings for the award of the contract (Journal of Laws of 2016, item 1126).

1] The Employer will exclude from the proceedings regarding theno orders based on art. 24 sec. 1 and par. 5 point 1 and 8 Pzp.;

2] Employer will apply 24aa Pzp.

3] Documents submitted with the offer:

a) the obligation of the entities on whose technical or professional ability the contractor consists, irrespective of the legal nature of the legal relationship he has with it giving him the necessary resources to fulfill the order. Exemplarythe model of commitment is Attachment No. 3 to Siwz. The contracting authority requires that the submitted document specifies information referred to in -9 section 1 items 1-4 RM.

B) Form Offer, according to the template, with content corresponding to Annex No. 1 to the ToR.

C) Power of attorney in accordance with art. 23 sec. 2 of the Act on Public Procurement Law in case of submitting an offer by Contractors jointly applying for thighordering.

d) Price forms, according to the models, constituting attachments no. 1a and 1b to e.

e) documents confirming that the information included in the offer is company secret.

4] Until 16/10/2018, at 11.00 you must submit in electronic form in accordance with ch. 8 points 5-11 and Chapter 12 point 5 of the ToR, the contractor's statement on the lack of grounds for exclusion from the proceedings on the basis ofArticle 24 paragraph 1 and Article 24 paragraph 5 point 1 and 8 of the PPL and statements on meeting the conditions for participation in the progress specified by the contracting authority, in the form of a single European order document prepared in accordance with the standard form set out in the Commission Implementing Regulation ( UE) 2016/7 of 5.1.2016 establishing a standard form for a single European documenthere, hereinafter referred to as "EAT" (EU Official Journal L3 of 6.1.2016 page 16). EAT completed by the Ordering Party is attached No. 2 to the ToR. The electronic JEDZ / ESPD filling tool is available at: https://ec.europa.eu/growth/tools-databases/espd/filterlang=en. A contractor who refers to the resources of other entities in order to demonstrate the lack of grounds for excluding them against themfrom fulfillment, to the extent in which it refers to their resources, the conditions for participation in the proceedings are also submitted by uniform documents concerning these entities. In the case of joint application for contractors, JEDZ shall submit each of the contractors. These documents confirm the fulfillment of the conditions for participation in the proceedings and the lack of grounds for exclusion to the extent that each of the contractors exhibitsfulfillment of the conditions for participation in the proceedings and the lack of grounds for exclusion. The Employer limits the required information on the criteria of qualification to one question, for which the answer is yes or no, which means that the contractor may limit himself to filling in the section α in part. IV.
