Budowa systemu dynamicznej informacji pasYersley (SDIP) according to the procedure: "Design and Deliver"

The subject of the order is: Construction of dynamic passenger information system (SDIP) according to the procedure: "Design and Deliver"

Main Site: Częstochowa

The scope of the investment includes, among others:

1. Designing the dynamic passenger information system and presenting for acceptance. Orderącemu. The design should be carried out in accordance with the attached technical documentation and the System's functionality described in it.

2. Delivery and assembly of boards and electrical connections to the boards at designated stops.

3. Connection to the Dynamic Passenger Information System of municipal units at the headquarters of the Municipal Crisis Management Center in Częstochowa, Municipal Guard in Częstochowa, Communications Enterprise in Częstochowa

4. Implementation of the IT part of the Dynamic Passenger Information System along with retrofitting of server rooms and training,

5. Execution of communication interfaces allowing to connect public transport carriers to the SDIP system, who have in communal transport vehicles necessary for communication with the system of the deviceher.

6. Launch of the website and mobile application.

7. Passing of remote controllers for remote launch on voice announcement boards about the next departures.

The above should be performed in accordance with the following division:

I stage: - Designing the dynamic passenger information system and presentation for acceptance to the Ordering Party

Stage II: - delivery, assembly and test runnimum 10 SDIP tables by October 15, 2018,

III stage: - delivery, assembly and commissioning of the remaining 37 boards and mobile application and website by 30/06/2019;

Task to be co-financed by the European Union under the Regional Operational Program of the Silesian Voivodship for the years 2014-2020.

The contracting authority requires a minimum of 60 months, and the maxa 72-month warranty and a warranty against the subject of the order.

Completion date:

1. The delivery is to be effected, subject to point 2 below, until 31/05/2019, which is understood as a written declaration by the Contractor of readiness to receive correctly made subject of the order along with the transfer of the required documents.

2. Until 15.10.2018, the Contractor has the passcarry out the SDIP test, under which at least 10 tables will be launched with their full functionality, at the communication stops indicated by the Employer.

The Contracting Authority waives the determination of the condition in this respect.

Applies to III.2.2)Contract performance conditions: Within the scope of application of art. 144 para. 1 point 1 of the Act on Public Procurement Law, it is possible to change the provisions of this contract regarding: 1) due remuneration due to the Contractor in the event of changes by the legislator

regarding the rates of tax on goods and services;

2) deadlines for the contract in case of: a) occurrence force majeure;

b) unrelatedatmospheric conditions, which make it impossible to perform works in accordance with the adopted technology or other accepted standards; - c) the occurrence of justifiable circumstances solely attributable to the Ordering Party,

Eg. the necessity to postpone the date of making the given area available during the implementation of the subject of the contract, which hinders or prevents correct and timely lectureon the subject of the contract;

d) extension of the tender procedure, i.a. - e) failure by the authorized body to issue a decision conditional on the continuation and completion of assembly works or construction works within the statutory deadline;

The date may be extended by no more than the duration of circumstances justifying its modification. he mustsecured with a bid bond in the amount of PLN 110, 000.00 (in words: one hundred and ten thousand PLN 00/100).

The bid bond should be paid by 27.8.2018 by noon. 09: 30.

The ordering party, based on art. 24aa of the PZP Act, it provides for the possibility of first of all assessing the offers, and then of examining whether the Contractor whose offer has been evaluated as the most advantageous is not subject to exclusion and meetingterms of participation in the proceedings.

The Contracting Authority does not provide for the award of contracts referred to in Article 67 sec. 1 point 6 and 7 or art. 134 sec. 6 point 3 of the Act - PPL. The ordering party in accordance with art. 93 para. 1a may annul the procedure for awarding the contract, if the funds from the EU budget, which the Employer intended to allocate for the financing of a part of the order, were not awarded.within 3 days from the date of posting on the website information referred to in art. 86 par. 5 of the PZP Act, it provides the Employer with a declaration on belonging to or lack of belonging to the same capital group.

The Employer defines the following requirements regarding employment by the Contractor or Subcontractor of persons performing the activities indicated by the Contracting Party in the scope of-implementation of orders based on a contract of employment: within the scope of application of art. 29. 3a. The Employer requires employment by the Contractor or Subcontractor in the manner specified in art. 22 paragraph 1 of the Act of 26.6.1974 - the Labor Code, persons performing the following activities: fitter of power and teletechnical networks. In order to demonstrate the lack of grounds for exclusion from the proceedingsdividing the order must be submitted: 1. A copy from the relevant register or from central records and information about business activity; 2. Certificate of the competent head of the tax office; 3. Certificate of the relevant ZUS organizational unit or the Agricultural Social Insurance Fund; 4. Information from the National Criminal Record; 5. Contractor's statement about the lack of a ban on applying for public orders; 6. Ohproviding the contractor with a lack of arrears in paying taxes, fees or social security or health insurance premiums; 7. Contractor's declaration of non-payment of taxes and local fees. Documents of foreign entities: 1. Information from the relevant register or other equivalent document; 2. Document filed with regard to a person residing outside the territory of Rof the Republic of Poland to the extent specified in art. 24 sec. 1 point 14 and 21 of the PZP Act; 3. In order to assess whether the Contractor, relying on the abilities or situation of other entities under the principles set out in Art. 22a of the Public Procurement Law, will have the necessary resources to the extent enabling proper implementation of the public order and to assess whether the relationship between the Contractor and those ofthe entities guarantee real access to their resources, they should be submitted:

1 The obligation of third parties to put at the disposal of the necessary resources

The obligation of the entities, on the capacities or situation of which the Contractor relies to give him the necessary resources for the needs of the order. It should be signed by the person (person) entitled and in the original submit together with the offeron the day of submitting offers. Annex No. 6

1. The Ordering Party will exclude from the proceedings for awarding the Contractor based on the provisions of art. 24 sec. 1 point 12-23 of the Public Procurement Law. The ordering party, based on art. 24 sec. 5 points 1, 2, 3, 4 and 8 of the Public Procurement Law, shall also exclude from the procedure for awarding the Contractor: 1) in relation to which liquidation was opened, in a post-approved system in postrestructuring is provided for the satisfaction of creditors by the liquidation of its assets or the court ordered the liquidation of its assets in accordance with art. 332 par. 1 of the Act of 15.5.2015. Restructuring law (Journal of Laws of 2015, item 978, 1259, 1513, 1830 and 1844 and of 2016 item 615) or whose bankruptcy was announced, except for the Contractor, who after the declaration of bankruptcy, he concluded the agreementsubject to a valid court order, if the agreement does not provide for the satisfaction of creditors by liquidation of the assets of the bankrupt, unless the court ordered the liquidation of its assets in accordance with art. 366 para. 1 of the Act of 28 February 2003 Bankruptcy Law (Journal of Laws of 2015, item 233, 978, 1166, 1259 and 1844 and of 2016 item 615); 2) who, in the manner of a serious misconduct, violated professional duties, which in turnhis honesty, in particular when the Contractor, as a result of deliberate action or gross negligence, failed to perform or improperly carried out the order, which the Purchaser is able to demonstrate by means of appropriate evidence, if it has not been 3 years since the occurrence of the event being the grounds for exclusion. 3) if the Contractor or persons referred to in art. 24 sec. 1 point 14 of the Act -Pzp, entitled to represent the Contractor remain in the relations specified in art. 17 sec. 1 point 2 4 of the Public Procurement Law with: a) Employers, b) persons authorized to represent the Employer, c) members of the tender commission, d) persons who have submitted a declaration referred to in art. 17 sec. 2a unless it is possible to ensure impartiality on the part of the Employer in a different way than throughExclusion of the Contractor from participation in the proceedings; 4) who, for reasons attributable to him, did not execute or improperly execute, to a significant degree, an earlier contract regarding a public order or a concession contract, concluded with the Ordering Party referred to in Art. 3 par. 1 point 1 4 of the Public Procurement Law, which led to the termination of the contract or compensation for damages if it has not expired 3 years from the date ofthe existence of an event that forms the basis of exclusion. 5) has violated obligations relating to payment of taxes, fees or social security or health insurance premiums, which the Employer is able to demonstrate by means of appropriate evidence, except in the case referred to in art. 24 sec. 1 point 15 of the PZP Act, unless the Contractor has made payments of taxes, fees or insurance premiums duesocial security or health claims, including interest or fines, or have entered into a binding agreement to repay these debts. 3. Exclusion of the Contractor

will occur in the cases referred to in art. 24 sec. 7 acts of the Pzp. 4. Contractor who is subject to exclusion pursuant to art. 24 sec. 1 point 13 and 14 and 16 20 or par. 5 of the PZP Act, may provide evidence that the measures taken by him are in forcesufficient to prove its reliability, in particular to prove compensation for damage caused by an offense or fiscal offense, financial compensation for damage suffered or remedied, an exhaustive explanation of the facts and cooperation with law enforcement agencies, and take specific technical, organizational and human resources that are appropriate to preventapplying to further offenses or tax offenses or improper conduct of the Contractor. The provision of the first sentence shall not apply if the Contractor, being a collective entity, has been the subject of a final court decision prohibiting him from applying for the order and the period of validity of the prohibition specified in that judgment has not expired. 5. The Employer may exclude the Contractor for eachDuring the tender, the Contractor is obliged to attach the current one as at the date of the submission of tenders to the provenance, in order to demonstrate the fulfillment of the conditions for participation in the proceeding and the following: Single European order document - Annex 1. 1. In the present proceedings, communication between the Employer and Contractors is carried out through the postal operator within the meaning of the Act of November 23, 2012 Postal Law (Journal of Laws of 2012 item 1529 and of 2015 item 1830), in person, via a messenger, fax or usingmeans of electronic communication within the meaning of the Act of 18.7.2002 on the provision of electronic services (Journal of Laws of 2013 item 1422, of 2015 item 1844 and of 2016 item 147 and 615). 2. If the Orderer or the Contractor provides statements, applications, notices and information via fax or using electronic means of communication within the meaning of the Act of 18.7.2002 on the provision of electronic services, each party at the request of the other party immediately confirms the fact of receiving them. 3. In the JEDZ proceedings, it should be sent in an electronic form with a qualified electronic signature. Statements of entities submitting a joint bid and entities providing access to the potential submitted on the EAT form should have the form of a documenthere electronic, signed with a qualified electronic signature by each of them in the scope in which they confirm the circumstances referred to in art. 22 ust. 1 of the PZP Act. The same requirement applies to EAT submitted by a subcontractor, pursuant to art. 25a para. 5 point 1 of the Act-Pzp. The electronic communication means used by the contractor to EAT are electronic maila. Placing an EAT with an offer on a data carrier (eg a CD, a pendrive) is unacceptable, as it does not constitute its submission using means of electronic communication within the meaning of the provisions of the Act of 18.7.2002 on the provision of electronic services. The contractor, sending an EAT, requests confirmation of delivery of a message containing-EATING

The date of sending the E-mail will be to confirm delivery of the message containing the EED from the mail server of the ordering party. The contracting authority allows in particular the following format of the transmitted data: .pdf, .doc, .docx, .rtf, .xps, .odt. After the Contractor has completed the electronic document

EAT, the Contractor signs the above-mentioned document. document by a qualified electronic signature issued bya qualified trust service provider being an entity providing certification services for an electronic signature that meets the security requirements set out in the Act. The signed EID electronic document should be encrypted, i.e. with an access password. For this purpose, the contractor may use the tools offered by the software in which he prepares the statement document-(eg Adobe Acrobat), or use commercially available open-source tools (eg 7-Zip) or commercial. The Contractor shall place a password to access the EJF file in the content of its offer, submitted in writing. The Contractor shall send the ordering party encrypted and signed by a qualified electronic signature of the E-mail to the indicated e-mail address in such a way that the documenthe wiped the ordering party before the deadline for submission of offers. The content of the sent message should indicate the sign and the name of the proceedings, which EAT applies, and the name of the contractor or any designation allowing the identification of the contractor and the word "EAT" in the message or subject. * Duty to submit an E-mail in an electronic form with a qualified electronic signaturein the manner specified above, also applies to JEDZ submitted on a summons in the mode of art. 26 par. 3 Public Procurement Law; in this case, the Employer does not require encryption of this document.

4. The offer shall be made in writing under the pain of nullity via the postal operator, in person or via a messenger. The ordering party waives the requirement to use means of electronic communication when submitting bids, because the use of these means would require specialist equipment that is not currently available to the Ordering Party. 5. Proceedings on thighsgreens orders are kept in Polish. Documents prepared in a foreign language are submitted together with a translation into Polish. 6. The Contractor may ask the Ordering Party to clarify the content of these ToR. The Employer shall provide explanations immediately, but not later than 6 days before the deadline for submission of tenders - provided that the request to clarify the content of the ToR has been received by-The Employer does not later than by the end of the day in which half of the set deadline for submission of tenders expires, ie until: 2018-08-06. The ordering party asks you to submit questions also via e-mail to the address indicated in point 1 of the ToR in an editable form, because the shortcut is the time of providing explanations. 7. If the application for clarification of the contents of the ToR has been received after the deadline for submitting the application, about whichwa in point 12.6. or applies to explanations provided, the Employer may provide explanations or leave the application without consideration. 8. The extension of the deadline for submitting bids does not affect the deadline for submitting the application referred to in point 6. 9. The content of inquiries with explanations

The Contracting Authority submits to the Contractors to whom the SIWZ has been handed over, without disclosing the inquiry source, and if the ToR is made availablea website, he publishes on this site. 10. In justified cases, the Ordering Party may change the content of the ToR before the deadline for submission of tenders. The Ordering Party makes the change to the content of the SIWZ available on the website. 11. Paweł Wikliński - WRP Head, Artur Matuszczyk - WPP Senior Inspector. Information for contractors relying on the resources of other entities, on the terms specified in art. 22a of the PPL Act

1. The Contractor may confirm the fulfillment of the conditions-participate in the proceedings, in appropriate situations and in relation to a specific order, or a part thereof, rely on the technical or professional abilities of other entities, regardless of the legal nature of the legal relationship that links them with them.

2. The Contractor, who relies on the abilities or the situation of other entities, must prove to the Employer that while fulfilling the order, he will havehe provided the necessary resources to these entities, in particular by presenting for this purpose the obligation of these entities to give him the necessary resources for the needs of the order.

3. The Contracting Authority will assess whether the technical or professional capacity or their financial or economic situation made available to the Contractors by other entities, allow the Contractor to demonstrate compliance with the conditionso participate in the proceedings and examine whether there is a ground for exclusion from this entity, which are referred to in point 7 of this ToR.

4. The Contractor, who relies on the financial or economic situation of other entities, is jointly and severally liable with the entity that committed to provide resources for damage suffered by the Employer resulting from the failure to provide these resources, unlessfor not sharing resources is not blame.

5. The Contractor who refers to the resources of other entities in order to demonstrate the absence of grounds for exclusion and compliance with them, in so far as it relies on their resources, the condition of participation in the proceedings, also includes the uniform European Order Documents relating to these entities.

6. The ordering party demands from the Contractor whichy relies on the abilities or situation of other entities under the terms of art. 22a of the PZP Act, to present documents referred to in point 8.6.2) of the ToR for these entities.

7. In order to assess whether the Contractor, relying on the abilities or situation of other entities under the principles set out in Article 22a of the PZP Act, it will have the necessary resources to the extent that it is adequateexecution of the public order and assessment of whether the relationship between the Contractor and these entities guarantees effective access to their resources, the Employer may request documents that specify in particular:

1) the scope of resources available to the Contractor of another entity;

2) how to use the resources of another entity, The Contractor, while performing the public order;

3) scope and period of participation of othersin the performance of the public order;

4) whether the entity, on the capacities of which the Contractor relies in terms of participation in education related proceedings, professional qualifications or experience, will carry out construction works or services whose indicated capacities relate.

8. If technical or professional ability, the subject on whose abilities is the Workthey do not confirm the Contractor's fulfillment of the conditions of participation in the proceedings or the grounds of exclusion apply to the entity, the Employer requests that the Contractor, a) specified by the Employer: a) replaced the entity with another entity or entities or b) committed to the personal implementation of the relevant parts of the order, if it shows technical or professional skills, about whoreferred to in point 9.1. SIWZ.

Information for contractors intending to entrust the execution of part of the orders to subcontractors

1. The Contractor may entrust the execution of part of the orders to Subcontractors.

2. The Employer requires the Contractor to indicate the part of the orders, the execution of which he intends to entrust to Subcontractors and the submission of subcontractors by the Contractor.

3. The contracting party demands that before joiningTo perform the order, the Contractor, if known, provided names or first and last names and contact details of the Subcontractors and contact persons involved in the implementation of the order. The Contractor is obliged to notify the Ordering Party of any changes to the data referred to in the first sentence during the execution of the order, as well as to provide information on the new Subcontractorow, which he intends to entrust with the implementation of the order in the later period.

4. The Contractor who intends to entrust the execution of a part of the orders to subcontractors, in order to demonstrate the absence of any grounds for exclusion from participation in the procedure, also submits the completed print of the Single European Order Document, referred to in point 8.1.1 SIWZ, for each of these Subcontractors

5. if-entrusting the Subcontractor with the execution of a part of the order for construction works takes place during its implementation, the Contractor at the request of the Ordering Party presents the completed print of the Single European Order Document, referred to in point 8.1.1 of the Terms of Reference, confirming no grounds for exclusion to this Subcontractor.

6. If the Ordering Party finds that there are grounds for the Subcontractor-foreclosure, the Contractor is obliged to replace this Subcontractor or resign from entrusting the performance of a part of the subcontractor's orders.

7. Entrusting the execution of a part of the order to Subcontractors does not release the Contractor from liability for the proper performance of this order.

8. The Contracting Authority provides for the percentage value of the last part of the remuneration due to the Contractor to execute the contract in10%.

Information for contractors jointly applying for the award of contracts (consortia, civil companies)

1. Contractors may jointly apply for a contract. In this case, the Contractors shall appoint a representative to represent them in the proceedings for the award of the contract or to represent them in the proceedings and to conclude a public procurement contract.

2. In the case ofapplying for the contractor by the Contractor, the completed print of the Single European Order Document, referred to in point 8.1.1, is submitted by each of the Contractors jointly applying for the order. These documents confirm fulfillment of the conditions for participation in the proceedings and the lack of grounds for exclusion to the extent that each of the Contractors demonstrates fulfillment of the conditions for participation in the proceedingsand no grounds for exclusion.
