1. The subject of the Order is the provision of mechanical workshop services at PGE Energia Ciepła SA Branch nr 1 in Krakow. The work consists of comprehensive workshop services (provided at all shifts throughout the week) of performing and regenerating parts of machines, instrumentation and equipment during planned, ongoing and emergency repairs.

Main Site: Place of delivery: PGE Energia Ciepła S.A. Branch No. 1 in Krakow, 31-587 Krakow, ul. Ciepłownicza 1. Works coveredthe subject of the Agreement will be performed only in the Contractor`s workshop.

1. The subject of the Order is the provision of mechanical workshop services at PGE Energia Ciepła S.A. Branch No. 1 in Krakow. The work consists of comprehensive workshop services (provided on all shifts throughout all days of the week) for the performance and regeneration of machine parts, instrumentation and equipment during renovationplanned, ongoing and emergency.

2. A detailed description of the subject of the Order is attached as Annex 1 to the ToR Technical Specification and the Catalog of Mechanical and Work Works as an Annex to the Technical Specification.

I. 1. On the basis of art. 26 section 1 of the PZP Act, in order to demonstrate the lack of grounds for exclusion from the Proceedings and to meet the conditions for participation in the Proceedings, when orderingy before awarding the Contract, he will call the Contractor whose Bid has been highest rated to submit within a designated period, not shorter than 10 days, the date valid as at the date of submitting the following statements or documents: In order to confirm the lack of grounds for excluding the Contractor referred to in point IV 1.1 .:

1.1 Information from the National Criminal Record, to the extent specified in art. 24 paragraph 1 point 13 14 of the PZP Act, subject to art. 133 section 4 of the PZP Act (applies to: natural persons, board members, supervisory board members, proxies, associates of open or partner companies, general partners in a limited partnership or limited joint-stock partnership) issued not earlier than 6 months before the deadline for submitting Offers.

1.2 Information from the National Criminal Register, within the scope specified in wart. 24 paragraph 1 item 21 of the PZP Act (information applies to the contractor being a collective entity), issued not earlier than 6 months before the deadline for submitting Offers.

1.3 Certificates of the competent head of the Tax Office confirming that the Contractor is not in arrears with payment of taxes, issued not earlier than 3 months before the deadline for submitting Offers or another document confirmingdeclaring that the Contractor has entered into an agreement with the competent tax authority regarding the repayment of these receivables, together with any interest or fines, in particular, he obtained the exemption, deferral or installment of overdue payments provided for by law, or withholding in full the execution of the decision of the competent authority. organizational unit of the Zakład UbSocial Security or Agricultural Social Insurance Fund or other document confirming that the Contractor is not in arrears with payment of social security or health insurance contributions, issued not earlier than 3 months before the deadline for submitting Offers or other document confirming that the Contractor has concluded an agreement with the competent authority regarding repayment of these receivables inonce with any interest or fines, in particular, he obtained the exemption provided for by law, deferment or distribution in installments of overdue payments or withholding in full the execution of the decision of the competent authority.

1.5. require an entry in the register or records to be confirmedno grounds for exclusion pursuant to art. 24 paragraph 5 point 1 of the Public Procurement Law Act

1.6. Contractor`s declarations of the lack of a final court verdict or final administrative decision regarding late payment of taxes, fees or social security or health insurance contributions, or in the event of such verdict or decision confirming paymentreceivables together with any interest or fines or concluding a binding agreement regarding the repayment of these receivables. The specimen is Annex 9 to the ToR.

1.7. The Contractor`s declarations of the lack of a ruling against him as a preventive measure forbidding public procurement. The specimen is Annex 8 to the ToR.

1.8. Contractor`s declaration of non-payment of taxes and feeslocal, referred to in the Act of 12 January 1991 on local taxes and fees. The template is Annex 8 to the ToR.

In the case of joint application for the Contract by two or more Contractors, the documents referred to above are submitted separately by each Contractor. If the Contractor uses the resources of another entity under the conditions set out in art. 22a of the PPL Actthe documents referred to above are submitted by each of these entities.

II. 1. If the Contractor has its registered office or place of residence outside the territory of the Republic of Poland, instead of the documents referred to in point I:

1) In point 1.1 1.2, it submits information from the relevant register or, in the absence of such register, another equivalent document issued by the competent authority. judicial or administrative authoritythe country in which the Contractor has its registered office or place of residence or place of residence has the person to whom the information or document relates, to the extent specified in art. 24 paragraph 1 point 13, 14 (subject to Article 133 (4) of the PZP Act) and 21 of the PZP Act

2) In point 1.3 1.5, it submits a document or documents issued in the country in which the Contractor has its registered office or place of residence, confirming the answerHowever, that:

a) He is not in arrears with the payment of taxes, fees, social security or health insurance contributions or that he has entered into an agreement with the competent authority regarding the repayment of these claims together with any interest or fines, in particular he has obtained exemption, deferment or spread in installments of outstanding payments or withholding in full the decision of the competent authority.

b) Its liquidation has not been opened or its bankruptcy has been declared.

2. The documents referred to in item 1) and item 2) letter b) should be issued not earlier than 6 months before the deadline for submitting Offers. The document referred to in item 2) letter a) should be issued not earlier than 3 months before the expiry of that period.

3. If in the country in which the Contractor has its registered office or place of residencea or the place of residence of the person to whom the document relates, does not appear to the documents referred to in point 1. they are replaced by a document containing respectively the statement of the Contractor, with an indication of the person or persons authorized to represent it, or the statement of the person to whom the document was to apply, submitted to a notary public or a judicial, administrative or local authorityprofessional or business order appropriate for the seat or place of residence of the Contractor or the place of residence of that person. The provisions of item 2 shall apply.

4. In case of doubt as to the content of the document submitted by the Contractor, the Employer may contact the competent authorities of the country in which the Contractor has its registered office or place of residence or the place of residence, respectively, of the person, which the document concerns, to provide necessary information regarding this document.

5. Contractor having its registered office on the territory of the Republic of Poland, in relation to a person residing outside the territory of the Republic of Poland, to whom the document referred to in point I.1.1 applies. and 1.2, submits the document referred to in point II.1.1) to the extent specified in art. 24 paragraph 1 point 14(subject to Article 133 (4) of the PZP Act) and 21 of the PZP Act. If, in the country in which the person to whom the document was supposed to reside, does not appear such documents, it is replaced by a document containing the person`s statement submitted before a notary public or before a judicial, administrative or professional or economic self-government body competent for the citytheir residence. The provisions of point 2, first sentence, apply.

1. The subject-related public procurement procedure is conducted on the basis of the Public Procurement Law (i.e. ) under an open tender procedure with an amount equal to or exceeding the amounts specified inwritings issued on the basis of art. 11 paragraph 8 of the PZP Act pursuant to art. 39 et seq. Acts on from art. 132 section 1 point 3 and art. 134 section 1 of the Act and executive regulations issued on its basis and this ToR.

2. The contracting authority will use the option provided for in art. 24aa section 1 PZP, i.e. will evaluate the Offers, and then examine whether the Contractor whose Bid has been assessed as the most advantageouslater, is not subject to exclusion and meets the conditions for participation in the Procedure.

3. In order to assess whether the Contractor relying on the capabilities or situation of other entities on the principles set out in art. 22a of the PZP Act, will have the necessary resources to the extent necessary to properly perform the Public Contract and assess whether the relationship between the Contractor and these entities guarantees realregular access to their resources, the Employer requests documents or information, which specify in particular:

3.1 Scope of resources available to the Contractor of another entity.

3.2 The method of using the resources of another entity, by the Contractor, when performing the Order.

3.3 Scope and period of participation of another entity for performance of the Public Contract.

3.4 Information or entity, on the capacity of which the Contractorconsists in relation to the conditions of participation in proceedings regarding experience, will carry out works or services to which the abilities relate.

4. With respect to conditions regarding education, professional qualifications or experience, Contractors may rely on the abilities of other entities, if these entities carry out works or services for which they areutilities are required.
