TERMS OF REFERENCE FOR BOARD EFFECTIVENESS AND DYNAMICS The Tobacco Industry and Marketing Board (TIMB) is a statutory body established in terms of the Tobacco Industry and Marketing Act [Chapter 18:20], mandated to regulate the production and marketing of tobacco in Zimbabwe. In line with good corporate governance practice and the requirements of the Public Entities Corporate Governance Act [Chapter 10:31], TIMB has constituted a Management Integrity Committee (MIC) whose mandate includes promoting a culture of honesty, integrity and accountability, and strengthening the organisation's capacity to prevent, detect, investigate and respond to fraud and other integrity violations. Fraud and corruption risks continue to evolve in complexity, driven by factors such as collusion, weak internal controls, advances in technology and economic pressures. It is therefore critical that members of the MIC are equipped with up-to-date knowledge, skills and practical tools to effectively discharge their oversight responsibilities in relation to fraud risk management. TIMB therefore seeks to engage a suitably qualified and experienced consultant (individual or firm) to design and deliver a structured training programme on fraud management for members of the MIC.
