Expression of Interest are invited for Facility Maintenance Service in Tripoli.

Details of any litigation, in progress or within last five (5)-years, for a prospective claim value in excess of United States Dollars, Five Hundred Thousand (US$ 500, 000).

Eni North Africa BV intends to avail itself of the cooperation of qualified and experienced Contractor(s) for the services detailed in the attachment, therefore Eni North Africa BV intends to run a Prequalification process for Vendors that will demonstrate capability and provide the following minimum documentation:

1. Administrative Documentation

o Place of incorporation and details of the entity (Holding or part of a Group) that will be submitting an offer in case Tender will take place, plus details of any Parent Company and Ultimate Holding Company;

o Following data from last 3 years financial accounts;

§ Capital Values, Net Assets and Turnovers

§ Shareholders funds, i.e the owner's (or shareholder's) equity. It represents the funds/money invested in the company by the owners(or shareholder)

§ Short-term assets (current assets)

§ Short-term debts (short-term liabilities);

o Number of registered employees up to date, Main declared activity, name of the Managing Directors and of the person entitled by power of attorney to sign Contracts on behalf of your company.

o Details of any litigation, in progress or within last five (5)-years, for a prospective claim value in excess of United States Dollars, Five Hundred Thousand (US$ 500, 000).

o Shareholding structure/chain, from the entity that will be submitting an offer in case of Tender will take place to the Ultimate Beneficial owners.

o “Eni-s Suppliers Code of Conduct” and “Compliance declaration” signed by a duly authorized signatory/representative. In case of a Joint Venture/Consortium, or other type of Grouping, such documents shall be signed by all Parties in order to be legally binding upon each and all of them.

o Shareholding structure/chain, from the entity that will be submitting an offer in case of Tender will take place to the Ultimate Beneficial owners.

o Copy of certified statement of registration in Libya - Chamber of commerce (Scan copy of the originals and translation into the English language, were applicable)

o Copy of Tax Certificate (Scan copy of the originals and translation into the English language)

o Company Social Insurance Code (Scan copy of the originals and translation into the English language)

o Receipts of the last3 months Social Security Contribution Payment (Scan copy of the originals and translation into the English language)

o Company / Group's structure chart

o Company's organization chart;

o Name of the shareholders, together with the percentage and the title of share ownership;

2. Technical Requirements

o Vendor shall have a minimum experience of 3 years in the maintenance Services market and provide the description of similar services already executed in the past 3 years in Libya with evidence and the list of Companies/Organizations that Vendor had business contract with.

o Vendor is having an Office with its own staff (Supervisor, Technicians performing the Service in Tripoli). Complete Address, Information, license and registration to Provide.

o Professional experiencesof the personnel responsible for the Service on site, such as Supervisor, Technician, and/or Engineers performing studies or projects related to the Service (CV, training, courses, diplomas, certifications, previous professional experience in the same functions, etc.).

o List of chemical productsused in the performance of the Service and relative MSDS (Material Safety Data Sheet).

Note: these products shall comply with EN or similar Norms and/or Standards.

· Organigramdemonstrating the Service structure.

· Vendor to provide a detailed CV specialist technician part of the technical offer in all air conditioning systems split types, VRF, VRV (HVAC), with minimum experience of 3 years in this field

· Vendor to provide a detailed CV for (building) electrician specialist as part of the technical offer, with minimum experience of 3 years in this field

· List of Subcontractor(S)with whom Vendor is expected to have agreement. Authorized Company Brand Representatives or Authorized Dealers shall provide evidence of their status (current Agreements in place with the Companies they represent).

· Organization Chart(including the Health, Safety, Environmental Supervisor) demonstrating the Service structure for ongoing maintenance activity and to provide evidences, procedures, records, invoices and documentation review regarding Maintenance Management process.

· Health, Safety, Environmental (HSE) Requirements

· HSE Policy, HSE Manual and/or list of the HSE IMS procedures

· ISO 14001:2015, ISO 45001:2018 Certification, if available

· HSE Organization for subject Contract Scope

· Draft of HSE Plan

· HSE Personnel Competences (Qualifications and training)

· Team Leaders and discipline/Trade Supervisor/Coordinator (Qualifications and training)

· HSE Risks Assessment documentation related to activities required to carry out subject scope

· Vendor-s HSE statistics for each of the last 3 years with details of method of accident and incident reporting:

o Number of Unsafe Acts / Unsafe Conditions

o Number of Near-Misses

o Number and type of Incidents-Accidents

o Number and type of injuries

o Number of fatalities

o Total worked manhours by workforce

o Severity / gravity Index

o Frequency rates/TRIR/LTIF

o Number of occupational diseases

o Vendor-s definition of lost time incident and Total Recordable Injury

· List of PPE intended to be used with relevant certification standards

· Evidences about the: Fire fighting arrangements, First Aid arrangements, Lifting

Equipment lists and their relevant certificates

· Declaration/Statement with CONTRACTOR Top Management stamp that the equipment, machines and safety components that will be used in COMPANY premises by the Vendor and its potential Subcontractors are in compliance with legal requirements and are inspected as required by manufacturer and local laws and/or International Standards.

Note: All COMPANY-s HSE requirements which are applied to the Vendor are automatically applied (identically) for any subcontractor identified by Vendor

“Scope of Work Summary”

OBJECTIVE

The Scope of Work for the execution of the Service consisting is the Preventive and Corrective Maintenance Services for equipments, Civil Works, Civil Engineering Maintenance Services and Supplies necessary for the purpose of, but not limited to, the proper and efficient preservation and work conditions of all equipments, assets, facilities and premises in a building composed of basement, ground floor, 7 floors and terrace.

Other Maintenance Services and/or Civil Works might be requested in COMPANY-s premises.

The Scope of Work comprises the main activities here below indicated:

a- Provide Preventive Maintenance services for the existing equipments hereunder indicated based on scheduled visits.

b- Provide Corrective Maintenance services for the existing equipment hereunder indicated, on call basis, in the event of any malfunctioning of the equipments.

This Service shall be considered on a 24/7 availability basis.

c- Provide the supply, installation and maintenance of any mechanical, electrical or electronic equipment and spare parts requested by COMPANY and according with CONTRACTOR capabilities for its supply and installation.

d- Provide technical support, Electrical, Mechanical, Electronic and Civil Works for the mentioned equipments or premises by qualified engineers or certified technicians.

In addition:

Pest Control: in The Scope of Work of this Service is included the performance by CONTRACTOR of Pest Control Service concerning insect's disinfestation, deracination and anti-bacterial disinfection.

Civil Works: could be requested to CONTRACTOR and are usually related to the “Revamping” of COMPANY-s premises and residences

Technical Support: it may include the request for specialized or specific technical support in the areas of Electrical, Mechanical, Electronic and Civil Works for the mentioned assets and equipments or premises by qualified engineers or certified technicians

The Service to be provided shall be carried out in the domestic dwellings and stores, kitchens and work places, sewage and drainage areas, open grounds and gardens within the perimeters of the premises

The Service shall be generally related but not limited to the implementation of routine and specific pest control and environmental hygiene operations using CONTRACTOR's materials and equipment to control and/or eliminate micro-organisms, parasites, insects, rats and similar considered harmful to the health and well-being of humans in their work place and/or dwelling or to COMPANY's goods and materials in store.
