Single State Open Competitive Selection- Request for Proposals

Project Description: The City of Ulaanbaatar (the “City” or “Ulaanbaatar”) is one of the coldest capitals in the world, and home to over 40 per cent of Mongolia-s population. Therefore the reliability and quality of the district heating services in the City are of great importance to the nation-s well-being.

The European Bank for Reconstruction and Development (the “EBRD” or the “Bank”) is considering financing the capital expenditure (“capex”) programmes alongside capital grants from bi-lateral or multilateral donors. The Ulaanbaatar District Heating Project is expected to have a capex value of 15.0 M USD and the District Heating Extension Project 12.0 M USD (the “Project”).

Assignment Description: EBRD intends to select and contract a consulting company (the “Consultant”) to prepare a Feasibility Study (“FS”) for the Company and the City, which the Bank can use to appraise the Project and take a decision on the prospective financing. In practice, this will be a single FS with two Priority Investment Plans (“PIP”), one for Ulaanbaatar District Heating Company (“UBDH” or the “Company”), owned by the Ministry of Energy, Ministry of Finance and the State Property Committee and another for the City Housing and Public Utilities of Ulaanbaatar (“OSNAAUG”) (the “Assignment”).

The expected outcome of the Assignment is preparation of the Feasibility Study that can appraise structuring sound investments for the Bank.

The selected Consultant is expected to provide the following services:

- Baseline study;
- Definition of the Project;
- Long-term investment strategy;
- Priority investment programme (PIP);
- Financial analysis;
- Potential for carbon trade;
- Environmental and social assessment.
- DH accumulator best practice technical visit.

Consultant Selection Procedure: Single stage open competitive selection. Interested firms or groups of firms are invited to submit a Technical and Financial Proposals.

Assignment Start Date and Duration: The Assignment is expected to start in Q3 2018 and has an estimated overall duration of 18 weeks.

Cost Estimate for the Assignment: EUR 350, 000 (exclusive of VAT).

Funding Source: It is expected that the Assignment will be funded by the EBRD. Please note that selection and contracting will be subject to the availability of funding.

Eligibility: There are no eligibility restrictions based on the consultant's country of origin.

Consultant Profile: Corporate services are required. The Consultant will be a firm or a group of firms preferably with:

- Practical experience in developing feasibility studies for IFIs and a good knowledge of IFI procedures and rules on public procurement and disbursement policies.
- Deep knowledge of the district heating sector, with international experience of not less than 10 years, specifically institutional and legal framework aspects, environmental and social requirements; local financial management standards, professional standards of technical knowledge internationally as well as in the region.
- Practical experience of similar assignments in district heating sector in countries with comparable conditions to Mongolia.

The Consultant's expert team is expected to include the following key experts (the 'Key Experts'):

- Key expert 1 - District Heating Engineer (Project Manager/Team Leader) with a university degree or equivalent qualification and preferably 15 years professional experience in the field of district heating, with comprehensive experience of conducting similar assignments in countries with comparable conditions to Mongolia, as well as experience in institutional and commercial management of district heating companies. He/she should demonstrate management and administration experience, including experience with procedures of international financing agencies (preferably EBRD procedures). The large number of different tasks and the complexity of administrational procedures require a permanent presence of the Project Manager in the Country during the project period of intensive work on preparation of the Feasibility Study.

- Key expert 2 - Technical Specialist(s) and Engineer(s) with a university degree or equivalent qualification in engineering with preferably 7 years professional technical experience in engineering and design in the field of district heating, biomass fuel handling and co-generation plants.

- Key expert 3 - Environmental and Social Specialist(s) with experience in conducting environmental and social assessments with specific expertise in the district heating sector as well as good knowledge and understanding of EBRD-s environmental requirements, demonstrated previous experience of working with IFIs and with utilities in Mongolia (or similar countries).

- Key expert 4 - Institutional Expert with preferably 7 years previous relevant professional experience in carrying out similar assignments in Mongolia or similar countries..

- Key expert 5 - Legal Expert with a legal qualification with relevant experience in the areas of natural monopolies regulation and knowledge of Mongolia-s tariff legislation.

- Key expert 6 - Financial Specialist with preferably 10 years or more previous relevant professional experience in delivering comparable assignments in countries with similar market conditions with solid experience in building lean financial models in line with best practices based on IFRS, knowledge of accounting for lease arrangements and the ability to produce a full set of financial statements including Balance Sheets, Cash Flow and Profit and Loss Statements for the forecast period.

- Local experts with good communications skills and evidenced technical knowledge of in project planning, design and implementation and operations in the district heating sector.

The Consultant shall engage Mongolian speaking staff on their team or arrange for translation/interpreting when necessary. All experts must be independent and free from conflicts of interest in the responsibilities accorded to them.

- The Technical Proposal shall be submitted in English electronically via eSelection not later than the Closing Date, as one single PDF file. The technical proposal should not exceed 25 pages excluding the Declaration Form and CVs (Form 1- TP 1 and Form 1 - TP 6).

- The Financial Proposal (Form 2 - FP 1 and FP2) shall be submitted in English separately by email only to the Bank Contact Person. Consultants are reminded of the requirement to ensure the confidentiality of the Financial Proposals. A Technical Proposal that contains elements of a financial proposal shall be declared non-responsive.

Selection Method and Evaluation Criteria:

- Technical Proposal Evaluation Criteria
- Firm's previous project experience in conducting similar assignments for IFIs with a good knowledge of IFI procedures and rules on public procurement and disbursement policies preferably in Mongolia or countries with comparable conditions (20%)
- Quality of the methodology proposed for the Assignment (20%)
- CVs of the Key Experts 1 to 6 (60%)
The minimum technical score (St) required to pass is 70.

- Opening of Financial Proposals

After the technical evaluation is completed, only the submissions which score 70 or above of the total marks available for the technical criteria will be eligible to have their financial proposals opened.

- Combined Technical and Financial Evaluation

The lowest evaluated Financial Proposal (Fm) is given the maximum financial score (Sf) of 100. The formula for determining the financial scores (Sf) of all other Proposals is calculated as follows:

Sf = 100 x Fm/ F, in which “Sf” is the financial score, “Fm” is the lowest evaluated Financial Proposal, and “F” the price of the Proposal under consideration.

Proposals are then ranked according to their combined technical (St) and financial (Sf) scores using the weights (T = 80; F = 20) T + F = 100 as follows: S = St x T% + Sf x F%.


Important Notes:
- The proposal validity period is 120 days from the deadline date for the receipt of submissions. During this period, the Consultant shall maintain its original Proposal without any change, including the availability of the Experts, the proposed rates and the total price.

- The selection will be made from the Proposals received in response to this notification only, on the basis of the submission requirements and selection criteria set out in this Procurement Notice. The highest-ranked Consultant will be selected and invited to negotiate the contract, subject to availability of funding.
