ASSIGNMENT DESCRIPTION
In order to meet its goals under the MSDP, Myanmar recognizes the need to substantially increase investment in infrastructure. Due to fiscal constraints, it also recognizes the importance of mobilizing private sector finance to help address the significant infrastructure deficit in the country. MYANMAR PPP SUPPORT:

STRENGTHENING OF PPP ENABLING ENVIRONMENT &

PREPARATION OF OUTLINE BUSINESS CASES
TERMS OF REFERENCE

1. BACKGROUND AND OBJECTIVES OF THE CONSULTANCY

In 2018, Myanmar laid out its first comprehensive vision for a democratic, peaceful and prosperous country in the form of the Myanmar Sustainable Development Plan 2018-2030 (MSDP). The MSDP offers a consolidated articulation of the country-s national development priorities and sets out an ambitious program of interventions to achieve such goals. Implementation of the MSDP is only just beginning and actions are still underway to further articulate operational priorities and specific programs and projects that can be translated into annual budget plans for individual ministries.

Despite these positive trends, much still remains to be done. Decades of under-investment in infrastructure across Myanmar-s vast territory has limited the country-s access to global value chains and left many firms and individual-s cut-off from services and markets. Financing remains a constraint to infrastructure development, as public revenues are limited and domestic capital markets lack products with long tenors, thereby emphasizing the need for innovative financing solutions. In addition, increased capacity of government entities to prioritize investments and ensure their timely implementation will be needed to optimize operational efficiency and attract the required level of financing for infrastructure, from both public and private sources.

In order to meet its goals under the MSDP (e.g. universal access to electricity by 2030), Myanmar recognizes the need to substantially increase investment in infrastructure. Due to fiscal constraints, it also recognizes the importance of mobilizing private sector finance to help address the significant infrastructure deficit in the country. In this context, the Government issued a Presidential Notification in November 2018 that established the Project Bank and the PPP Centre .

The Project Bank was established under the Ministry of Planning, Finance and Industry (MOPFI ), with the objective of receiving project submissions from various government agencies and then screening and prioritizing these projects, based on certain criteria including financial viability, environmental and social risks, socio-economic effectiveness and sustainability, so as to more effectively and efficiently allocate limited government resources to such prioritized projects. In addition, MOPFI established a PPP Centre to complement the Project Bank and help facilitate, prepare and implement PPP projects.

The Project Bank is currently in the process of screening and scoring a number of projects that have been submitted by several ministries/line agencies and through this process has developed an initial pipeline of projects, some of which have the potential to be procured through a PPP structure. The Project Bank currently has 129 pipeline projects listed across a number of sectors (http://operationsportal.worldbank.org/secure/P172712/home?tab=documents).
However, as the use of PPPs in Myanmar to date has been very limited (a successful example is Myingyan Power Plant), the capacity of the government to screen, prioritize, structure, procure and manage PPP projects is currently very limited.

Therefore, to help improve and strengthen the enabling environment for PPPs in Myanmar and build capacity, the Government of Myanmar has approached the World Bank to provide support in four specific areas:

1. Help operationalize the PPP Centre, including advice on i) organizational structure and linkages with the Project Bank and the overall Public Investment Management framework, as well as ii) priority guidelines necessary to assist the Implementing Government Agencies (IGAs) properly prepare and implement projects;

2. Provide broad capacity building and analytical tools within the PPP Centre and Line Agencies to support staff to screen, prioritize, structure, procure and manage PPP projects;

3. Provide support and advice on the management of PPP-related Fiscal Commitments and Contingent Liabilities (FCCLs); and

4. Prepare Outline Business Cases on infrastructure projects that are deemed economically viable following a screening exercise.

This support is even more important in the context of COVID-19, as Myanmar is particularly vulnerable to the economic impacts of the COVID-19 pandemic, which may have a major impact both to the demand and supply side of infrastructure. Myanmar-s COVID-19 response will likely require an increase in both health and social protection expenditures, thereby putting increasing pressure on limited public finances and making the need for mobilization of private sector investment for infrastructure even more urgent.
2. SCOPE OF WORK

The scope of work for this assignment is split into four main components:
(i) Support to help operationalize the PPP Centre
To-date, the focus of PPP related support from Development Partners has been on operationalizing the Project Bank. However, the PPP Centre has an important role to play in helping the IGAs prepare and implement PPP projects through, inter alia, issuing guidelines, providing training and capacity building, as well as providing specific transaction related support. However, the PPP Centre comprises mainly of government staff who have little or no e
