Tenders are invited for Legal Consultant Romania Hospital Public-Private Partnership Project

Romania has an oversized hospital sector; characterized by obsolete hospital assets; low reinvestment and the need for better maintenance. Many buildings are dilapidated with equipment; used far beyond their recommended capacity and life cycle. Because of the chronic lack of investment in infrastructure and equipment; very few medical facilities can provide complex medical care in line with international best practice.To tackle the problem; the Municipality of Timisoara (MoT) has decided to consolidate and relocate the Timisoara Municipal Emergency Clinical Hospital (TMECH) currently operated in 14 locations to a new multi-profile hospital. The MoT objective is to attract private sector financing; capacity and expertise using the Public Private Partnership (PPP) modality (the Project). It is envisaged that the Project would be structured as a Private Finance Initiative (PFI); one of infrastructure PPP models; whereby the private partner is expected to design; build; finance and maintain the hospital; while the public partner will continue to be responsible for the provision of clinical services.The grouping of the dispersed clinical services is intended to introduce operational and spatial efficiencies; enhance patient safety; create a more user-friendly working environment for the staff; and allow for a further expansion of the scope of services and improvement of the standards of care. The objective overall is to deliver healthcare in a modern; efficient and patient-centric way.The consolidation of the 14 facilities is expected to be implemented in stages; starting with a smaller size first new hospital facility; with the focus on certain components which can benefit the most from rationalization.IFC PPP Transaction Advisory is advising the MoT in defining and structuring the Project and administering a competitive tender process to select a qualified private investor.The Project will be implemented in two phases:* Phase 1:o Project preliminary feasibility study.o Project due diligence; structuring; preparation of the PPP feasibility study as required by the Romanian legislation.* Phase 2:o Preparation of tender documents (request for qualification; request for proposals and other necessary documents).o Tender Process to be implemented in two stages (prequalification and submission of proposals).IFC now is recruiting a qualified international legal consultant firm (the “Consultant”; the “Legal Consultant”) to support the implementation of the Project in phases 1 and 2; as specified further in these Terms of Reference (TOR). The consultant will work under the coordination and supervision of IFC and will report to the IFC on all the aspects and deliverables of this assignment. IFC will separately recruit an international technical consultant supported by the local legal consultant who will be working under IFC-s supervision and in close collaboration with the Legal Consultant throughout the duration of this assignment.
