ThePhilippines Department of Education (“DepEd” or “Client”) currently has aclassroom backlog of close to 165, 000 classrooms. The shortfall is significantand growing due to constrained government funding, lengthy procurementprocesses and an increasing student population. DepEd is working towardsleveraging PPPs under a scalable model in order to bring in private sectorefficiency and expertise for classroom construction while and also having thebenefit of better fiscal sustainability. Previously Dep-Edundertook PPP -based classroom construction initiatives by way of the PPP forSchool Infrastructure Project (PSIP) phases I and II (awarded in 2012 and 2013respectively). PSIP III, involving construction of at least 15, 000 classroomsis currently underway and is targeted for completion in 2027..DepEd is now planning to launch PSIP IV whichaims to construct up to 40, 000 classrooms (in the Visayas region and in Luzon)under a PPP model. DepEd is expected toappoint IFC to provide transaction advisory services for an initial pilot forPSIP IV to deliver a part of the expected classrooms across a certain number ofsites (the exact numbers of classrooms and locations is still being finalized)(the “Project”)LegalConsultant: IFC is looking toappoint a consortium comprising an international and local (Philippines) lawfirm (Legal Consultant) to provide legal support during the delivery of IFC-stransaction advisory services for the Project. The support will pertain to alllegal aspects of the Project, including legal due diligence, inputs to thetransaction structuring, preparation of project terms and conditions, draftingof the project legal agreement(s) and tender/ bid documents, and legal inputsto the tender/procurement strategy and process. The IFC led transactionadvisory team will also separately appoint a technical consultant and anenvironmental & social (E&S) consultant.
