Expression of Interest are invited for IPPF - MR3: Jordan Schools Facilities Management PPP.
Single Stage Open Competitive Selection
Project Description:
The European Bank for Reconstruction and Development (the EBRD or the Bank) was approached by Ministry of Education (MoE) of Jordan to support preparation of a pilot PPP project to attract private sponsors develop public schools in Jordan. Jordan has around 7, 170 schools, of which about 3, 800 schools are run by the Ministry of Education providing education to 1.33 million students. Public schools in the country are overcrowded with more than 600 schools running on double shift, 830 schools being rented as well as suffering from deteriorating infrastructure, resulting in a sub-standard learning environment.
The EBRD would provide transaction advisory support to MoE to design and implement a pilot project comprising the Design, Build, Finance, Operate, Maintain and Transfer (“DBFOMT”) of up to 15 elementary and secondary schools under a PPP model, with an aim to replicate it across the country in phases. The schools are expected to be powered through renewable energy generation solution. The PPP scheme will include construction and facilities management for the schools, while the provision of all pedagogical services will remain within MoE-s responsibility. The pilot schools are prioritised in locations where existing schools are over-crowded, operate on a double-shift basis, and use sub-par rented properties.
Assignment Description:
EBRD intends to select and contract a consulting company (the Consultant) to provide the abovementioned transaction advisory regarding the implementation of the DBFOMT model. The Consultant should follow a two-phased approach for carrying out this assignment:
• Phase I - Due Diligence and Structuring will consist of a comprehensive diagnostic overview of the Project which entails conducting a technical, E&S, and commercial due diligence to assess the best options available to structure the partnership between the public and the private sector.
• Phase II - Transaction Implementation will conclude with the presentation of the Transaction Structure Report (“TSR”), which will identify potential commercial options and include recommendations on the structure and process for a successful Project.

Consultant Selection Procedure: Single stage open competitive selection. Interested firms or groups of firms are invited to submit a Technical and Financial Proposal.
Assignment Start Date and Duration: The Assignment is expected to start in late May 2019 and has an estimated overall duration of 18 months.
Cost Estimate for the Assignment: EUR 700, 000 (exclusive of VAT).
Funding Source: It is anticipated that the contract will be financed by EBRD Shareholders Special Fund (SSF).
Eligibility: There are no eligibility restrictions based on the consultant's country of origin.
Consultant Profile: Corporate services are required. The Consultant will be a firm or a group of firms preferably with previous project experience related to: social infrastructure PPPs (schools, kindergartens, hospitals) delivered on facility management basis, including the following:
• General experience of the firm in PPP projects;

• PPP transaction experience in similar education sector transactions (including schools) both in developed and in emerging markets;

• Experience of advising government in PPP transactions;

• Strong architectural/engineering capacity (either directly or by partnering with or subcontracting), capable of analyzing the schools from a technical standpoint;

• Experience in: (i) E&S due diligence using IFC PS, the World Bank Group EHS Guidelines and the EBRD Environmental and Social Policies; (ii) E&S requirements of the Kingdom; (iii) E&S services for infrastructure, in particular education sector; (iv) socio-economic studies, stakeholder/community engagement and consultation, and land acquisition and resettlement.
The Consultant's expert team is expected to include the following key experts (the 'Key Experts'):
- Key Expert 1: Project Team Leader - at least 10 years of professional experience in team management and infrastructure PPP projects including (i) similar or relevant transaction tasks executed, and (ii) skills required by the tasks described.

- Key Expert 2: PPP Specialists/ Project Finance Expert - a team of PPP specialists led by a professional with at least 10 years of professional experience in project finance.

- Key Expert 3: School/Facility Management Expert - PPP specialist with at least 10 years of professional experience in facility management PPPs and schools

- Key Expert 4: Civil Engineering Expert/Architect - at least 10 years of technical experience in infrastructure PPPs

- Key Expert 5: Environmental & Social Experts - a team of environmental, social, health and safety specialists led by a professional with at least 10 years of experience of working with IFIs and familiar with IFC and EBRD E&S policies.

- Key Expert 6: Local Tax Expert on PPPs - at least 10 years of professional experience in tax advisory in Jordan and infrastructure PPP projects
Submission Requirements: The consultants are now invited to submit a completed Technical and Financial Proposal as per the standard templates and instructions available at this link: http://www.ebrd.com/documents/procurement/single-stage-package.docx. Interested Consultants should make themselves familiar with these Standard Templates, Standard Instructions and Conditions of Contract in preparation of their proposals.
1. The Technical Proposal shall be submitted in English electronically via eSelection not later than the Closing Date, as one single PDF file. The technical proposal should not exceed 75 pages including CVs and the Declaration Form and (Form 1- TP 1 and Form 1 - TP 6).
2. The Financial Proposal (Form 2 - FP 1 and FP2) shall be submitted in English separately by email only to the Bank Contact Person. Consultants are reminded of the requirement to ensure the confidentiality of the Financial Proposals.
A Technical Proposal that contains elements of a financial proposal shall be declared non-responsive.

A Financial proposal submitted together with the technical proposals via e Selection shall be declared non-responsive.

Selection Method and Evaluation Criteria:
1. Technical Proposal Evaluation Criteria
(a) Firm's previous project experience in similar assignments (20%);

(b) Quality of the methodology proposed for the Assignment (20 %);

(c) CVs of the Key Experts (50 %);

(d) Local capacity, including local partners, local presence, field days, and experience (10%).
The minimum technical score (St) required to pass is 70.
2. Opening of Financial Proposals
After the technical evaluation is completed, only the submissions which score 70 or above of the total marks available for the technical criteria will be eligible to have their financial proposals opened.
3. Combined Technical and Financial Evaluation
The lowest evaluated Financial Proposal (Fm) is given the maximum financial score (Sf) of 100. The formula for determining the financial scores (Sf) of all other Proposals is calculated as follows:
Sf = 100 x Fm/ F, in which “Sf” is the financial score, “Fm” is the lowest evaluated Financial Proposal, and “F” the price of the Proposal under consideration.
Proposals are then ranked according to their combined technical (St) and financial (Sf) scores using the weights (T = 80; F = 20) T + F = 100 as follows: S = St x T% + Sf x F%.
Important Notes:
1. The proposal validity period is 120 days from the deadline date for the receipt of submissions. During this period, the Consultant shall maintain its original Proposal without any change, including the availability of the Experts, the proposed rates and the total price.
2. The selection will be made from the Proposals received in response to this notification only, on the basis of the submission requirements and selection criteria set out in this Procurement Notice. The highest-ranked Consultant will be selected and invited to negotiate the contract, subject to availability of funding.
3. Any updates of and clarifications on this procurement notice shall be announced as updates on this notice, without any other notification. In the event of changes consultants will need to download the updated versions. Consultants are required to periodically check the notice for updates. Failure to take the updates into account while preparing the Proposal may result in disqualification or penalties to the scores in the evaluation.
