Organizational framework

Pursuant to Law 3986/2011 (Government Gazette A152), as amended and in force, the company "Public Utilities Development Fund SA" (hereinafter referred to as "TAIPE" or "Fund") was established for the sole purpose the utilization of the private property of the Greek State included in the Privatization Program of Law 3985/2011 "Medium Term Financial Framework 2012-2015" (Government Gazette A '151), as it has been updated and in force. According to article 188 par. 1 of N.4389 / 2016, TAIDED is a direct subsidiary of "Hellenic Holding and Property SA".

According to the above founding law (L.3986 / 2011), TAEPED uses the private property of the State, which has been assigned to it in accordance with the country's international obligations and the forecasts of the Medium-Term Frameworks of the Financial Strategy. The recovery plan is underway and aims at fueling growth, attracting direct investment in infrastructure, energy, real estate and other sectors of the economy, while at the same time achieving other important benefits, such as job creation, infrastructure modernization and the promotion of the necessary reforms.

TAIPED was established on 1 July 2011 with an initial maturity of six years and already up to 01.07.2020.

The Fund has transferred the assets included in the Medium-Term Programs, which are summarized in three categories:

• Exploitation of Earth

• Infrastructures

• Corporate Portfolio

According to the above founding law (Article 4), a seven-member Board of Experts (SE) has been set up and operates in the Fund. The SE (3), which may be renewed for an equal period of time. The members of the SP are persons of recognized international standing who are distinguished for their scientific training and professional experience in the technical, economic or legal field. Three (3) of the seven (7) members of the SE are indicated to the Governing Board of the Fund by the representatives of the European Commission and the Member States of the Eurozone.

The purpose of this Call for Expressions of Interest is to attract candidates for a vacant post in the Fund's Expert Council.

The Fund's Board of Directors will approve the final appointment.

Position Competencies

The Board of Experts shall give a mandatory opinion:

(a) In the cases provided for in Article 2 (10) and paragraph 4 of the Article

5 of L.3986 / 2011.

(b) Contracts relating to the recovery of an asset of the Fund or of a company whose capital is wholly owned, directly or indirectly, by the Fund, and the contracts necessary for the recovery of an asset, where the latter is required by a decision Board of Directors of the Fund and

(c) For any other matter referred to the Council of Experts on

A decision of the Board of Directors, which requires the prior mandatory advice of the Board of Experts, is completely void if adopted without such an opinion.

The Board of Experts may suggest to the Fund's Board of Directors the adoption of measures that it deems appropriate for the achievement of the Privatization Program.

Candidate profile

The members of the SP are persons of recognized international standing who are distinguished for their scientific training and their professional experience in the technical, economic or legal field. Given the current composition of the SE, the scientific training and the professional experience of the candidate in the technical direction will be considered a qualification.

In particular, candidates will have to demonstrate that they meet the following criteria and have the skills and competencies described below:

• Academic studies of university and quality level.

• At least fifteen (15) years experience with significant achievements in a position of significant responsibility and requirements at the highest administrative level.

• Experience in major Greek or multinational companies as well as in multinational organizations will be appreciated.

• European and international professional experience will be considered a qualification.

• Understanding the field of action of the Fund and the relevant Greek and European policies and regulations.

• Significant knowledge, experience and technical ability to analyze complex issues with proven business perception and in-depth understanding of international and local financial markets.

• Earlier participation in Boards of Directors or advisory committees of large companies / organizations,

will be considered a qualification.
