1. The subject matter of the contract is the provision of services for the needs of the Wrocław University of Technology: a) permanent conseselection of selected ventilation and air conditioning systems; b) service of selected ventilation and air conditioning systems. 2. CPV code: 50712000-9 Repair and maintenance services for mechanical building installations. 3. A detailed description of the subject of the order can be found in Appendix No. 3 to the OP OP. 4. The detailed scope of execution of the subject of the order can be found in the model contract, constituting the Annexk No. 2 SIWZ. 5. List of devices. The price form contains Annex No. 5 of the Terms of Reference. 6. Place of service: Facilities of the Wrocław University of Technology in Wrocław. 7. The order shall be executed with due diligence and in accordance with all requirements contained in the ToR with attachments and possible Information for Contractors. 8. The Contractor is obliged to perform this order subjectwith persons with appropriate qualifications, qualifications, experience and technical means.

The object of the contract is to provide the Wroclaw University of Technology with: a) constant maintenance of selected ventilation and air conditioning systems; ) service of selected ventilation and air-conditioning systems. 2. CPV code: 50712000-9gi in the field of repairs and maintenance of mechanical building installations. 3. A detailed description of the subject of the order can be found in Appendix No. 3 to the OP OP. 4. The official scope of the order is found in the contract template, constituting Annex No. 2 SIWZ.5. The list of devices. The price form contains Annex 5 SIWZ 6. Place of service: Facilities of the Wrocław University of Technology in Wrocławiu.7.Realization of the order is to be carried out with due diligence and in accordance with all requirements contained in the ToR with attachments and possible Information for Contractors.8. The contractor is obliged to perform the subject of the order by persons with appropriate laws, qualifications, experience and technical means - in accordance with the applicable provisions ononce the provisions contained in the ToR and attachments. 9. The Contractor is obliged to have, in the scope of his activity, civil liability insurance for all damages, including both property and personal damages. 10. The orderer has the right to control the performance of the Contractor's employees' activities.

12. The offer must be unambiguous and comprehensive, i.e. cover the entire subject of the order, it must correspond to the content of the specification of relevant conditions of the order. and meet the requirements of the Employer. Contractor at the stage of order completion, -performs the subject of the order in accordance with the requirements of the Ordering Party.13. The contractor, whose offer will be selected as the most advantageous is obliged to submit to the ordering party (before signing the contract) a detailed and explicitly duly completed and signed price form - in accordance with the requirements of the Employer Annex No. 5 to the ToR. 14. The ordering party requires that ZałaNo. 5 to SIWZ, the price form has been - submitted to the ordering party's request, before signing the contract - in paper form, signed by a person authorized to make declarations of will on behalf of the Contractor, and simultaneously on an electronic medium in the xls.

Pursuant to Art. 29 para. 3a uPzp, the Employer specifies the employment requirements by the contractor or subcontractor based on the contract-for the work of persons performing the activities indicated by the Ordering Party in the scope of order fulfillment in the manner specified in Article 22 - 1 of the Act of June 26, 1974 Labor Code (Journal of Laws of 2014, item 1502, as amended), in the following scope order fulfillment - it is not required.
- The deadline for the implementation of the Order is: From the day of signing the contract (but not earlier than from December 1, 2018) toon November 30, 2020 Details regarding the date and conditions for the subject matter of the order can be found in the contract template, constituting Annex No. 2 to the ToR. Each Contractor is obliged to submit a bid bond for the entire period of binding with the offer in the amount of PLN 32, 000.00 (in words: thirty two thousand zlotys) ).
1. The Contractors may apply for the order, who: 1) are not subject to exclusion in oparciu about art. 24 section 1 points 12-23 and (additionally, the Contracting Authority foresees the exclusion of the Contractor) art. 24 sec. 5 points 1 and 8 uPzp, ie:
1.1. in relation to which the liquidation was opened, in the court-approved arrangement in the restructuring proceedings, the creditors' satisfaction is foreseen by the liquidation of their property or the court ordered the liquidation of its assets pursuant to art. 332 par. 1 of the Act ofMay 15, 2015. Restructuring law (ie Journal of Laws of 2017, item 1508 as amended) or whose bankruptcy was announced, with the exception of the Contractor who, after the bankruptcy, concluded an arrangement approved by a valid court order, if the arrangement does not provide for satisfying creditors by liquidating the assets of the bankrupt, unless the court ordered the liquidation of his assets in accordance with art. 366 para. 1 of the Act ofFebruary 28, 2003, Bankruptcy Law (Journal of Laws of 2017, item 2344, as amended); 1.2. which has violated obligations regarding tax payments, fees or social security or health insurance premiums, which the Employer is able to demonstrate by means of appropriate evidence, except in the case referred to in paragraph 1 point 15, unless the Contractor has made payments of taxes, fees or deposits duecharges for social or health insurance with interest or fines or has a binding agreement regarding the repayment of these receivables.2) meet the conditions for participation in the proceedings regarding: 2.1. competences or entitlements to conduct a specific professional activity, if it results from separate provisions, the Ordering Party sets a specific condition in this respect. The orderer recognizes the condition fromand fulfilled, if the Contractor proves to have a certificate for servicing refrigeration equipment, referred to in "Act of 15/05/2015, on substances that deplete the ozone layer and some fluorinated greenhouse gases (Journal of Laws 2017.1951 dated 20/10/2017 r.) 2.2. economic or financial situation, the Employer does not set a specific condition in this respect.2.3. capacity tor professional - the Ordering Party sets a strict condition in this respect. The Awarding Entity will consider the condition fulfilled if the Contractor demonstrates that: 2.3.1 has implemented properly within the last three years before the deadline for submission of tenders, and if the period of business is shorter during this period, at least 1 service consisting of servicing and maintenance of ventilation equipmentand air-conditioning with a value of at least 300, 000 PLN gross - the Ordering Party considers the condition fulfilled if the Contractor shows that: 2.3.2. dissonates persons directed to direct implementation of the order, i.e. indication of 2 people with the appropriate professional qualifications, experience and qualifications: - Current qualifications certificates entitling to work in the position of supervision and operation of the equipmentń, installations and networks of groups 1 and 2 (ordinance of the Minister of Economy, Labor and Social Policy of 28 April 2003 on the detailed rules for determining qualifications for persons dealing with the operation of equipment, installations and networks (Journal of Laws No. 89, item 828)) or equivalent - the Contractor may confirm the fulfillment of conditions referred to in point 1.2) sub-point 2.3. niniThis chapter should, where appropriate and in relation to a particular order, or parts of it, rely on the technical or professional capacity or financial or economic standing of other entities, regardless of the legal nature of the legal relationship that it has with it. Orderer at the same time informs that the "appropriate situation" referred to above will occur only in the casewhen the Contractor, which relies on the abilities or situation of other entities, proves to the Ordering Party that in fulfilling the order will have the necessary resources of these entities, in particular presenting the obligation of these entities to give him the necessary resources to execute the order. The Awarding Entity will assess whether the capacity is made available to the Contractor by other entitiestechnical or professional situation or their financial or economic situation, allow the contractor to demonstrate compliance with the conditions for participation in the proceedings and will examine whether there are any grounds for exclusion referred to in art. 24 sec. 1 item 13 22 and par. 5 points 1 and 8.If the technical or professional capacity or economic or financial situation of the entity providing resources, -do not confirm the Contractor's fulfillment of the conditions for participation in the proceedings or the exclusion basis for these entities, the Employer will demand that the Contractor, within the time specified by the Employer: 1. replaced the entity with another entity or entities or 2. undertook to personally perform the relevant part of the order, if it shows technical or professional capacity or-the financial or economic situation referred to in point 1.2), as appropriate, section 2.3 of this chapter.3. The Awarding Entity may at any stage of the proceedings consider that the Contractor does not have the required capacities if the involvement of technical or professional resources of the Contractor in other economic undertakings of the Contractor may have a negative impact on the implementation of the order. To confirm fulfillconditions for participation in the proceedings and no grounds for exclusion, the Economic Operator together with the offer should submit the following statements and documents valid as at the date of submitting bids:
1.1. Declaration in the form of a single European order document, hereinafter referred to as "EED" prepared in accordance with the standard standard form - In the Commission's implementing regulationOnly in electronic form with a qualified electronic signature (according to Annex No. 4 to the ToR). The information contained in the EO provides preliminary confirmation that the Contractor is not subject to exclusion and fulfills the conditions for participation in the proceedings. The Ordering Authority has described the method in Chapter VI of the SIWZ.1.2 . In the case of reliance on the resources of other entities referred to-in art 22a uPzp Employer in order to assess whether the Contractor, relying on the capabilities or the situation of other entities - will have the necessary resources to the extent that allows proper public order and assessment whether the relationship between the Contractor and these entities guarantees real access to their resources, the Ordering Party requests documents (in specificity by presenting obligationsnot these entities to provide it with the necessary resources for the needs of the order), which specify in particular: the scope of resources of another entity available to the Contractor, how to use the resources of another entity, by the Contractor, while performing the public order, scope and period of participation of another entity in the performance public order.1.3. The contractor that you set upe on the resources of other entities referred to in art. 22a uPzp in order to demonstrate the absence of grounds for exclusion against them and fulfillment to the extent that they relate to their resources, conditions of participation in the proceedings shall submit to EJ regarding these entities.1.4. In the event of a joint application by the Contractors, the EAT shall be submitted by each of the Contractors applying for the contracte. These documents confirm fulfillment of the conditions for participation in the proceedings and no grounds for exclusion to the extent that each of the Contractors demonstrates fulfillment of the conditions for participation in the proceedings and no grounds for exclusion.
2. The contractor within 3 days from the date of posting information on the website referred to in art. 86 par. 3 uPzp, will provide the Ordering Party with a declaration of assignmentthe absence or absence of belonging to the same capital group as referred to in art. 24 sec. 1 point 23 of the Public Procurement Law Along with the submission of the statement, the Contractor may provide evidence that links with another Contractor do not lead to distortion of competition in the contract award procedure (
1.The contractor remains bound by the submitted offer for 60 days.expiry of the deadline for submitting offers.
2. The offer must consist of: 2.1. documents and statements referred to in Chapter VI point 1 of the ToR 2.2. the contractor's tender form - Annex No. 1 to the Terms of Reference, with the indication of the file access password "EAT
2.3. demonstrating the reservation of information constituting a trade secret in accordance with point 7 of chapter xI (if applicable); 2.4. power of attorney in accordance with point 3chapter xI of the ToR (if applicable).
2.5. The Ordering Party requests, together with the offer, the Contractor to provide a description of the item to be ordered, technical specification of the equipment offered to enable compliance with the requirements of the Employer to be completed and signed Annex 3 to the ToR. 3. Contractor within 3 days from the date of posting on the website information about whichreferred to in Article 86 para. 3 uPzp, will provide the Employer with a declaration of belonging or non-affiliation to the same capital group as referred to in art. 24 sec. 1 point 23 of the Public Procurement Law Along with the submission of a statement, the contractor may provide evidence that links with another contractor do not lead to distortion of competition in the procurement procedure (in the case of joint application forOrdering by contractors is made by each contractor jointly applying for the order.)
