1. The subject of the order includes leadsand auxiliary equipment of block boilers at PGE EC S.A. Branch No. 1 in Krakow until full technical efficiency, in accordance with the technical documentation and the Description of the subject of the contract constituting Annex No. 1 to the ToR.

2. Names and codes regarding the subject of the order specified in the Common Procurement Vocabulary CPV: 42162000 Steam boilers.

3. Purchaser requiresemployment by the Contractor or subcontractor under an employment contract of persons performing the activities indicated in the Description of the subject of the contract (OPZ) as appropriate.

4. The contracting authority provides that the option right may be applied as part of these proceedings.

5. The contractor bears all costs related to the preparation and submission of the offer. The Purchaser does not provide for reimbursement of any costs afterworn by the Contractor in connection with his participation in the proceedings, including reimbursement of expenses incurred for the acquisition of a qualified electronic signature.

6. Deadline for the implementation of works:

6.1. date of commencing works: 15.3.2020;

6.2. date of completion of works: 20.12.2020.

1. Contractors who are not subject to exclusion may apply for the order.

2. Execute may take part in the proceedingslawyers for whom there are no grounds for exclusion from the procedure pursuant to art. 24 paragraph 1 point 12-23 of the PPL Act, subject to art. 133 section 4 of the Public Procurement Law, and are not subject to exclusion pursuant to art. 24 paragraph 5 points 1-2, 8 of the PPL Act. Exclusion occurs in the cases referred to in Article. 24 paragraph 7 of the Public Procurement Law

3. Contractor confirming compliance with the conditions for participation in the procedure andIf there are no grounds for exclusion, he is obliged to submit via the purchasing portal a single European order document, hereinafter referred to as "EAT", which must be submitted in electronic form, and the file must be provided with a qualified electronic signature.

4. The contracting authority will call Contractor whose offer was highest rated, to submit the abovementioneddesignated, not shorter than 10 days, valid as at the day of submitting statements or documents, including those confirming the lack of grounds for excluding the Contractor from participation in the proceedings, including:

4.1. information from the National Criminal Register in the scope specified in art. 24 paragraph 1 point 13-14 of the PPL Act, subject to art. 133 section 4 of the Public Procurement Law (concerns: natural persons, board member, membersupervisory boards, proxies, associates of public and partner companies, general partners in a limited partnership or limited joint-stock partnership) valid as at the date of submission (issued not earlier than 6 months before the deadline for submission of tenders);

4.2. information from the National Criminal Register in the scope specified in art. 24 paragraph 1 point 21 of the PPL (information should relate to collective entities)issued not earlier than 6 months before the offer submission deadline;

4.3. certificate of the competent head of the tax office confirming that the Contractor is not in arrears with tax payments, issued not earlier than 3 months before the deadline for submitting bids, or other document confirming that the Contractor has concluded an agreement with the relevant tax authority regardingpayment of these receivables, together with any interest or fines, in particular, obtained by law exemption, deferment or distribution into installments of overdue payments or withholding in full of the decision of the competent authority;

4.4. certificate of the relevant field organizational unit of the Social Insurance Institution or Agricultural Social Insurance Fund or other documenthere confirming that the Contractor is not in arrears with the payment of social security or health insurance contributions, issued not earlier than 3 months before the deadline for submission of tenders, or other document confirming that the Contractor has entered into an agreement with the competent authority regarding the repayment of these receivables with any interest or fines, in particular, obtained the law providedm release, deferment or installment of overdue payments or

4.5. an excerpt from the relevant register or from the Central Register and Information on Economic Activity, if separate provisions require an entry in the register or register, to confirm the absence of grounds for exclusion pursuant to art. 24 paragraph 5 point 1 Pzp; the rest is in section III 1.2;

4.6. Contractor`s declaration of non-issuetowards him a final court judgment or final administrative decision on late payment of taxes, fees or social security or health insurance contributions, or - in the event of such a judgment or decision - documents confirming payment of these claims together with any interest or fines or conclusion of a binding agreement in on the repayment of these claimsyou;

4.7. Contractor`s declaration of no decision against him as a precautionary measure forbidding public procurement;

4.8. Contractor`s declaration of non-payment of local taxes and fees, referred to in the Act of 12.1.1991 on local taxes and fees.

5. In the case of joint application for a contract by 2 or more Contractors, EATthe Contractor indicated in item 3 is submitted separately by each Contractor.

6. If the Contractor uses the resources of another entity under the conditions set out in art. 22a Public Procurement Law, EAT indicated in item 3 also submits this entity together with its commitment to hand over to the Contractor the necessary resources for the needs of the contract.

7. The Employer expects the Contractor to submit a general statement on pfulfilling the conditions for participation in the proceedings in section α in EAT IV Part Contractor not fulfilling further sections in part IV of EAT which refer to the detailed conditions for participation in the procedure (qualification criteria) specified by the Employer.

8. The Awarding Entity does not allow for the rights specified in Section III 1.1. point 1 relying on the capacities of other entities under the principlesArticle 22a of the PPL, while cooperation of Contractors is permissible under the principles provided for in Art. 23 clause 1 Pzp.

9. Contractors who meet the conditions of the economic or financial situation may apply for awarding the contract, including:

9.1. are insured against civil liability in the scope of conducted activities related to the subject of the contract for an amount not lessthan PLN 1, 000, 000.00 (say: one million zlotys).

Note:

The contractor, which relies on the financial or economic situation of other entities, is jointly and severally liable with the entity that has undertaken to make resources available, for damage suffered by the Employer as a result of not being available. these resources, unless it is not at fault for the failure to make the resources available.

1. The proceedings are conducted inopen tender procedure pursuant to art. 39 in relation from art. 134 section 1 of the Act of 29.1.2004 Public Procurement Law (i.e. Journal of Laws of 2018, item 1986, as amended), hereinafter referred to as "Pzp".

2. PGE Energia Ciepła SA Branch No. 2 CUW in Krakow, is the entity authorized to prepare and carry out the procurement procedure on behalf of and for the Employer.

3. Employerprovides for application, in accordance with art. 24aa Pzp, so-called reverse procedure (i.e. it will first evaluate the bids and then examine whether the Contractor whose bid was rated highest is not subject to exclusion and meets the conditions for participation in the procedure).

5. The contracting authority allows the possibility of changing the deadlines for the implementation of works and the public procurement contract on the terms set out in the Contract template constituting Annex 2 to the ToR.

6. The Employer informs that in a situation where the Contractor has its registered office or place of residence outside the territory of the Republic of Poland, instead of the documents referred to in:

1) section III.1.1 point 5.1. submits information from the relevant register or, in the absence of such a register, another equivalent document issued by the competent judicial or administrative authority of the country in which the Contractor has its registered office or place of residence or domicile, the person to whom the information or document relates, to the extent specified in art. 24 paragraph 1 point 13, 14 and 21 of the Pzp;

2) section III.1.1 points 5.3.-5.5. ssubmits a document or documents issued in the country in which the Contractor has its registered office or place of residence, confirming accordingly that:

a) he is not in arrears with the payment of taxes, fees, social security or health insurance contributions or that he has entered into an agreement with the competent authority regarding the repayment of these receivables, together with any interest or fines, in particular obtained by lawrelease, defer or installment of overdue payments or stay in full of the decision of the competent authority;

b) its liquidation has not been opened or bankruptcy has been declared;

7. Documents referred to in item 6 item 1) and 6 item 2) item b), should be issued not earlier than 6 months before the deadline for submission of tenders. The document referred to in item 6 point 2) lit. a), poviatshall not be issued not earlier than three months before the expiry of that period.

8. In the scope not specified in points 6-7 above and in the scope of documents (and their forms) confirming the fulfillment of the conditions for participation in the proceedings, the provisions of the Regulation of the Minister of Development of 26.7.2016 on the types of documents that the Employer may request from the Contractor in proceedings for thighsorder greens (Journal of Laws, item 1126).

9. Offers, declarations, including the initial statement, shall be made, under pain of nullity, in electronic form and shall bear a qualified electronic signature in accordance with Article 10a Pzp

10. The contracting authority hereby informs that detailed information on the protection of personal data was included in point 33 of the Terms of Reference. 11. The contractor submitting the offer remainsthey are bound for a period of 60 days from the date of expiry of the time limit for the submission of tenders.
