1. Subject of the order there are services covering the maintenance and care of greenery in road lanes in the city of Tychy.

Main Site: Tychy, POLAND

1.m orders are services covering the maintenance and care of greenery in road lanes in the city of Tychy.

2. The material scope of the contract includes, among others: maintenance and care of greenery in road lanes,

2.2. maintenance and care of greenery in road lanes along national roads with junctions and maintenance and care of shoulders and ditches in peripheral districts,

2.3.maintenance of trees in road lanes,

2.4. care of seasonal and permanent casting.

3. A detailed description of the order and the requirements of the Ordering Party regarding the subject of the order are specified in:

3.1. description of the subject of the order is attached as Annex 2 to the ToR,

3.2. list of areas I and II:

3.2.1. Annex 3a: list of areas included in area I,

3.2.2. Annex 3b: list of areas falling within skorder of area II.

3.3. Annex No. 4: Offer cost estimate containing a list and quantity of works related to the implementation of the material scope of the contract.

4. In accordance with art. 29 paragraph 3a Pzp:

4.1. The Employer requires from the Contractor (or subcontractor within the meaning of Article 2 point 9b of the PPL) employment on the basis of an employment contract of persons performing activities under the subject of the contract indicated in Annex 2 toTerms of Reference.

4.2. The method of documenting employment above persons, the powers of the Employer in the control of compliance by the Contractor with the above requirements and sanctions for non-compliance with these requirements are set out in the model contract constituting Annex 5 to the ToR.

1. In this regard, the Employer requires that the Contractor:

1.1. he was insured against civil liability in the scope of his related activitieswith the subject of the contract (i.e. activities related to the maintenance of green areas) for an insurance sum of not less than PLN 300, 000.00,

1.2. had financial resources or creditworthiness for an amount of not less than PLN 50, 000.00.

2. The contractor may rely on the economic or financial standing of other entities to confirm that the conditions for participation in the procedure have been met, irrespective oflegal nature of the legal relations that connect him with him, after fulfilling the conditions specified in art. 22a Pzp.

3. If the amounts required in the document mentioned in points 6.10, 7.1.1 and 6.10, 7.1.2 of the Terms of Reference are expressed in a currency other than PLN, the Purchaser will convert them into PLN at the average exchange rate of the National Bank of Poland on the day on which the contract notice was published in the Official Journal of the European Union.If, on the day of publishing the contract notice in the Official Journal of the European Union, the National Bank of Poland does not publish a currency exchange rate table, the Purchaser will adopt the conversion rate according to the last NBP exchange rate table published before the date of publication of the contract notice in the Official Journal of the European Union.

5. A contractor who relies on the ability ofon other entities, he must prove to the Employer that in carrying out the contract he will have the necessary resources of these entities, in particular presenting the commitment of these entities to make available to him the necessary resources for the purposes of the contract. The Contractor is obliged to submit the undertaking referred to in the above sentence in electronic form aboutviewed by qualified electronic signature.

6. The contracting authority envisages the award of an order involving the repetition of similar services.

6.1. The Employer, within a period of 3 years from the date of the basic order, may grant the Contractor, an order consisting in the repetition of similar services, i.e.: Removal of dry trees not covered by legal protection 100%

6.2. The award of the contract will involve an increase in services resulting from the following circumstances: random events, takeover of the area, change of developmentof the area, the need to carry out an increased number of works related to the maintenance of the areas or the need to continue the service in the event that the Contractor is not selected in the public procurement procedure.

1. The Contractor is excluded from the contract award procedure in relation to which any of the grounds referred to in art. 24 paragraph 1 point 12 23 Pzp

2. AwardingPrior to awarding the contract, the Contractor will call the Contractor whose tender has been rated the highest to submit it within a specified time limit not shorter than 10 days, valid on the date of submitting the statements or documents confirming the circumstances referred to in art. 25 paragraph 1 item 1 of the Public Procurement Law:

1) information from the National Criminal Register in the scope specified in art. 24 paragraph 1 item 13, 14 and 21 of the PPL issued onnot earlier than 6 months before the deadline for submission of bids,

2) the Contractor`s statement that he has not issued a final court judgment or final administrative decision regarding late payment of taxes, fees or social security or health insurance contributions, or in the case of such a judgment or decision - documents confirming payment of these claimsand together with any interest or fines or the conclusion of a binding agreement on the repayment of these receivables,

3) the Contractor`s statement that there was no decision against him as a preventive measure forbidding public procurement.

2. Contractor who is subject to exclusion pursuant to art. 24 paragraph 1 points 13 and 14 and 16 20 may provide evidence that the measures he has takenare sufficient to prove its reliability, in particular to prove compensation for damage caused by a crime or tax offense, monetary compensation for harm suffered or compensation, comprehensive explanation of the facts and cooperation with law enforcement authorities and taking specific technical, organizational and personnel measures that are appropriate for fromprevent further offenses or fiscal offenses or improper conduct of the Contractor. The first sentence shall not apply if the Contractor, who is a collective entity, has been ordered by a final court judgment to prohibit the award of a contract and the period of validity of the prohibition specified in that judgment has not expired. In the circumstances indicated in point 6.10.2.SIWZ The Contractor is obliged to fill in the relevant sections in JEDZ and to submit together with the offer the evidence referred to in item 6.10.2 of the SIWZ in electronic form with a qualified electronic signature.

3. If the Contractor has its registered office or place of residence outside the territory of the Republic of Poland, instead of the documents referred to in item 6.10.1.1 of the ToR, he shall submit information withthe relevant register, or in the absence of such a register, another equivalent document issued by the competent judicial or administrative authority of the country in which the Contractor has its registered office or place of residence or place of residence, has the person to whom the information or document relates, to the extent specified in art. 24 paragraph 1 points 13, 14 and 21. These documents should be issued not earlier than 6 monthsbefore the bid submission deadline. The provisions of item 6.10.4. 6.10.6 of the Terms of Reference shall apply accordingly.

4. The contractor attaches to the offer: a current statement as at the date of submitting the offers in the form of a uniform European order document (hereinafter EAT). The Contractor submits the EAT with the offer via the "form for submitting, changing, withdrawing the offer" available on ePUAP and sharedon the miniPortal, in accordance with item 6 of the ToR.
