The subject of the contract is insurance of property components, property insurance against all risks, civil liability insurance and casco vehicle risk rail spTramwaje Śląskie S.A. in accordance with the specified scope of insurance coverage for the period from 1.4.2020 to 31.3.2023

A. Property insurance against all risks.

1. The subject of the insurance is the property in possession (autonomous or dependent) of the Employer during the insurance period (also the property in which possession of the Employer / Insured will enter during the term ofinsurance) and other property according to the Terms of Reference.

The insurance covers property irrespective of age, degree of depreciation and actual consumption, date of admission to the register of fixed assets or documenting possession.

B. Third party liability insurance for business operations and property held.

1. Insurance subject:

1.1. The subject of insurance is liabilitycivil law related to conducting business, owning property and performing statutory tasks by Tramwaje Śląskie S.A.

1.2. Liability insurance covers tortious and / or contractual civil liability (including damages arising as a result of non-performance or improper performance of an obligation), as well as concurrent liability (tort / contract) foronce civil liability for the Insured's product, personal damages (including compensation), material damages and pure financial losses, including consequential damages (understood as lost profits) caused in connection with the business conducted and / or owned, used, administered or managed on the basis of any legal title or without legal title, among others: ownership, rental, lease, leasing, lending, spontaneous possession of own and foreign property, as well as property being the property of the Insured transferred in particular to management, administration, use, care or control, if the Ordering Party / Insured is obliged under the provisions of the right to repair the injured suffered by him harm.

I.

1. The Employer shall specify, with regard totaking into account art. 22a 22d of the Public Procurement Law, the conditions for participation in the procurement procedure in such a way that Contractors who meet the conditions for participation regarding competences or powers to conduct specific professional activities may apply for them, provided that it results from separate provisions, i.e. the Contractor shows that pursuant to the Act of 11.9.2015 on insurance activities andinsurance company (Journal of Laws of 10.11.2015 item 1844, as amended), has a permit to carry out insurance activity in respect of all risk groups covered by the contract for the part for which the offer is submitted.

If the offer is submitted by Contractors jointly applying for the orders each of these Contractors (included in e.g. a consortium) should demonstrate that posiada permission as above

Note 1. In order to pre-confirm the fulfillment of the conditions referred to above, the Contractor must include an appropriate statement in Part IV, Section A of the Single European Procurement Document (EAT).

2. The contracting authority will make a preliminary assessment of compliance with the conditions for participation in the procedure and the lack of grounds for exclusion on the basis of the offer form and declaration of evilin the form of a single document (called EAT in abbreviation). In order to confirm compliance with the condition, the Contractor must include the appropriate statement in Part IV, Section A EAT.

II.

1. In order to confirm that the Contractor meets the conditions for participation in the procedure regarding the competence or authorization to conduct specific professional activities, provided that it results from separate provisions of the OrderThe contractor requires the Contractor whose highest bid to be submitted:

1.1. Permits of the competent supervision authority to conduct insurance activity in respect of all risk groups in accordance with the subject of the contract for the part for which the Contractor submits an offer or other document issued by the Polish Financial Supervision Authority confirming the conduct of insurance activity for thesePoland to the extent not less than what results from the subject of the order,

- if the Contractor has its registered office outside the territory of the Republic of Poland instead of the documents specified above, submits the document or documents issued in the country in which it has its registered office confirming, accordingly, that it has the authorization to pursue insurance activity.

I. Contractors who may not apply for the contractare subject to exclusion pursuant to art. 24 section 1 item 12 23 of the PPL Act, subject to the provisions of art. 133 section 4 of the PPL Act. In addition, the Employer provides for the exclusion of the Contractor, on the basis of the condition specified in art. 24 paragraph 5 point 1 Pzp,

II. The contracting authority will make a preliminary assessment of compliance with the conditions for participation in the procedure and the lack of grounds for exclusion on the basis of the offer form and statementof submission in the form of a single document (EAT).

III. In order to confirm that there are no grounds for excluding the Contractor from participation in the proceedings, the Employer requires the Contractor whose bid was highest rated to be submitted:

1. information from the National Criminal Register in the scope specified in art. 24 paragraph 1 item 13, 14 and 21 of the Public Procurement Law, issued not earlier than 6 months before the expiry ofthe time for submitting bids;

2. an excerpt from the relevant register or from the central register and information on economic activity, if separate provisions require an entry in the register or the register, to confirm the absence of grounds for exclusion pursuant to art. 24 paragraph 5 point 1 of the Public Procurement Law;

3. Contractor's statement that he has not issued a final court judgment or final administrative decisionon arrears in the payment of taxes, fees or social security or health insurance contributions, or in the event of such a judgment or decision on documents confirming the payment of such receivables together with any interest or fines or the conclusion of a binding agreement on the repayment of these receivables;

the Purchaser does not impose specific requirements in terms of meeting the conditionsto participate in proceedings concerning the economic or financial situation

Continued from section III.1.1 of the notice:

4. Contractor's declaration of no decision against him as a precautionary measure forbidding public procurement;

5. if the Contractor has its registered office or place of residence outside the territory of the Republic of Poland, instead of the documents referred to above:

1) item 1 submits information fromthe relevant register or, in the absence of such a register, another equivalent document issued by the competent judicial or administrative authority of the country in which the Contractor has its registered office or place of residence or place of residence, has the person to whom the information or document relates, in the scope specified in art. 24 paragraph 1 item 13, 14 and 21 of the PPL Act,

2) item 2 submits a document or documentsin the country in which the Contractor has its registered office or place of residence, confirming accordingly that:

a) its liquidation has not been opened or bankruptcy has been declared. The document should be issued not earlier than 6 months before the offer submission deadline.

6. If in the country where the Contractor has its registered office or place of residence or place of residence, there is a person to whom the document relates, noDocuments referred to in item 5 do not appear to be replaced by a document containing, respectively, a statement by the Contractor, with an indication of the person or persons authorized to represent him, or a statement of the person to whom the document was intended, submitted before a notary public or before a judicial, administrative or administrative body professional or economic self-government due tothe Contractor's seat or place of residence or place of residence of that person;

7. The Contractor having its registered office in the territory of the Republic of Poland, in relation to a person residing outside the territory of the Republic of Poland, to whom the document referred to in point 1 applies, shall submit the document referred to in point 5 point 1 to the extent specified in Article 24 para. 1 points 14 and 21 of the PPL Act. Ifthe country in which the person to whom the document was intended to reside does not appear, such documents do not appear, it is replaced with a document containing the person's declaration submitted to a notary public or before a judicial, administrative or professional or economic self-government body competent for the place of residence of that person person;

8. Documents referred to in points 5, 6 and7 should be issued not earlier than 6 months before the offer submission deadline.

IV. Single European Order Document (EAT).

1. EAT declaration, referred to in section III.1.1. The contractor shall submit in the form of a single document (EAT).

2. In the event of joint application by the Contractors, the JEDZ statement is made by each of the Contractors jointly applying forhe says. I

. Communication between the Employer and Contractors in these proceedings takes place using electronic means of communication via the Tendering Platform https://tram-silesia.logintrade.net/rejestracja/ustawowe.html, called the Platform. The use of the Platform by the Contractor is free. The Employer reserves the right to communicate with Contractors also forvia e-mail from the address d.osadnik@tram-silesia.pl, this applies in particular to providing clarifications to the content and modification of the ToR, as well as forwarding the request to send the confidential part and reply to this request.

II. The offer and statement referred to in art. 25a (EAT) shall be made, under pain of nullity, in electronic form and provided with a qualified signatureelectronic sem.

III. The offer is the completed Offer Form and the following statements and documents, which the Contractor is obliged to submit through the Platform, i.e.: EAT / declarations JEDZ;

2) appropriate power of attorney if the authorization to sign the offer does not result directly from the registration documents ;

3) power of attorney to represent the Executewcow jointly applying for the award of the contract, which should result in the scope of authorization. A proxy may be appointed to represent Contractors in the procurement procedure or to represent in the procedure and conclusion of the public procurement contract;

4) original guarantee or surety, if the bid bond is paid in a form other than money.

IV. Documentslisted in item 1 4 above shall be made, under pain of nullity, in electronic form and provided with a qualified electronic signature, while the bid bond in non-monetary forms should be submitted together with the offer via the platform, in the original, in the form of an electronic document and signed with a qualified electronic signature by the issuer of the documents referred to inArt. 45 item 6 points from 2 to 5 of the Public Procurement Law

V. The offer validity period specified in section IV.2.6 is 60 days.

VI. The contractor within 3 days of posting on the website the information referred to in art. 86 section 5 of the Public Procurement Law, provides the Employer with a declaration of belonging or not belonging to the same capital group as referred to in art. 24 paragraph 1 point 23 of the Public Procurement Law

VII. Insurance contracts will be concluded and performed with the participation and via an insurance broker, i.e. a Consortium of companies: Nord Partner Sp. z o.o., ul. Lubicka 16, 87-100 Toruń, POLAND and Mak Ubezpieczenia Sp. z o.o., al. Wilanowska 208/7, 02-765 Warsaw, POLAND.

VIII. A detailed description of the subject of the order is included in the confidential part being Annex 1 to the ToR.

IX. Information Contractorconfidential information (confidential part of the ToR) may be obtained by submitting a request to send it. The application with a qualified electronic signature is submitted using the form available on the Bidding Platform in the tab regarding the procedure in question. In the application for sending the confidential part of the ToR, please provide details of the Applicant and the Contractor he represents.
