"Conclusion of property insurance for the distribution networks and facilities of Overgas Network AD"

The order includes the selection of an insurer for the conclusion of property insurance for the gas distribution networks (GRM) and facilities of Overgas Network AD. According to the licenses for distribution and supply (including sale) of natural gas GRM (lineageon and underground, incl. Filling of natural gas and overground equipment) as well as the technological communication cable network owned by Overgas Network AD are distributed in the following licensed territories of the company:

Main Site: In the licensed territories of Overgas Network AD: Bozhurishte municipality, Iztok territory, West area, North territory and territoryThe contract includes the selection of an insurer for the conclusion of property insurance for gas distribution networks (GRM) and facilities of Overgas Network AD. According to the licenses for distribution and supply (including sale) of natural gas GRM - linear and underground part, incl. filling-in natural gas and above-ground equipment, as well as the Technological Communication Cable Network (TSKM), ownof the "Overgas Networks" JSC, are distributed in the following licensed territories of the company:

- licensed territory of Sofia Municipality and Bozhurishte Municipality,

- licensed territory "Iztok" - operates in the following municipalities: Bourgas, Nova Zagora, Stara Zagora, Karnobat, Yambol and Tundzha,

- licensed territory "West" - it operates in the following municipalities: KyustendiMontana, Petrich, Mezdra, Bansko and Razlog,

- licensed territory "North" - operates in the following municipalities: Byala, Veliko Tarnovo, Gorna Oryahovitsa, Isperih, Kubrat, Levski, Lovech, Lyaskovets, Pavlikeni, Popovo, Razgrad and Ruse,

- licensed territory "South" - performs its activities in the following municipalities: Assenovgrad, Pazardjik, Peshtera, and Parvomai - The estimated value of the assetsas at 31.12.2022 amounts to BGN 350 000 000.

The participants in the procedure should be persons qualified to carry out insurance activity on the territory of the Republic of Bulgaria, and for foreign persons - to carry out insurance activity under the legislation of the Member State, in which they are established

To prove their fitness to perform insurance activity on the territory of the Republic of Bulgariathe participants should submit a copy of a valid insurance license issued by the Financial Supervision Commission of the Republic of Bulgaria (according to the classes of non-life insurances which correspond to the products required by the assignor specified in the documentation)

Foreign participants should submit a copy of the valid license to perform insurance business (by classes of insurance "Total hinsurance "corresponding to the products required by the assignor specified in the documentation) issued by the respective competent authority of the state in which they are established and meet the requirements for carrying out the activity on the territory of the Republic of Bulgaria

Due to the specificity of the property subject to insurance and the associated high insurance risk and significant total insurance amount-the contracting authority considers it necessary to ensure the reliability of the insurance cover and sets the following requirements to the participants:

1. Participants to hold a credit rating (with a rating rating rating equal to or higher than the one specified), as follows: - Standard and Poor Class A, Moody's Inverters Services Class A2, Fitch Classes A,

- "AM BestBucks" - Class B,

-"Bulgarian Credit Rating Agency" - Class A. - In order to meet this requirement, the participant shall submit (to its technical proposal) an up-to-date document (issued 12 months before the deadline for submission of offers) by the respective credit agency certifying the minimum credit rating.

2 A participant who does not hold a credit rating under the terms of the assignment(to the technical proposal) a cover letter from the company holding a direct or indirect majority stake in the participant's capital (provided that the majority owner holds the minimum credit rating required by the client) for 100% reinsurance coverage on the subject of the assignment, valid for the entire term of the contract. Cover Lettermust comply with the terms of the tenderer's tender. The reinsurer's agreement on the cover letter must guarantee (by assuming the obligation) the same amount of insurance under the same terms and conditions of the insurance according to the bid of the participant, the draft contract and the conditions in the documentation for participation. Letter of Cover to be presented in the original and BulgarianBulgarian. Before signing a contract, the selected contractor should provide an official translation of the cover letter (when the original is in a foreign language). In assurance of this requirement, the participant shall submit (in the original and in Bulgarian language to its technical proposal) an up-to-date document from the respective credit agency certifying the minimum credit required by the contracting authorityrating.

3. In the event that a participant or a company having a direct or indirect majority ownership of the participant's capital does not hold the required minimum credit rating or the participant can not provide a cover letter from the company owning a direct or indirect majority share of its capital, submitted (to the technical proposal) a letter of 100%reinsurance cover / agreement by / with a reinsurer (s) holding the required credit rating valid for the entire duration of the contract. The cover letter / agreement must match the terms of the bid of the participant, and a list of signers who have taken over the reinsurance cover should also be attached to the letter. Consent of the reinsurer in the cover letter / agreement(by assuming the obligation) for the same insurance sum under the same terms and conditions of the insurance according to the tenderer's tender, the draft contract and the terms of the documentation. The Cover Letter should include a valid Cut-through-clause and be presented in the original in Bulgarian. In assurance of this requirement, the participant shall submit (to Technica proposal from the relevant credit agency certifying the minimum credit rating required by the contracting authority
