The subject of the contract is a comprehensive supply of high-methane natural gas (Group E), gas supply along with distribution service to the Employer`s facilities -12 069 312 kWh (/ - 2 413 862 kWh) in the period from 1.7.2020 to 30.6.2022 according to Annex 1 to the ToR.

1. The subject of the contract is a comprehensive supply of high-methane natural gas (Group E), gas supply along with distribution service to the Employer`s facilities - amounting to 12 069 312 kWh (/ - 2 413 862 kWh) in the period from 01.07.2020 to 30.06.2022 according to the Annex No.1 to SIWZ.

2. Group E gas should be delivered round the clock to delivery points, listed in Annex 1 to the ToR, which is a set of gas devices for connecting the internal network, owned by the Employer with the gas network of the system operator.

3. The Contractor will be obliged to provide standard quality of service to the Employer in accordance with applicable inin this respect by the provisions of the energy law. It should ensure continuity of supplies without any interruptions in supplies, except for the situations described in the Energy Law, IRIESD, tariff and have a reserve guaranteeing continuity of supplies.

4. The ownership of gaseous fuel passes to the Employer after the measurement at the gas meter outlet.

5. The volume of gas consumption for the order is 12 069 312kWh within 24 months for the facilities listed in Annex 1 to the ToR. The demand for gaseous fuel was adopted on the basis of historical consumption of gaseous fuel and may differ from the actual use of gaseous fuel, as it is impossible to determine in advance the amount of gaseous fuel to be delivered to the Ordering Party. The quantity of the order does not constitute an obligation on the part of the Employerfor the purchase of gaseous fuel in the amount given and under no circumstances may be the basis for any claims on the part of the Contractor.

6. In the course of the contract, the Purchaser reserves the right to reduce or increase the total amount of gas purchased and / or the value of gas purchased for distribution up to / - 20% relative to the quantity (value) of the orderin Annex No. 1 to the ToR.

7. Settlements for the sale and distribution of gaseous fuel will be made on the basis of the current indications of the measuring and billing system (data provided by the distribution system operator hereinafter referred to as "osd"), in accordance with the settlement periods resulting from the current osd tariff, with tariffs with the number of readings in year 1 and 2 it is possible to settle nbased on estimated (forecast) consumption. In this case, the final settlement for a given accounting period will be based on the invoice issued by the Contractor after obtaining measurement data from the DSO, which will take into account the amount of gas actually consumed by the Customer.

9. The Contractor undertakes to carry out the procedure for changing the seller of gaseous fuels, in accordance with the Instruction on the Operation and Operation of the Distribution Network (IRiESD) in the scope of providing and using gas fuel distribution services. Data on contracts are included in Annex 1 to the ToR.

10. The supplied natural gas should meet legal requirements andtechnical parameters in accordance with the provisions of the Energy Law of 10 April 1997 and executive acts issued on its basis, and the Act of 16 February 2007 on stocks of crude oil, petroleum products and natural gas, and rules of conduct in situations of a threat to the fuel security of the state and oil market disturbances.

1. The contractor has the right to performoperating in the field of trade in natural gas, on the basis of the current license issued by the President of the Energy Regulatory Office, in accordance with art. 32 of the Energy Law of April 10, 1997

2. To confirm compliance with the conditions for participation in the proceedings referred to in art. 22 paragraph 1b of the Public Procurement Law, the Employer will demand from the Contractor whose bid was assessed as nThe most favorable, to be submitted within a designated period, not shorter than 10 days, valid on the date of submission of documents: the current license to conduct business activities in the field of natural gas trading, issued by the President of the Energy Regulatory Office, in accordance with art. 32 of the Energy Law of April 10, 1997

3. Rely on the resources of other entities:

3.1. The contractor mayin order to confirm compliance with the conditions for participation in the procedure, where appropriate and in relation to a specific contract, or a part thereof, rely on the technical or professional capacity of other entities, regardless of the legal nature of the legal relations linking it,

3.2. The Contractor, which relies on the abilities or situation of other entities, must be proved by the Employeru, that while executing the order, he will have the necessary resources of these entities, in particular presenting the undertaking of these entities to provide him with the necessary resources at the disposal of the order,

3.3. The Employer will assess whether the resources made available to the Contractor by other entities technical or professional capabilities allow the Contractor to demonstrate compliance with the conditions forin the proceedings and will examine whether there are grounds for exclusion against this entity, as referred to in art. 24 paragraph 1 point 13 22 and par. 5 point 1 of the Public Procurement Law,

3.4. If technical or professional capacity as referred to in Section III 1.2. and III 1.3. Announcements do not confirm that the Contractor meets the conditions for participation in the procedure or there are grounds for exclusion for these entities, orderthe ordering party requires that the Contractor within the time limit specified by the Employer:

a) replaced this entity with another entity or entities, or

b) undertook to personally perform the relevant part of the contract, if it demonstrates the technical or professional capabilities referred to in section III of the Notice.

4. Contractors jointly applying for the contract.

4.1. Contractors may jointly apply for uorder sharing,

In the case of Contractors jointly applying for the award of contract and partners in civil partnerships, none of them may be subject to exclusion pursuant to art. 24 paragraph 1 and item 5 point 1 of the PPL Act. Conditions for participation in the progressdetermined on the basis of art. 22 paragraph 1b of the Public Procurement Law, they must meet together, subject to the condition that the "Contractor has the authorization to perform activities in the field of trade in natural gas, based on the current license issued by the President of the Energy Regulatory Office, in accordance with art. 32 of the Energy Law of April 10, 1997, which each of them should meetContractors jointly applying for the contract.

1. The contractor has financial resources or creditworthiness for an equivalent amount or at least PLN 500, 000.00

2. To confirm compliance with the conditions for participation in the proceedings referred to in art. 22 paragraph 1b of the Public Procurement Law, the Employer will require the Contractor whose bid was assessed as the most advantageous to be submitted in the designated, not shortmore than 10 days, the deadline valid as at the date of submitting the documents: Information from the bank or cooperative savings and credit union confirming the amount of financial resources or the Contractor`s creditworthiness, not earlier than 1 month before the deadline for submitting offers for the amount of PLN 500, 000.00. If for a justified reason the Contractor cannot submit documents toregarding the financial or economic situation required by the Employer, may submit another document which sufficiently confirms compliance with the condition of participation in the procedure described by the Employer.

3. In order to demonstrate compliance with the condition of participation in the proceedings regarding the lack of grounds for exclusion from the contract award procedure, the Contractor in circumstances about whichreferred to in art. 24 paragraph 1 and item 5 item 1) of the Public Procurement Law, the Employer shall request from the Contractor whose tender has been assessed as the most advantageous to be submitted within a designated period, not shorter than 10 days, valid on the date of submitting the documents:

3.1. Copy from the relevant register or from the central register and information on business activity, if separate provisions require an entry in the registertru or records to demonstrate the lack of grounds for exclusion pursuant to art. 24 paragraph 5 item 1) of the Public Procurement Law,

3.2. Statements of the Contractor about the lack of issuing a final court judgment against him or a final administrative decision on arrears in the payment of taxes, fees or social security or health insurance contributions, or in the case of issuing such a judgment or a decision confirming documentswho decide to pay these debts together with any interest or fines or conclude a binding agreement on the repayment of these debts according to the model constituting Annex 6 to the ToR,

3.3. Contractor`s declarations of no decision against him as a preventive measure prohibiting him from applying for public contracts according to the model constituting Annex 6 to the ToR,

3.4. Predictionration from the National Criminal Register in the scope specified in art. 24 paragraph 1 item 13), 14) and 21) of the Public Procurement Law, issued not earlier than 6 months before the deadline for submission of tenders.list issued by the competent authority or certificate issued by the relevant certification body of the country in which the Contractor has its registered office or place of residence, indicating the documents constituting the basis for entry or certification, in place of the relevant documents and statements listed in points 2 and 3.

3. As part of the JEDZ proceedings, the entities shall be submitted by:each of the Contractors (in relation to the conditions of participation in the procedure), b) Third parties: EAT of a third party is submitted by the Contractor, if he relies on his resources to demonstrate compliance with the conditions for participation in the procedure; EAT should be completed to the extent that the Contractor uses the resources of a third party; EAT should also apply to the verification of the grounds for exclusion of entity trzeciego; applies both to the situation when the third party is not a subcontractor during the implementation of the contract, as well as the situation when such a subcontractor will be, c) Subcontractors: refers to subcontractors indicated by the Contractor, which the Contractor intends to entrust the performance of part of the contract.

4. If the Contractor indicates the availability of declarations or documents referred to in section III Announcemente-mail, in electronic form, to specified internet addresses of publicly available and free databases, the Employer shall independently download the declarations or documents indicated by the Contractor from these databases.

5. If the Contractor indicates the statements or documents referred to in section III of the Notice, which are in the possession of the Employer, in particular the statementsor documents kept by the Employer in accordance with art. 97 paragraph 1 of the Public Procurement Law, the Employer to confirm the circumstances referred to in art. 25 paragraph 1 point 1) and 3) of the PPL Act, uses the possessed declarations or documents, if they are valid.
