The subject of the order isnodding and employing technical staff for the purposes of providing comprehensive consulting services for enterprises participating in the 2nd and 3rd Edition of the Innovation Manager Academy (AMI) program and supporting recruitment of these enterprises as part of the AMI program, co-financed by the European Union under the Knowledge Operational Program Education Development as describedthe subject of the order, which is Annex 1 to the ToR, and in accordance with the model contract, which is Annex 2 to the ToR.

1. The subject of the contract is the acquisition and contracting of substantive staff for the needs of providing comprehensive consulting services for enterprises participating in the 2nd Edition of the Innovation Manager Academy (AMI) program and support for the recruitment of these enterprisesby implementing the following tasks:

1) Task No. 1: providing professional staff for the needs of the 2nd Edition of the AMI program, including acquiring and contracting Advisors, as described in point VIII.1. Description of the subject of the contract (hereinafter: OPZ);

2) Task No. 2: supporting the recruitment of entrepreneurs and providing comprehensive administrative support for entrepreneurstw participating in the 2nd Edition of the AMI program, and support for the recruitment of entrepreneurs as described in section VIII.2. OPZ, including:

a) conclusion and settlement of contracts for the provision of consultancy services with enterprises participating in the AMI program, including verification of compliance by these enterprises of the conditions of participation in the AMI program after subsequent consultancy cycles and exhibitionsissuing invoices for these enterprises;

b) support in the process of recruitment of enterprises to the AMI program;

3) Task No. 3: reporting to the Employer, including preparation of periodic and final reports, and accounting for the implementation of the subject of the contract, as described in point VIII.3. OPZ.

2. A detailed scope regarding the implementation of the subject of the contractenia referred to in paragraph 1 point 1) and 2) lit. a) will be the subject of orders placed by the Employer, in accordance with the service order template and description contained in item VIII OPZ.

3. The Contractor undertakes to perform the subject of the contract in accordance with the Description of the subject of the contract (OPZ), which is Annex 1 to the contract, and the Contractor`s Offer, which is Annex 2 to the contract.

1. For awarding the contractand contractors who are not subject to exclusion from the proceedings due to one of the circumstances specified in art. 24 paragraph 5 points 1-8 of the Public Procurement Law, which occurred in the relevant period specified in art. 24 paragraph 7 bills

2. 1. The Contractor is required to submit a declaration called the Single European Contract Document (EAT), containing in particular information:

1) that the Contractorconditions for participation in the procedure specified by the contracting authority in Chapter VI of the ToR. The Employer informs that in Part IV JEDZ allows the possibility of completing this document only in section α (alpha) "general statement" and therefore the Contractor does not have to complete any of the other sections in Part IV EAT,

2) that the Contractor is subject to exclusion for the reasons indicated in Article 24 ust. 1 points 13-22 and para. 5 points 1-8 of the Act on Public Procurement Law,

3) about other entities for resources which are referred to in order to demonstrate compliance with the conditions for participation in the proceedings,

4) parts of the contract which the Contractor intends to entrust to subcontractors,

5) about subcontractors, on the resources of which the Contractor does not relate, if it is already known to the Contractor, which subcontractors he intends to entrust the performance of part of the contract.

3. In the event that the Contractor relies on the abilities of other entities on the principles set out in art. 22a of the Public Procurement Law, is obliged to prove to the Employer that while carrying out the contract, he will have the necessary resources of these entities to the extent enabling proper performance of the public contract, in particular presenting the undertaking of these entities to make available to himnecessary resources for the implementation of the order.

4. The awarding entity requires a deposit of PLN 30, 000.00 to be submitted before the submission deadline.

5. The contracting authority anticipated amendments to the contract in - 17 of the contract template, constituting Annex 2 to the ToR.

6. The Contractor, within 3 days of posting on the Platform information about the contractors who submitted offers in the procedure, is obliged toprovide the Employer with a declaration of belonging or non-belonging to the same capital group as other contractors who have submitted offers in the proceedings. Where appropriate, when submitting a statement, the Contractor may provide evidence that links with another contractor who has submitted an offer or partial offer in the same procedure do not lead to distortion of competition in the postProceedings for awarding the contract.

In the case of a consortium, each of the contractors jointly applying for the contract shall submit a declaration. A sample statement will be posted

by the Employer on the Platform along with information from the opening of offers. The Contractor shall provide the Ordering Party via the Platform with a statement on belonging or not belonging to the same capital group.

7.In the offer, the Contractor shall present:

1) in the content of the offer, the Contractor shall present "Description of obtaining AMI technical staff members", in accordance with the requirements and described in chapter XV, section 4 (if applicable),

2) in the content of the offer, the Contractor shall present "Concept of task implementation regarding the recruitment of entrepreneurs to the AMI program ", in accordance with the requirements and described in chapter XV para. 5 (if applicable),

8. The awarding entity informs that it may annul the procurement procedure pursuant to art. 93.1a of the Public Procurement Law, if funds from the European Union budget and non-recoverable funds from aid granted by

Member States of the European Free Trade Agreement (EFTA), which it intends to allocate to finance all or part of the contract, will not be grantedane.

9. The contracting authority informs that it will process personal data obtained during the proceedings. In this circumstance, the Contractor shall make an appropriate statement (point IV.6 of the bid form, Annex 3 to the ToR).
