The objective of this engagement is to obtain structured legal and regulatory advice on the Ukrainian law matters affecting the contemplated DPR securitization and to prepare the regulatory environment for its implementation. The most important deliverables are: (i) a legal feasibility assessment of the transaction under current Ukrainian law; (ii) a gap assessment identifying conflicts between the structure and current legislation; (iii) a package of proposed legislative amendments, removing the identified blockers; and (iv) opinion-grade conclusions capable of supporting transaction legal opinions (true sale, bankruptcy remoteness, enforceability, no-conflict with FX rules).
