Single Stage Open Competitive Selection - Request for Proposals

Project Description:

The European Bank for Reconstruction and Development (the “EBRD” or the “Bank”) is looking to engage a consultant (the “Consultant”) to provide support to the Authorities in Armenia in preparing and implementing competitive tenders for the five solar PV sites recently short-listed by the Armenia Renewable Resources and Energy Efficiency Fund (the “Project”).

Assignment Description:

The Assignment entails: (i) providing support to the authorities on the sizing and split of the five short-listed solar PV sites into different projects that will be covered by a single competitive bidding process; (ii) developing a detailed design for a competitive bidding process, building on the framework for the previous solar PV tender; (iii) preparing, up to the final version, all the tender related documentation; (iv) providing detailed technical, financial and legal assistance to the relevant authorities for the implementation of the competitive procurement scheme.

Consultant Selection Procedure: Single stage open competitive selection. Interested firms or groups of firms are invited to submit a Technical and Financial Proposal.

Assignment Start Date and Duration: The Assignment is expected to start in September 2019 and has an estimated overall duration of 24 months.

Cost Estimate for the Assignment: EUR 1, 200, 000 (exclusive of VAT).
Subject to availability of funding, the performance of the selected Consultant and the business needs, the Assignment may be extended beyond the current scope.

Funding Source: It is anticipated that the contract will be financed by Japan-EBRD Technical Cooperation Fund and other Technical Cooperation Funding Programmes managed by EBRD. Selection and contracting are subject to the availability of funding.

Eligibility: There are no eligibility restrictions based on the consultant`s country of origin.

Consultant Profile: Corporate services are required. The Consultant will be a firm or a group of firms (in which case only the leading firm will be contracted) with previous related project experience and:

A) Economics/Policy expertise in PPP arrangements in the infrastructure sector, notably in the design of support schemes for renewable energy - in particular, support schemes that use a competitive process to determine the level of support for, and the selection of, renewable energy projects;
B) Legal expertise, with experience in:
a. Assisting policymakers and/or bidders in renewable energy auctions/tenders (including experience advising on limited recourse renewable energy project financing and competitive tender arrangements);
b. Drafting secondary legislation in the electricity sector - preferably including full RFPs (including power purchase agreements);
C) Technical expertise on renewable energy projects - in particular, on solar PV projects - including:
a. identifying sites for solar PV capacity, taking into account factors such the capacity of the grid to absorb intermittent capacity, the modelling of electricity systems, and resource assessments;
b. Preferably, experience in providing assistance to regulators on technical aspects of RE projects and acting as Owner-s Engineers (OE);
D) Environmental and social impact assessment expertise - including both international and local experience, as well as knowledge of the IFIs E&S policies requirements;
E) Preferably, experience in the power sector of a country (or more) within the Caucasus region (preferably Armenia), including knowledge of the legislative and regulatory setting and familiarity with the network and grid code.


The Consultant`s expert team is expected to include (at least) the following key experts (the “Key Experts”):

1) Key Expert 1: Team Leader - Expert in Renewable Energy policy and regulatory matters with:

• preferably at least 10 years- experience in project management, specifically in projects related to the power sector;
• proven experience in leading a team of experts and the ability to demonstrate adequate project management skills, managerial skills and team leading experience;
• fluency in English for coordination and report writing purposes;
• considerable experience:
o in designing renewable energy support schemes, preferably competitive bidding processes (preferably at least 5 years); and
o in regulatory matters of the electricity sector, preferably including the integration of renewable energy in electricity markets and systems (preferably at least 10 years);
• Previous experience in transaction advisory services for PPP projects in the energy sector, preferably in Armenia, will be considered an advantage.

2) Key Expert 2: Technical Expert(s) with at least 5 years of experience with involvement in renewable energy projects (notably solar PV) in the capacity of technical expert including:
a. identifying sites for solar PV capacity, taking into account factors such the capacity of the grid to absorb intermittent capacity, the modelling of electricity systems, and resource assessments;
b. Preferably, experience in providing assistance to clients on technical aspects of RE projects and acting as Owner-s Engineers (OE);

3) Key Expert 3: Legal Expert(s) with:
a. at least 5 years (preferably 10 years) of experience in drafting energy sector legislation and regulations relating to renewable energy (for example, power purchase agreements); and
b. experience in advising (at least in one project, preferably in more) clients on the competitive procurement of renewable energy (on the developer and/or the authorities- side).
More than one legal expert can be proposed. The team should include experts with both local and international expertise and experience. In case two (or more) separate legal experts are proposed, the local expert(s) should also be fluent in both English and Armenian;

4) Key Expert 4: PPP Expert with at least 5 years (preferably 10 years) of experience in PPP transaction advisory services in infrastructure and energy (notably solar PV) projects, preferably with past experience of similar assignments in Armenia;

5) Key Expert 5: Financial Expert with at least 5 years (preferably 10 years) of experience in financial advisory services and financial modelling for infrastructure and energy (notably renewable energy) projects;

6) Key Expert 6: Environmental and Social Expert with at least 5 years (preferably 10 years) of experience in advising clients on social and environmental aspects of infrastructure, more specifically energy projects. Experience in advising clients on environmental and social requirements of MDBs will be essential. Further, the Expert should have relevant experience in the Caucasus region as well as in other jurisdictions.

The same expert can act across more than one key expert category, and multiple experts may be assigned to a single key expert category. All the key experts are expected to have strong communication skills, be fluent in English and, preferably, have experience in past projects in the Caucasus region. Experience with similar assignments in Armenia will be considered as a considerable asset. It is essential for at least some of the team members to be fluent in Armenian.

It is essential for the consulting team to include local experts with strong experience in advising on the energy sector in Armenia (for example, on regulatory reform, market design, renewable energy development) - past experience in advising on renewable energy support in Armenia will be an advantage.

All proposed team members must be free from conflicts of interest in the responsibilities accorded to them in accordance with EBRD-s Corporate Procurement Policy.

1. The Technical Proposal shall be submitted in English electronically via eSelection not later than the Closing Date, as one single PDF file. The technical proposal should not exceed 30 pages excluding the Declaration Form and CVs (Form 1- TP 1 and Form 1 - TP 6).

2. The Financial Proposal (Form 2 - FP 1 and FP2) shall be submitted in English separately by email only to the Bank Contact Person. Consultants are reminded of the requirement to ensure the confidentiality of the Financial Proposals.
A Technical Proposal that contains elements of a financial proposal shall be declared non-responsive.
