ASSIGNMENT DESCRIPTION
1. Background
The Government of Vietnam has strengthened its efforts to accelerate investments in renewable energy in order to increase electricity supply diversity, reduce coal import needs, and reduce the growth of CO2 emissions. Its strategic ambitions were formalized and further refined in the Revised Power Development Plan 7 presenting a target of 6.5 percent in 2020 and 10.7 percent in 2030 of electricity generation from renewable energy sources excluding large-scale hydropower and 10 percent in 2020 and 21 percent in 2030 of installed capacity from renewable energy. It stipulates a target of 850 MW of installed solar photovoltaic (PV) capacity by 2020, 4 GW by 2025, and 12 GW by 2030.
To achieve its ambitious deployment targets, the Government of Vietnam is promoting solar and wind power through Feed-in-Tariff (FIT) to mobilize private investments. To support the development of solar PV, the Government of Vietnam, in April 2017, issued Decision 11/2017/QD-TTg, which established a feed-in-tariff (FIT) policy that expired in June 2019. The policy laid out how independent power producers (IPPs) could apply for the FIT and set a tariff of VND 2, 086/kWh (fixed at US$0.0935/kWh) for 20-years power purchase agreements (PPAs). A draft extension of the FIT was released in January 2019 with different PPA prices set per location in the country with a commercial operation date (COD) deadline set for mid-2021 with prices under discussion between US$c 6.71 to US$c 8.8 per kWh. Once implemented, the new solar FIT 2 policy will be valid until December 2021.
To ensure solar deployment does not impede its economic development by imposing additional costs to the electricity production, the Government of Vietnam decided to move from a FIT regime to a competitive bidding one. With the support of the World Bank, the Government of Vietnam has developed a Solar Competitive Bidding Strategy that outlines the main recommendation with regards to deployment schemes and bidding framework as well as the main action points, the Government needs to put in place before it can launch a competitive bid. The main recommendation with regards to deployment selection is that the Government of Vietnam needs to stay in control of where the power will be injected into the grid and such in coordination with its transmission upgrade plan which led to the selection of (i) substation-based competitive bidding, where the Government announces the substations at which the IPPs can connect with an assessed maximum project size; and (ii) solar parks, where the Government not only decides where the connection point is but also provides the land to the IPP. The main action points that the Government needs to implement before launching officially a competitive bidding are (i) key changes to the current regulation through a Ministerial Decree to enable competitive bidding and enacted the changes needed to the Investment Law, and (ii) select the substations under which substation-based bidding and solar parks will be.
To support the Government of Vietnam in enacting the changes required to the current regulation, the World Bank is looking for a consultancy firm with a few key experts (the Consultant) to work with the Ministry of Industry and Trade (MOIT) and the Ministry of Planning and Investments (MPI).

2. Scope of Work
2.1 Objective
The assignment objective is to provide regulatory capacity support to the Government of Vietnam to implement the changes needed to the regulations to enable competitive bidding.
2.2 Outputs
The Consultant shall be responsible for delivering the following tasks. All outputs (reports, ppts) will be provided in English and Vietnamese.

Task 1: Legal Review and Key Changes Needed

Starting from the work done by Baker and McKenzie for the World Bank, the Consultant shall:
a. Meet with all actors and understand what are the key actions that are needed including a kick off meeting with the World Bank team;
b. Develop a short memo presenting the main changes that need to be completed in the different regulations for the pilot competitive bidding to be enabled; and
c. Organize a half-day meeting with all parties to present the key steps.
Outputs: (i) legal memo; and (ii) workshop.

Task 2: Support Writing of the Changes to the Regulation

In support to MPI and MOIT, the Consultant shall:

a. Propose concrete changes with proposed language to be inserted into the main regulation that need to be changes;
b. Work with MOIT and MPI to ensure that the proposed language is aligned with their vision; and
c. Support MOIT and MPI to ensure that the regulation changes are approved by all parties through a presentation.

Outputs: (i) proposed changes to the regulation; and (ii) presentation

4. Expected Skill Set and Team Composition
The selected consultant shall have adequate capacity and experience in legal drafting with MPI and MOIT with regards to energy regulations.
5. Proposal Submission
Submissions shall be received via the World Banks eConsult platform. The proposals shall not be longer than 10 pages including annexes. Specific team members will not be considered for this step of the process. The expression of interest shall focus on (i) understanding of the scope of work, (ii) presentation of the consultancy firm and (iii) its experience related to the scope of work.
6. Firm Profile
It is expected that vendors responding to this selection will be a legal firm based in Vietnam with extensive experience working with MOIT and MPI.
7. Notes
This work is being commissioned by the World Bank as technical assistance support to the Government of Vietnam. The contract shall be issued by the World Bank according to its standard terms and conditions for consultancy services, and all outputs shall be the property of the World Bank unless otherwise specified. It is likely that all final outputs shall be published on the World Bank website in accordance with the World Banks access to information policies.
