The Government of the Togolese Republic, represented by the Ministry of Economy and Finance, has decided to preselect investors for the privatization of the Togolese Bank for Trade and Industry ("BTCI") and to the Togolese Bank Union ("UTB") as part of its policy of liberalizing the economy and disengaging from the banking sector.

BTCI and UTB, with balance sheet totals of CFAF 198 billion and CFAF 281 billion respectively, as of December 31, 2018, have large networks throughout the country. They offer their respective clients (individuals and companies) attractive and adapted products and services, enabling them to be among the leading Togolese banks with a large clientele and prestigious business assets.

The Government of the Togolese Republic intends to dispose of its interests and / or to open the majority of the capital of BTCI and UTB to strategic investors with strong banking and financial skills that enable these banks to realize their full potential to continue their development and thus contribute to the economic development of the country.

To this end, the Government of the Togolese Republic, by the present notice, is issuing a call for pre-qualification to investors who may be interested (the "Bidders") for their participation in the Bidders pre-qualification processes within the framework of the privatization of BTCI and / or UTB.

The selection of the Bidders will be done in two stages through a bidding process. Bidders are therefore invited, first, to pre-qualify to participate in the final bidding process. Only pre-qualified Bidders will be able to participate in this second step. The list of pre-qualification criteria, the required declarations and the necessary documents is included in the pre-qualification file to which this notice is subject.
