Providing IT specialists to perform tasks defined by the Employer, as part of ongoing IT projects for a period of 33 months - Reference Number: DPiZP.2610.11.2018

1. The contract is to be provided by the Contractor to the Agency for Restructuring and Modernization of Agriculture (hereinafter: "the Employer"). Personnelwith qualifications and competences appropriate for the implementation of activities commissioned by the Employer within the framework of IT projects for a period of 33 months, in accordance with the list indicated in point 3 of the Essential Terms of Procurement (hereinafter: SIWZ). posted on the website of the ordering party http://www.arimr.gov.pl under the reference number DPiZP.2610.11.2018.

Main Site: Location of the Ordering Party:

1. The contract is to be provided by the Contractor to the Agency for Restructuring and Modernization of Agriculture (hereinafter: "Recipient") of the IT Personnel with qualifications and competences appropriate to carry out the activities ordered by the Ordering Party as part of ongoing projects information for a period of 33 months, according to the list indicatedm in point 2 below.

2. List and number of IT staff profiles with indication of required competences and experience necessary to implement this order:

2.1. Profile No. 1: four of the older JAVA EE programmers,

2.2. Profile No. 2: three Junior programming developers JAVA EE,

2.3. Profile No. 3: one Senior C programming designerfil No. 4: two Software Testers,

2.5. Profile No. 5: three Senior Angular2 designer / programmers /JavaScript/NodeJS/,

2.6. Profile No. 6: two Younger Angular2 designer / programmers /JavaScript/NodeJS,

2.7. Profile No. 7: three Senior system analysts,

2.8. Profile No. 8: two Younger system analysts,

2.9. Profile No. 9: one younger programmer C-Profile No. 10: one Senior C programmertors

1.1. They are not subject to exclusion from the proceedings under Art. 24 sec. 1 point 12 23 and art. 24 sec. 5 of the Act,

1.2. They meet the conditions for participating in the proceedings in terms of technical or professional capacity.

The Contracting Authority will consider that the Contractor meets the condition of participation in the indicated scope, if the Contractor shows that:

1.2.1. he made in the last three (3) years before the deadline he submitsoffers, and if the period of business is shorter in this period: - At least 2 services, each of them worth not less than PLN 1, 000, 000.00 gross, each of them consisting of providing specialists (Programmer, Analyst, Tester) ) for IT tasks and each service provided for a period of at least 12 months

1.2.2. has the following people whowill be directed by the Contractor to execute the order, possessing relevant professional qualifications, education and experience necessary to execute the order:

1.2.2.1. four older JAVA EE programmers,

1.2.2.2. three younger JAVA EE programmers,

1.2.2.3. one Senior designer-programmer Csoftware controls,

1.2.2.5. three Older Angular2 designer /JavaScript/NodeJS/,

1.2.2.6. two Younger Angular2 designer programmers /JavaScript/NodeJS/,

1.2.2.7. three older system analysts,

1.2.2.8. two younger system analysts,

1.2.2.9. one Junior C programmer-Older PHP programmers,

1.2.2.12. two older VBA and MS Access programmers, Note 1:

Note 1: If the value of the service indicated in the list is given in a currency other than PLN, the Contractor is obliged, for the purposes of these proceedings, to convert its value into PLN according to the average NBP exchange rate (www .nbp.pl table A table of average foreign exchange rates) on the day of service completion-about the scope as above, along with the date of the course and the date of its validity (in accordance with Table A, exchange rates of average foreign currencies) by which conversion was made; in the case of services still carried out in accordance with the table of average foreign exchange rates from the day the order was commenced. Note 2: In the case of requirements regarding staff potential [point 1.2.2.], an occurrence is not permitted the samee person in various roles. Note 3: In the case of Contractors jointly applying for the award of orders:

1) no grounds for exclusion, referred to in point 1.1. each Contractor must meet individually,

2) conditions for participation in the proceedings set out in point 1.2.1. and in point 1.2.2. must meet at least one Contractor or all Contractors jointly.

2. Evaluation of compliance with the above the conditions will be fulfilledNot based on information contained in the relevant documents listed in chapter IV of the ToR. The contents of the attached documents must clearly state that the above-mentioned conditions The Contractor has met.

3. The Procurer will exclude the Contractor from the procedure for awarding the contract:

1) on the basis of art. 24 section 1 point 12 23 of the Act,

2) pursuant to art. 24 section 5 of the Act, i.e.: a) art. 24 section 5 point 1 of the Act, ie the Contractorin relation to which liquidation has been opened, in the court-approved arrangement in the restructuring proceedings, the creditors' satisfaction is foreseen by the liquidation of their property or the court ordered the liquidation of its assets pursuant to art. 332 par. 1 of the Act of 15 May 2015. Restructuring Law (Journal of Laws of 2017, item 1508, as amended) or whose bankruptcy was announced, with the exception of the Contractorwho, after the bankruptcy, has concluded an agreement approved by a final court order, if the arrangement does not provide for satisfying the creditors by liquidating the assets of the bankrupt, unless the court ordered the liquidation of its assets pursuant to art. 366 para. 1 of the Act of 28 February 2003 Bankruptcy Law (Journal of Laws of 2017, item 2344, as amended),

b) Article 24 paragraph 5 point 2 of the Act, i.e. the Contractor who in the manneraviniony seriously violated his professional duties, which undermines his integrity, in particular when the Contractor, as a result of intentional action or gross negligence, failed to perform or improperly performed the order, which the contracting authority is able to prove by means of appropriate evidence, c) Article 24 paragraph 5 point 3 of the Act, i.e. if the Contractor or persons referred to in art. 24 sec. 1 point 14 of the Act, authorized to represent the Contractor remain in the relations specified in Article 17 (1) (2) of the Act of: • Ordering Party,

• persons authorized to represent the Employer,

• members of the tender commission,

• persons who made the declaration referred to in art17 clause 2a of the Act,

- unless it is possible to ensure impartiality on the part of the Employer in a different way than by excluding the lecturefrom the participation in the proceedings. d) Article 24 (5) point 4 of the Act, i.e. the Contractor who, for reasons attributable to him, did not or did not properly execute the prior public procurement contract or concession contract, concluded with the ordering party mentioned in art.3 par. 1 point 1 4 of the Act, which led to the termination of the contract or award damages, - e) Article 24 para.5 point 5 of the Act, i.e. a Contractor who is a natural person who has been validly convicted of an offense against an employee's rights or an offense against the environment if he was subjected to arrest, restriction of liberty or a fine not lower than 3000 zlotys,

f) art. 24 section 5 point 6 of the Act, ie the Contractor, if the current member of its management or supervisory body, coa company in a registered partnership or partner society or a general partner in a limited partnership or limited joint-stock partnership or a proxy was convicted for offenses against an employee's rights or an offense against the environment if he was subjected to arrest, restriction of liberty or a fine not lower than 3000 PLN, g) Article 24 paragraph 5 point 7 of the Act, i.e. Contractor to whomego was issued a final administrative decision on violation of obligations under the provisions of labor law, environmental law or social security regulations, if a fine of not less than 3000 zlotys was imposed by this decision,

h) art. 24 par. 5 point 8 of the Act, i.e. a Contractor who violated obligations regarding tax payments, fees or social security or health insurance premiumsne, which the contracting authority is able to demonstrate by means of appropriate evidence, except in the case referred to in section 1 point 15 of the Act, unless the Contractor has paid the due taxes, fees or social security or health insurance with interest or fines or has concluded a binding agreement regarding the repayment of these receivables.

4. The Contractor is obliged to show that he does notsubject to exclusion from the proceedings.

5. The Contracting Authority informs that according to the procedure indicated in art. 24aa of the Act, it will first evaluate the offers, and then it will examine whether the Contractor whose offer has been evaluated as the most advantageous (according to the evaluation criteria in the Terms of Reference) is not subject to exclusion and meets the conditions for participation in the procedure. In the scope not regulated by the ToR, usethey have provisions of the Regulation of the Minister of Development of 26.07.2016. on the types of documents that can be requested by the contracting authority from the contractor in the proceedings for the award of the contract (Journal of Laws of 2016, item 116).

III. The offer must be submitted on the Bid Form (according to Appendix No. 1 to the Terms of Reference):

1) The offer is submitted under pain of nullity in writing.

2) The contractor is obliged to attach to the offer:

a) Fullomotion (original or notarized copy) to sign the offer, if the offer has not been signed by the persons authorized for these activities with the registration document,

b) Proof of payment of the bid security (the original in the case of payment of a bid bond in a form other than money, it should apply throughout period of being bound by the offer

I. cont. III.1):

2) manner of using the resources of another carrierotu, by the Contractor, while performing the public order,

3) scope and period of participation of another entity when performing the public order,

4) whether the entity, on the capacities of which the contractor relies in terms of participation in education related proceedings, professional qualifications or experience, will provide services whose indicated abilities refer to.

4. The ordering party demands fromContractor, which relies on the abilities of other entities on the principles set out in art. 22a of the Act, to present in respect of these entities the documents listed in Chapter IV.2 point 2.1) lit. a) - i) SIWZ.

II. Refers to Section IV.2.6) Contractors remain bound by the submitted offer for 60 days. The period of being bound by the offer begins with the expiry of the deadline for submitting bids.

III. The method is availableby the Awarding Entity no. 5, 8, 12 and No. 14 to Order No. 40/2008 of the President of ARMA regarding the security of ARMA from 12.6.2008 with amendments referred to in - 4 para. 5 of the template Agreement constituting Annex No. 6 to the Terms of Reference was described in detail in Chapter I.1 point 5 of the SIWZ.
