1.1. The subject of the order is: Supply of land and building registry databases, geodetic record of utilities networks and a database of topographic objects for scale from 1: 500 to 1: 5000 along with digitalization of a part of the poviat geodesic and cartographic resource for the Tomasz-w Maz. Szczegoło communethe description of the subject of the order is specified in Annex No. 1 to the Terms of Reference for the Detailed Description of the Subject of the Order.

1.1. The subject of the order is: Supply of land and building records databases, geodetic records of utility networks and a database of topographic objects for the scale from 1: 500 to 1: 5000 along with the digitalization of a part of the poviat geode resourceand cartography for the Tomasz-w Mazowiecki commune. A detailed description of the subject of the order is specified in Annex No. 1 to the Terms of Reference. Description of the Subject of the Order.

The order will be implemented in stages:

Stage 1: Preparatory work;

Stage 2: Field measurements and EGiB data collection;

Stage 3: Creation of the work EGiB database;

Stage 4: Submission of the draft design toinsight;

Step 5: Establishment of GESUT and BDOT500 working database

Step 6: Digitization of surveying and cartographic resources.

4.1. Minimum warranty periods:

1) For the subject of the orders, the Contractor provides a guarantee for a minimum period of 24 months. The guarantee is one of the criteria for the evaluation of offers (see Chapter 18).

2) The warranty for physical and legal defects of the subject of the order is granted for the period ofduring the warranty period, unless the warranty period is shorter than the warranty period resulting from the Civil Code - then the warranty period is the same as the period resulting from the provisions of the Civil Code.

4.2. Subcontractors.

The Employer allows the use of subcontractors. Contractor:

1) is obliged to indicate in the order form (Annex No. 3 to the Terms of Reference) parts of the orders, the execution of whichfor entrusting subcontractors and giving companies (business name) subcontractors;

2) in the case of signing the contract, the contractor will be obliged to provide - as far as they are known - names or first and last names and contact details of subcontractors and contact persons them. The Contractor will notify during the performance of the contracting entity about any changesdata on subcontractors, as well as providing information on new subcontractors, which he intends to entrust to the implementation of the order in the future.

3) if later change or resignation from the subcontractor concerns the entity for which the Contractor referred to the resources, on the terms specified in art. 22a of the Public Procurement Law, in order to indicate fulfillment of the conditions for participation in postThe Contractor is obliged to indicate to the Ordering Party that the proposed other Subcontractor or Contractor independently meet them to the extent not less than the subcontractor, for which the contractor's resources were invoked during the procurement procedure. Contractual penalties for incorrect reporting of subcontractors and payment for them are set out in the draft contract.

List and brief description of the conditions:

6.1. The order may be applied for Contractors who are not subject to exclusion and meet the conditions of participation in the procedure specified by the orderer.

6.2. The order may be applied forContractors who meet the conditions regarding:

6.2.1. competences or entitlements to conduct a specific professional activity, if it results from separate regulations: - The ordering party does not specify the condition in the abovementioned range.

7.1. The contractor is excluded from the contract award procedure in relation to which any of the circumstances referred to in Article 24 sec. 1 point 12 23 of the Public Procurement Law.

7.2. The Awarding Entity does not provide grounds for exclusion indicated in art. 24 sec. 5 of the Act

7.3. Exclusion of the contractor takes place in accordance with art. 24 sec. 7 of the Public Procurement Law - 8.1. The Contractor is obliged to submit the offer valid as of the day of submitting the offers, constituting preliminary confirmation that the Contractor:

a) is not subject to exclusion,

b) meets the conditions for participation in the procedure.

8.2. Statement, oThe Contractor is obliged to submit in the form of a single document drawn up in accordance with the specimen of the standard form specified in the implementing regulation of the European Commission 2016/7 of 5.1.2016 issued on the basis of art. 59 par. 2 of Directive 2014/24 / EU, hereinafter referred to as "Single Document" or "EAT". by. Annex 4 to the ToR SI

8.3. Contractor within 3 dni from the date of placing information on the website of the contracting authority, referred to in Article 86 par. 5 of the Act (information on the opening of tenders), is obliged to provide the awarding entity with a declaration of affiliation or lack of belonging to the same capital group, referred to in art. 24 sec. 1 point 23 of the Act. In the case of belonging to the same capital group, the contractor may fromsubmit together with the declaration documents or information confirming that connections with another contractor do not lead to distortion of competition in the proceedings. The pattern of the declaration is Annex 5 to the ToR.

9.6. The contracting authority demands from the contractor, which relies on the abilities or situation of other entities on the terms set out in art. 22a of the Public Procurement Law, present a docum in relation to these entitiesentow mentioned in point 8.7.2 SIWZ.

9.8. The Contractor who refers to the resources of other entities, in order to demonstrate the absence of grounds for exclusion and compliance with them, in so far as it relies on their resources, the condition of participation in the proceedings also consists of EED regarding these entities

10.2. In the case of Contractors jointly applying for the award of a contract: a) none of themcan not be excluded due to non-compliance with the conditions referred to in art. 24 sec. 1 of the Public Procurement Law, while compliance with the conditions of participation in the Contractor's proceedings are shown in accordance with item 6.2 of the ToR.

B) The Single Document referred to in point 8.2 SIWZ submits each of the Contractors jointly applying for the order. Documents

These confirm fulfillment of the conditions for participation in the proceedings and thek grounds for exclusion to the extent that each of the contractors demonstrates compliance with the conditions for participation in the proceedings and no grounds for exclusion, c) a statement of affiliation or non-affiliation to the same capital group as referred to in point 8.3 The SIWZ is submitted by each of the Contractors,

d) they are obliged to submit the documents and statements referred to in point. 8.7The ToR, with the documents and statements referred to: - in point 8.7.1 respectively submits the Contractor / Contractor, who / who indicates the fulfillment of the condition, to the extent and on the principles described in point. 6.2 SIWZ,

Documents and statements referred to in point 8.7.2 The ToR shall be submitted by each of the Contractors.

The Ordering Party does not specify the condition in the above-mentioned scope. - Scope, nature and conditions for amending the contract

1. The amendment to the Agreement is acceptable in the scope and on the terms provided for by the provisions of the Act with PPL, in particular:

a. The Parties are entitled to make changes with a total value not exceeding 5% of the total remuneration specified in -5 section 1 of the Agreement, regardless of other cases of changes authorized by PPL. A change made in accordance with this provision, regardless of its valuethat it may not change the nature of the Contract, in particular to replace the object of the order with another type of object;

b. The parties are entitled to introduce non-substantial changes to the Agreement, that is, other than the changes defined in art. 144 para. 1e Pzp;

2. Pursuant to art. 144 para. 1 point 1 of the PPL, the Contracting Authority provides for the possibility of introducing changes to the Contract described below:

a. in the footnoteamendment of the provisions of law, published in the Official Journal of the European Union, the Journal of Laws, the Polish Monitor or the Official Journal of the relevant minister, the Employer allows changes to the manner of performance of the Contract or change of the Contractor's services enforced by such changes of law; in the event justified by technical reasons, in particular disclosed at the analytical work stagech and design, the need to change:

and. the manner of performing the Agreement in the following areas: organizational, tools used, adopted methods and communication channels,

ii. the scope of the subject of the Contract in the area of functional or non-functional requirements, if the resignation of a passed requirement or replacing it with another will result in optimized adjustment of the subject of the Contract to the needs of the Employer, It allows the introduction of appropriate changes taking into account the identified technical reasons, consisting in particular in the modification of the Employer's requirements or a change in the method of their implementation.3. All changes, both significant, which along with the terms of their implementation are provided for in this Agreement or which introduction is possible in accordance with the law, as well as insignificant, will bedocumented as part of the Change Control Procedure. The Change Control Procedure is initiated by submitting the application for change to the Ordering Party or DdT. The application for change will be prepared in writing.

4. If you apply for a change:

a. by DdT, the Contractor, within 7 Working Days from the receipt of the application, will prepare project assumptionsregarding the change requested;

b. by the Contractor, along with such a conclusion, the Contractor will submit project assumptions regarding the proposed change.

5. Project assumptions regarding the change should present all aspects of the change with respect to the scope and mode and terms and conditions of contract amendment, and in particular the description of additional works together with the proposed criteriaru, impact of making a change on SHT, changes in the functional or non-functional scope, scope of cooperation and other factors that may be important for the Employer when making a decision on making a change. Project assumptions related to a given change should also include an indication of the legal basis for its implementation, including, in particular, legal and factual justifications tothe permissibility of a change in a given case.

6. The Parties agree that if the rate of tax on goods and services changes, the remuneration provided for in this Agreement will change to reflect the change in the value of tax on goods and services (will be adjusted by the amount of VAT change), the above change will only apply to parts Salaries coveredinvoices issued after the date of entry into force of the change of regulations

b) the contractor's statement on the lack of issuing a final court judgment or final administrative decision on default of taxes, fees or social security or health insurance premiums, or in the event of such a decision or decision sweat documentsthose that make payments of these receivables, including any interest or fines, or enter into a binding agreement regarding repayment of such receivables - prepared according to the template constituting Annex No. 8 to the ToR; c) the contractor's statement about the lack of a ruling against him as a preventive measure for the prohibition of applying for public orders - drawn up according to the formulago Annex No. 8 to the Terms of Reference;

8.10. If the contractor is established or resides outside the territory of the Republic of Poland, instead of the document referred to in point 8.7.2 lit. a) SIWZ - submit information from the relevant register or, in the absence of such register, another equivalent document issued by the competent judicial or administrative body of the country in which the contractor is established orthe person concerned by the information or document, to the extent specified in art. 24 sec. 1 items 13, 14 and 21, issued not earlier than 6 months before the deadline for submission of tenders;

8.11. The documents referred to in point 8.10 of the ToR should be issued no earlier than 6 months before the deadline for submission of tenders.

8.12. If in a country where youthe con- tractor has the seat or place of residence or the place of residence of the person the document refers to, no document referred to in point 8.10 SIWZ - above, it is replaced by a document containing the statement of the contractor, indicating the person or persons authorized to represent it, or a statement of the person whose document was to be submitted, filed before the notary ora judicial or administrative body or a body of professional or economic self-government appropriate for the seat or place of residence of the contractor or place of residence of that person. Record point 8.11 of the ToR shall be applied accordingly -

8.13. Contractor having its registered office in the territory of the Republic of Poland, in relation to a person residing outside the territory of the Republic of Polandwhich the document referred to in point 8.7.2 lit. a) SIWZ, submits the document referred to in point 8.10 of the ToR, to the extent specified in art. 24 sec. 1 point 14 and 21 of the Act. If in a country where the person is in a place of residence, the document is to be issued, such documents are not issued, it is replaced by a document containing a statement of that person made before the notary or beforea judicial or administrative body or a body of professional or economic self-government competent for the place of residence of that person. Record point 8.11SIWZ shall apply accordingly.

8.17. Documents prepared in a foreign language must be submitted together with the translations into Polish. If the statements and documents referred to in point 8.15 of the ToR are drawn up in a foreign language, the contractor is obligated
