Czerniewice, commune Będkow, gm. Rzeczyca, city Tomaszow Mazowiecki, commune Żelechlinek, commune Inowłodz, commune Budziszewice.

The detailed description of the subject of the order is specified in Annex No. 1 to the Terms of Reference. Description of the subject. Orders.The implementation will be implemented in 2 stages: - Stage 1 - Creation of the GESUT and BDOT500 database along with the digitalization of a part of the poviat geodesic and cartographic resource and modernization of a horizontal horizontal network for the city of Tomasz-w Mazowiecki

Stage 2 - Creation of the GESUT and BDOT500 database with the digitalization of parts poviat geodetic and cartographic resource and modernizationa horizontal horizontal network for the commune area Czerniewice, commune Będkow, gm. Rzeczyca, commune Żelechlinek, commune Inowłodz, commune Budziszewice.

4.2. Minimum warranty periods:

1) For the subject of the orders, the Contractor provides a guarantee for a minimum period of 24 months. The guarantee is one of the criteria for the evaluation of offers (see Chapter 18).

2) The warranty for physical and legal defects of the order is granted onperiod equivalent to the guarantee periods, unless the warranty period is shorter than the warranty period resulting from the Civil Code - then the warranty period is the same for a period resulting from the provisions of the Civil Code.

4.3. Subcontractors.

The Employer allows the use of subcontractors. Contractor:

1) is obliged to indicate in the order form (Annex 3 to the ToR) parts of the orders, whiche) intends to entrust subcontractors and provide companies (business name) subcontractors;

2) if the contract is signed, the contractor will be required to provide - as far as they are known - names or first and last names and contact details of subcontractors and contact persons with them. The Contractor will notify during any execution of the contracting party about anydata changes concerning subcontractors, as well as provide information on new subcontractors, which in the later period intends to entrust the implementation of the subject of the order.

3) if the later change or resignation from the subcontractor concerns the entity for which the Contractor's resources were, On the terms set out in art. 22a of the Public Procurement Law, in order to indicate fulfillment of the conditions of participationu in the proceedings, the Contractor is obliged to indicate to the Employer that the proposed other Subcontractor or Contractor independently meet them to the extent not less than the subcontractor, for which the contractor's resources was invoked during the procurement procedure. Contractual penalties for incorrect reporting of subcontractors and payment for them are specified in the draft contract.

4.5. The Employer does not reserve the obligation of the contractor to perform personally the key parts of the order in the subject of the order.

4.6. The Awarding Entity does not provide for the award of contracts referred to in Article 67 sec. 1 point 6 and 7 of the Act

4.7. Employment clause (Article 29 paragraph 3a of the Public Procurement Law).

The contracting authority does not require employment on the basis of a contract of employment for persons who will perform the contractn.

6.1. Contractors, who are not subject to exclusion and meet the conditions of participation in the procedure specified by the customer, may apply for the awarding of the contract.

6.2. Contractors who meet the conditions regarding:

7.2. The Awarding Entity does not provide grounds for exclusion indicated in art. 24 sec. 5 of the Act

7.3. Exclusion of the contractor takes place in accordance with art. 24 sec. 7 uPzp.

8.1. The Contractor is obliged to submit the offer valid as of the day of submitting the offers, constituting preliminary confirmation that the Contractor:

a) is not subject to exclusion,

b) meets the conditions for participation in the procedure.

8.2. The statement referred to in point 8.1 of the Terms of Reference The contractor is obliged to submit in the form of a single document drawn up in accordance with the standard formin the implementing regulation of the European Commission 2016/7 of 5.1.2016 issued on the basis of art. 59 par. 2 of Directive 2014/24 / EU, hereinafter referred to as "Single Document" or "EAT". by. Annex 4 to the ToR SI

8.3. Contractor within 3 days from the date of placing information on the website of the contracting party, referred to in Article 86 par. 5 of the Act (information from the opening of offers), isbound to provide the awarding entity with a declaration of belonging or non-affiliation to the same capital group as referred to in art. 24 sec. 1 point 23 of the Act. In the case of belonging to the same capital group, the contractor may submit together with the declaration documents or information confirming that connections with another contractor do not lead to distortion of competition in the proceedingsand in. The pattern of the declaration is attached as Annex 5 to the ToR.

9.6. The contracting authority demands from the contractor, which relies on the abilities or situation of other entities under the rules set out in Article 22a of the Public Procurement Law, present in respect of these entities the documents listed in point 8.7.2 SIWZ.

9.8. Contractor who refers to the resources of other entities in order to demonstrate the absence of any grounds for them-exclusion and compliance, in so far as it relies on their resources, the conditions for participation in the proceedings are also submitted by EED regarding these entities

10.2. In the case of Contractors jointly applying for the awarding of orders:

a) none of them may be subject to exclusion due to non-compliance with the conditions referred to in art. 24 sec. 1 of the Public Procurement Law, while fulfillment of the conditions for participation inThe Contractors are declared in compliance with point 6.2 of the ToR.

b) The Single Document referred to in point 8.2 The SIWZ is submitted by each of the contractors jointly applying for the order. Scope, nature and conditions for amending the contract:

1. The change of the Agreement is acceptable in the scope and on the terms provided for by the provisions of the Act with the PPL, in particular:

a. The parties are entitled to make changes with a total value not exceeding 5-% of total remuneration defined in -5 section 1 of the Agreement, regardless of other cases of changes authorized by PPL. A change made in accordance with this provision, regardless of its value, must not lead to a change in the nature of the Contract, in particular to the replacement of the subject of the order with another type of object; The parties are entitled to introduce non-substantial changes to the Agreement, it is different than the changes defined in art. 144 para. 1e Pzp.;

2. According to art. 144 para. 1 point 1 of the PPL, the Contracting Authority provides for the possibility of introducing changes to the Contract described below:

a. in the event of a change in the provisions of the law, published in the Official Journal of the European Union, the Journal of Laws, the Polish Monitor or the Official Journal of the relevant minister, the Ordering Party allows changes toboth performance of the Contract or change of the Contractor's services enforced by such changes to the law;

b. in the event justified by technical reasons, in particular revealed at the stage of analytical and design work, the need to change: - and. the manner of performing the Agreement in the following areas: organizational, tools used, adopted methods and channels of communication,

ii. scope of the subject of the Contract in the areafunctional or non-functional requirements, if the resignation of a previous requirement or replacing it with another will result in optimized adjustment of the subject of the Contract to the needs of the Ordering Party, the Ordering Party allows the introduction of appropriate changes taking into account the identified technical reasons, in particular Those on modifying the Ordering Party's requirements or changing the manner of their implementation.

3. Any changes, both significant, which along with the terms of their implementation are provided for in this Agreement, or the introduction of which is possible under the law, as well as insignificant, will be documented under the Change Control Procedure. The Change Control Procedure is initiated by submitting the Contractor or DdT to the Contracting Authority requesting the change. Application for making changesny will be prepared in writing.

4. If you apply for a change:

a. by DdT, the Contractor, within 7 Working Days from the receipt of the application, will prepare project assumptions regarding the proposed change;

b. by the Contractor, along with such a conclusion, the Contractor will submit project assumptions regarding the proposed change.

5. Design assumptions applythe changes should reflect all aspects of the change with respect to the scope and modalities and terms of contract amendment, in particular the description of additional works along with the proposed acceptance criteria, the impact of changing the SHT, changes in the functional scope or beyond functional scope, scope of cooperation and other factors, which may be important for the Employer when makingand the decision to make a change. Project assumptions related to a given change should also include an indication of the legal basis for its implementation, including, in particular, legal and factual justification of the admissibility of a change in a given case. The Parties agree that in the event of a change in the rate of tax on goods and services, the remuneration provided for in this Agreement shall change accordinglychanges in the value of tax on goods and services (will be corrected by the amount of VAT change), the above change will apply only to the part of the Remuneration covered by invoices issued after the date of entry into force of changes in the law introducing new rates of tax on goods and services.

7. Any changes and additions to this contract may be madeonly in the form of a written annex signed by both Parties.

If the contractor is established or resides outside the territory of the Republic of Poland, instead of the document referred to in point 8.7.2 lit. a) SIWZ - submit information from the relevant register or in the absence of such register, another equivalent document issued by the competent judicial or administrative body of the country in which the contractor is established orplace of residence or place of residence has a person who is concerned with information or a document, to the extent specified in art. 24 sec. 1 items 13, 14 and 21, issued not earlier than 6 months before the deadline for submission of tenders,

8.11. The documents referred to in point 8.10 of the ToR should be issued no earlier than 6 months before the deadline for submission of tenders.

8.12. If in the country in whichm the contractor has a registered office or place of residence or place of residence has a person whose document concerns, does not issue a document referred to in point 8.10 SIWZ - above, it is replaced by a document containing the statement of the contractor, indicating the person or persons authorized to represent it, or a statement of the person whose document was to be submitted, submitted by a notary public orb before a judicial, administrative or professional self-regulatory or economic authority competent for the seat or place of residence of the contractor or place of residence of that person. Recording of points 8.11 of the ToR shall be applied accordingly -

8.13. Contractor established on the territory of the Republic of Poland, in relation to a person residing outside the territory of the Republic of Polandj Poland, to which the document referred to in point.8.7.2. a) SIWZ, submits the document referred to in point 8.10 of the ToR, to the extent specified in art. 24 sec. 1 point 14 and 21 of the Act. If the country in which the person has the place where the document was to reside is located, no such documents are issued, it is replaced by a document containing a statement made by that person before a notary or by a notaryd a judicial, administrative or professional body competent for the place of residence of that person. Recording of points 8.11 of the ToR shall be applied accordingly - 8.17. Documents prepared in a foreign language must be submitted together with the translations into Polish. If the statements and documents referred to in point 8.15 of the ToR are prepared in a foreign language by the contractorit is required to present their translation into Polish.
