Establishment and development of Economic Activity Zones (SAG) along withan appropriate infrastructure in the commune of Wieliczka

1. As part of the design studies, the Contractor is obliged, among others to:

1.1) to obtain the necessary documents in order to carry out a construction project, including a syt.-high map for the design of the subject of the order,

1.2) for the preparation of construction projects within the scope of the functional programryegrass, obtaining from the provisions of: opinions, decisions, arrangements and after agreeing on solutions with the investor obtaining a valid building permit in 5 copies in paper version and in electronic version,

1.3) preparation of executive designs in 5 copies in paper version and in electronic version,

1.4) preparation of technical specifications of performance and acceptance of the robot in 2 egz. in paper version and in electronic version,

1.5) preparation of investment returns and cost estimates in 2 copies in paper version and in electronic version,

1.6) preparation and agreement with the Ordering Party of the investment implementation schedule,

1.7) preparation of as-built documentation in accordance with requirements contained in the application program,

1.8) to perform author`s supervision in the field of resultsfrom the Construction Law Act.

In addition, the Contractor undertakes to transfer property copyrights free of charge in the scope of construction and executive design for the benefit of the Employer. As part of the Copyright Transfer, the Contractor will transfer to the Employer the entirety of his proprietary copyrights to the designs or parts thereof. The transfer of copyright will beunconditional, entitling to unlimited use and disposal, at home and abroad in all fields of exploitation specified in art. 50 of the Act of 4.2.1994 on Copyright and Related Rights, and in particular to: a) consolidation,

b) reproduction by a specific technique,

c) placing on the market,

d) entering the computer`s memory,

e) lease,

f) leases,

g)application to many buildings.

Transfer of copyright will also include the right to make changes and modifications, including the inclusion in whole or in part of other design documentation and to exercise subsidiary law.

2. The planned scope of investment works includes, among others:

2.1) execution of construction works on the basis prepared by the Contractor and approved byfrom the Employer of the project documentation and the final decision on the construction permit or notification of a robot that does not require a building permit or a relevant ZRID decision.

The main scope of the construction works provided for under the planned investment is given in the Functional and Use Program and includes in particular:

2.2) internal roads with lighting approximately 1, 981 m longalong with bicycle paths with a length of about 785 m and land development in: rainwater drainage network with water drainage to nearby receivers, sanitary sewage networks, water supply networks, video monitoring and lightning protection system,

2.3) obtaining necessary technical receipts and preparation of as-built documentation in 5 an exam in the range enabling putting the object to useand (2.4) preparing all documents for obtaining a permit to use the facility.

2.5) The lengths given in the Functional-Use Program are guideline lengths and may change by approximately / - 10%. It should be verified and updated on the basis of construction and executive designs. The Contractor will obtain on behalf of andfor the Ordering Party, all the necessary arrangements and decisions necessary to carry out the construction works, and then to obtain a permit from the competent authority if it is required or confirm the acceptance of the application to start using the facility without objection. functional Utilitym together with the geotechnical opinion.

1. Contractors who are not subject to exclusion pursuant to art. 24 sec. 1 item 12-23 and para. 5 points 1 and 3 of the proposed directive - 2. Together with the offer, each contractor must submit the current order on the day of submitting the offers to the ERO to the extent indicated by the Ordering Party.

2.1) In the case of joint application for contractors, the EAT is submitted by eachfrom contractors jointly applying for the order.

2.2) Contractor who intends to entrust the execution of a part of the contract to subcontractors not being the entities referred to in Article. 22a uPzp, is obliged to include in the EAP the relevant information.

2.3) Contractor who refers to the resources of other entities, in order to demonstrate the absence of grounds for exclusion against them.and fulfillment, in so far as it relies on their resources, the conditions of participation in the proceedings also include EED regarding these entities

3. The contracting party, prior to the order being awarded, will call the contractor whose offer has been rated the most, to submit within the prescribed, not shorter than 10 days, the current date as of the day of submitting declarations or documents confirming the lack of grounds exclusiontion, i.e.: 3.1) Information from the National Criminal Register in the scope specified in art. 24 sec. 1 pt. 13, 14 and 21 uPzp issued not earlier than 6 months before the deadline for submitting offers;

3.2) Write-off from the relevant register or from central records and business information, if separate regulations require entry in the register or records, in order to confirm no grounds inexclusion pursuant to art. 24 sec. 5 point 1 of the Public Procurement Law,

3.3) Contractor`s statements about the lack of issuing a final court judgment or final administrative decision on default of payment of taxes, fees or social security or health insurance premiums or in the event of issuing such a verdict or decision documents confirming the payment of such receivables along with possiblyinterest or fines or a binding agreement on repayment of these debts (prepared according to the form attached as Appendix 4a to the Terms of Reference);

3.4) Contractor`s statements about the lack of a ruling against him as a preventive measure for the prohibition of applying for public orders (prepared according to the form attached No. 4b to SIWZ).

4. Each of the Contractorsjointly applying for the award of a contract is obliged to present at the request of the ordering party mentioned in point III.1.1) item 3 of the declarations and documents referred to in point III.1.1) items 3.1) -3.4). 5. Contractor who relies on the abilities or situation of other entities on the terms specified in art. 22a uPzp is obliged to submit to the ordering party ordering the speechand in point III.1.1) item 3 in relation to these entities of documents listed in point III.1.1) items 3.1) -3.4).

6. Contractor within 3 days from the date of posting on the website information referred to in art. 86 par. 5 uPzp (point 13.4 of the SIWZ) is obliged to provide (in the manner specified in point 8.1 of the ToR) to the awarding entity a declaration of belonging or non-membership of the samecapital dust (prepared according to the form attached as Appendix 2 to the Terms of Reference), referred to in art. 24 sec. 1 point 23 of the Public Procurement Law. Along with the submission of the statement, the contractor will provide evidence that links with another contractor do not lead to distortion of competition in the procurement procedure. In the case of joint application for a contract, each of the Contractors jointly applyapplying for the order is obliged to submit the above-mentioned document. List of documents confirmingThere are no grounds for exclusion submitted by Contractors having their registered office or place of residence outside the territory of the Republic of Poland:

If the contractor has its registered office or place of residence outside the territory of the Republic of Poland, instead of the documents referred to in:

1. point III.1.1), item 3.1), provides information from the relevant register or, in the absence of such a register, another equivalenta valid document issued by a competent judicial or administrative body of the country in which the contractor has its registered office or place of residence has a person who is concerned with information or a document, to the extent specified in art. 24 sec. 1 items 13, 14 and 21 of the PPL,

2. point III.1.1), item 3.2), submits a document or documents issued in the country in which the contractor has its registered office or place inflats, confirming that its liquidation has not been opened or bankruptcy declared.

3. The documents referred to in point III.1.2) items 1 and 2 should be issued not earlier than 6 months before the deadline for submission of tenders. If the country in which the contractor has a registered office or place of residence or a place of residence has the person concerned, documents are not issuedreferred to in point III.1.2) items 1 and 2 are replaced by a document containing the statement of the contractor, indicating the person or persons authorized to represent it, or a statement of the person to whom the document was to be applied, submitted to the notary or before a court, administrative or professional self-government or economic authority with regard to the seatthe place of residence of the contractor or place of residence of that person. The provision of point III.1.2) subpoint 3. applies.

5. In the event of any doubts as to the content of the document submitted by the contractor, the contracting authority may contact the competent authorities of the country in which the contractor has its registered office or place of residence or the person concerned, for the necessarych information about this document.

6. The Contractor having its registered office on the territory of the Republic of Poland, in relation to a person residing outside the territory of the Republic of Poland, to whom the document referred to in point III.1.1) sub-item 3.1) submits the document referred to in point III.1.2) sub-point 1, the scope specified in art. 24 sec. 1 points 14 and 21 of the Public Procurement Law If in the country in whichm the place of residence is the person to whom the document was to be related, such documents are not issued, it is replaced by a document containing a statement made by the person before a notary or before a judicial, administrative or professional self-regulatory or economic self-regulatory body. The provision of point III.1.2) subpoint 3. applies.

1. Contractorunder the pain of rejection of the offer, a security deposit in the amount of PLN 200, 000.00 (in words: two hundred thousand zlotys 00/100) may be issued until 8/22/2019 at the latest. 9:00. The bid bond must cover the entire period of being bound by the offer.

2. The Contracting Authority provides for the application of the procedure specified in art. 24aa uPzp.

3. The Contracting Authority does not provide for the conclusion of a framework contract.

4. The ordering party does not provide for a dynamic purchasing system5. The Employer does not plan to conduct an electronic auction.

6. The Contractor is obliged to submit together with the offer the following documents (in the manner specified in point 8.2 of the Terms of Reference):

6.1) The offer form completed and signed by a qualified electronic signature. The offer form should be prepared on the basis of the template form constituting Annex No. 1 to the ToR.

6.2) Obligation of the entityto make available the necessary resources for the needs of the order In order to assess whether the contractor, relying on the capacities or the situation of other entities under the principles set out in Article 22a uPzp (point 5.4 of the ToR), will have the necessary resources to the extent enabling the proper execution of the public order and the assessment whether the relationship between the contractor and these entities guaranteesreal access to their resources, the contracting authority requests the submission of documents along with the offer (in particular obligations) which specify in particular: - scope of resources of another entity available to the Contractor, - how to use the resources of another entity by the Contractor when performing the public order, - scope and period of participation of another entity in the performance of the public order,

-whether the entity, on the capacities of which the contractor relies, in relation to the conditions of participation in the proceedings regarding education, professional qualifications or experience, performs construction works or services whose indicated capacities relate to

6.3) The relevant power of attorney or other document confirming the authorization to sign the offer in case when the authorization to sign the offer nie results directly from the offer of the document (the original or a copy certified by a notary public for compliance with the original). In the case of contractors jointly applying for the award of a document establishing a representative to represent them in the proceedings for the award of the contract. The proceedings are conducted in an unlimited tender procedure.

8. The Contractor submits the offer viaA form to submit, change, withdraw an offer or application available on ePUAP and also available on the miniPortal. The public key necessary to encode the offer by the Contractor is available to contractors on the miniPortal. In the offer form, the Contractor is obliged to provide the ePUAP mailbox address, on which correspondence related to the proceedings will be kept. The offer should be publicgoverned in Polish, while maintaining the electronic form in the .doc data format; .docx; .odt; .pdf; and signed with a qualified electronic signature. The method of submitting the offer, including its encryption, is described in the Regulations for the use of miniPortal. The offer must be submitted in the original. The ordering party allows submission of an offer in the form of a paper scan of a document (eg a scan to a file in formacie. pdf), provided that the scan will be accompanied by a qualified electronic signature. In this case, the Employer suggests not to submit any handwritten signatures on the paper document before scanning.
