European tender procedure negotiated pursuant to Legislative Decree no. 50/2016 and s.m.i., carried out in telema modetica, for the assignment of services for the management of workstations and mobile devices for individual productivity announced by Ferservizi S.p.A. on its own behalf, in the name and on behalf of Trenitalia S.p.A., Ferrovie dello Stato Italiane S.p.A., Italferr S.p.A., Ferroviaria Italiana S.p.A., as well as on behalf of Ferrovie del Sud Est and Servizi Automobilistiche S.r.l., FS Sistemi Urbani S.r.l.of Rail Station, Nugo SpA, FS Foundation, Busitalia Sita Nord Srl, Mercitalia Rail Srl, Mercitalia Logistics SpA

This contract relates to:

1) i (CPV 50300000) and in particular:

- hardware maintenance and management of spare parts,

- receipt, installation and inventory of new workstations,

- provision and staging of workstations and devicesbili,

- installation, handling, addition and change service for hardware and software;

2) i (CPV 72253000) and in particular:

- dedicated II level help desk and specialist support in Italian and English.

L Framework agreement to be signed with the successful tenderer will have a duration of 36 (thirty-six) months from the date of signing and a maximum amount of 39 270000, 00 EUR

(euro thirty-nine million one hundred seventy seven thousand / 00), VAT excluded, as specified in more detail in The contracting authority reserves the option of renewal - through the stipulation of one or more acts - at least at the same terms and conditions for a further maximum 24 (twenty-four) months and at most an additional 35 580 000.00 EUR (thirty-five million million five hundred and eighty thousand / 00) VAT excluded, as bestspecified in the.

The possibility of exercising the option of temporal extension of both the framework agreement and of the renewal (s) for a maximum of 12 months is no longer valid if the maximum amount of the same is not considered. reference to the maximum amount of the framework agreement and of the renewal (s), it should be noted that the successful tenderer will have nothing to do withfor any reason whatsoever against unsolicited services and consequently not rendered during the execution of the framework agreement, in the event that at the time of expiry of the latter, the maximum amount of the same has not been consumed and any amount of services until requested. The services object of this procedure, waiting for the peculiarity of the same, they are part of the broadest and most complex ICT services of the Ferrovie dello Stato Italiane Group, for which, in order to guarantee maximum participation (in terms of the requirements for participation in terms of technical and financial stability), a acquisition strategy through the call for more tender procedures for each type of service. In light of the above, the services covered by this contract have not been divided into functional / performance batches.

Participation in this tender is allowed exclusively in electronic mode. To this end, the interested parties are required to produce in an online manner on the Purchasing Portal of Ferservizi S.p.A. (hereinafter, for brevity, ), all the required documentationa for the purposes of participation, under penalty of admissibility of the same, by filling in the fields in the digital envelope on the Portal and in accordance with the facsimiles, the latter available in the reserved area of the Portal, at the Internet address www.acquistionlineferservizi.it accessible after registration .

Requirements required under penalty of exclusion:

a) entry in the Camer Registera of commerce, industry, handicraft and agriculture or in the register of the provincial commissions for the handicraft, or near the competent professional orders, if Italians or resident in Italy; in one of the professional or commercial registers referred to in Annex XVI of Legislative Decree No. 50/2016, if coming from other countries of the Union without residency in Italy. In any case from these registers will have to be foundthat the company carries out activities in the sector to which the contract refers;

b) possession of the general requirements identified in accordance with the provisions of art. 80 of Legislative Decree No. 50/2016;

c) possession - exclusively in the case of participation in the tender of an economic Operator resident in a country falling under the so-called - of the authorization ex D.M. 14.12.2010 (published in GURI 25.2.2011-n. 46) or, alternatively, possession of a request for the aforementioned authorization pursuant to art. 4 of the aforementioned decree.

In the case of a business meeting (Temporary Grouping of Companies - RTI- / consortia / European Economic Interest Groups - EEIG - pursuant to Article 45, paragraph 2, letter e), of Legislative Decree no. Lgs. N. 50/2016) the requirements referred to in letters a), b) and c) may be held byeach economic operator forming part of the meeting itself.

In the case of consortia pursuant to art. 45, paragraph 2, lett. b) and c) of Legislative Decree no. 50/2016, the requisites as per the previous letters a), b) and c) must be owned by the consortium and by all the associated economic operators named executors and declared by the latter at the time of their designation.Onomic single / the economic operator mandatary-group leader of an RTI / consortium will have to make the declarations referred to in letters a), b) and eventually c) by filling in the attached facsimile 1 to the document. (in the case of RTI and consortiums respectively) must make the declarations referred to in the previous letters a), b) and eventually c) by completing the facsimile attached to the document.

The declarations referred to in the facsimiles above must be digitally signed by the subjects who render them.

Regarding the requirement referred to in the previous letter a) it is specified that it must be attached copy of the certificate being validated or alternatively a declaration made pursuant to Presidential Decree 445/00 showing the chamber data and drawn up in accordance with the facsimile attached to the document.

In order to allow maximum participation but at the same time to have guarantees regarding the reliability of the competitor and request the possession of the invoices to the extent under penalty of exclusion indicated as.

In the case of a business meeting (RTI / EEIG / consortia referred to in Article 45, paragraph 2, letter e), -of Legislative Decree No. 50/2016), each revenue value requested, regardless of the stated shareholding / execution, must be held for at least 40% by the mandator-parent company and each mandating economic operator must have at least 10 % of what was requested cumulatively so that, in any case, the requirements thus summed up, owned by the operators and econmeeting / reuniting meetings shall reach the total amount requested. It is understood that the agent must in any case possess the majority requirements.

In the case of consortia pursuant to art. 45 paragraph 2, lett. b) and c) of Legislative Decree 50/2016, the aforementioned requirement must be possessed by the consortium itself.

The single economic operator / the economic operator mandator-group leader of a-RTI / the consortium will have to make the declarations referred to in the subsequent letters. a) and b) by completing the facsimile attached to the document.

The mandating economic agents and the consortium members (in the case of RTI and consortiums respectively) must make the declarations referred to in the following letters. a) and b) by completing the facsimile attached to the document.

The declarations referred to-the facsimiles above will have to be digitally signed by the subjects that make them.

1) the procedure will be carried out in telematic mode on the Portal, at the website: www.acquistionlineferservizi.it where, together with this announcement, the document regulating: the registration modalities to the Portal for participation, attestation of the requirements, the subcontract and explicitto the general conditions of contract that will be applied; no applications for participation presented in a manner other than the telematic one on the Portal are allowed;

2) all the required documentation must, under penalty of admissibility, be written in Italian or with an attached translation in that certified language conforming to the foreign text by the competent representation diplomatic or withsolar or by an official translator;

3) all files attached to the Portal (scanned documents and / or documents) must be digitally signed, under penalty of exclusion, by the legal representative of the competing economic operator or attorney with appropriate powers; in this case, if the petitioner's powers do not result from the certificate of registration with the Chamber of Commerce, IIndustry, Crafts and Agriculture (CCIAA), must be inserted in Portale, under penalty of exclusion, suitable documentation signed digitally, certifying that the signer of the tender documentation has the necessary powers to definitively commit the competitor; in the case of RTI or consortium already established in the documentation, the collective mandate must be attached in true copyirrevocable with representation conferred to the agent or the constitutional act of the consortium; in case of non-attachment, the documentation must be digitally signed by the legal representatives of all the economic operators gathered or associated,

4) the timeliness of the application for participation will be certified by the Portal;

5) Ferservizi S.p.A. in the cases referred to in art. 110, co.1 of Legislative Decree 50/16 reserves the right to scroll through the ranking list, without prejudice to the fact that any subsequent assignment will take place at the conditions proposed in the tender by the person asked for it;

6) pursuant to art. . 13 and 14 of Regulation (EU) 2016/679, the personal data of the employees of the Companies, acquired directly or indirectly during the assignment and execution phaseand of the framework agreement, will be treated according to the detailed procedures in the; 7) responsible for the procedure for the awarding phase, pursuant to art. 31, co. 10 of Legislative Decree 50/16, and Paolo Fratoni di Ferservizi S.p.A .; responsible for the procedure for the execution phase and the protector responsible for the Innovation Central Management and information systems of Ferrovie dello Stato Italiane S.p.A.; 8) pursuant to art. 83, co. 9 of Legislative Decree 50/16, the deficiencies of any formal element of the application, with the exclusion of those relating to the technical and economic offer, can be remedied through the preliminary investigation procedure; regarding the procedures and the terms of regularization, see the document Notes for participation; in case of unnecessary expiry of the term ofregularization of the competitor and excluded from the tender;

9) any questions or clarifications may be requested, in Italian, through the Portal no later than 19.10.2018 hours 13: 00;

10) the use of the subcontract and admitted ex art. 105 of Legislative Decree 50/2016; the competitor must indicate at the time of the offer the willingness to make use of the subcontracting institute as best specifiedin the document,

11) this procedure does not imply the obligation of custody for the contracting authority and in no case will the competitors, including the successful tenderer, be entitled to any reimbursement for failure to complete the procedure.
