Provision of steam coal transport service for Enea Wytwarzanie Sp. z o.o.

The subject of the order is the performance of a rail transport service of steam coal for Enea Wytwarzanie Sp. z o.o. from the mines of Polska Grupa Gornicza S.A., Jastrzębska Społki Węglowa S.A., Społki Restrukturyalizacji Kopalń S.A., Węglokoks Kraj Sp. z o.o., PG Silesia Sp. z o.o. in the amount of 1, 500, 000 tonnes.

The subject of the contract is the performance of a rail transport service of power coal for Enea Wytwarzanie Sp. z o.o. from the mines of Polska Grupa Gornicza S.A., Jastrzębska Społki Węglowa S.A., Społki Restrukturyycji Kopalń S.A., Węglokoks Kraj Sp. z o.o., PG Silesia Sp. z o.o. in an amount of 1 500 000 tonnes

1. The Purchaser reserves the right to reduce the amount of steam coal for transport specified in point 3 of the ToR. The total amount of steam coal to be transported can range from 1, 200, 000 tons to 1, 500, 000 tons.

The above results from:

- variability of conditionsoperational equipment and energy installations, which are influenced by factors independent of the Employer, associated with the changing needs of electricity consumers, affecting the reduction of production volume,

- discrepancies between the actual quality of coal and the nominal quality set out in the Contract for the supply of power coal, which may result in burning coal have a higher fuel valuefrom the assumed one,

- the need to reduce emissions by increasing the share of alternative fuels in combustion (e.g. biomass).

2. The subject of the order will be implemented from January 1, 2020 to March 31, 2011 or until the maximum quantity specified in point 3.1. depending on which of these circumstances occurs earlier.

- The Purchaser allows in the absence of the possibility ofconclusion of the contract until 1.1.2020. conclusion and commencement of the contract within 60 days after 1.1.2020. In this case, the contract implementation deadline will be shifted accordingly.

3. The subject of the contract will be carried out by the Contractor based on the monthly schedule of steam coal transport, specifying the dates of shipments, developed by the Employer and agreed with the sender.

4. ATthe speech (according to the template constituting part 2 of the Terms of Reference) will be presented to the Contractor for signing. other European Union member states lub Member States of the European Free Trade Agreement (EFTA) parties to the Agreement on the European Economic Area, in accordance with Art. 43 of the Act on rail transport and a current copy of the safety certificate issued in accordance with art. 18b of the above-mentioned Act.
