1. Subject of the order are services covering the maintenance and care of greenery in road lanes in the city of Tychy.

Main Site: Tychy

1.The services include maintenance and care of greenery in road lanes in the city of Tychy.

2. The material scope of the contract includes, among others: maintenance and care of greenery in road lanes,

2.2. maintenance and care of greenery in road lanes along national roads with junctions and maintenance and care of shoulders and ditches in peripheral districts,

2.3. Holdanie trees in road lanes,

2.4. care of seasonal and permanent casting.

3. The detailed description of the order and the requirements of the Ordering Party regarding the subject of the order are specified in:

3.1. Description of the subject of the order is attached as Annex 2 to the ToR

3.2. List of areas Divisions I and II:

3.2.1. Annex 3a: List of areas included in District I,

3.2.2. Annex 3b: List of areas included in the Regonu II,

3.3. Annex 4: Offer cost estimate (2020, 2021), containing a list and amount of work related to the performance of the material scope of the basic (guaranteed) order,

3.4. Annex 4a: Offer cost estimate (2020, 2021), containing a list and amount of work related to the implementation of the material scope of the optional contract.

4. In accordance with art. 29 paragraph 3a Pzp:

4.1. order thecy requires the Contractor (or Subcontractor within the meaning of Article 2 point 9b of the Public Procurement Law) to employ, on the basis of an employment contract, persons performing activities under the subject of the contract indicated in Annex 2 to the ToR,

4.2. The method of documenting employment above persons, the contracting authority`s powers to control the contractor`s compliance with the above requirements, and penalties for failure to meet these requirementsdraws up a model contract constituting Annex 5 to the ToR.

1. In this respect, the Employer requires that the contractor:

1.1. was insured against civil liability in the scope of conducted activities related to the subject of the order (i.e. activities related to maintenance of green areas) for an insurance sum of not less than PLN 600, 000.00

1.2. had financial resources or creditworthiness per sqat least PLN 100, 000.00

2. The Contractor may rely on the economic or financial standing of other entities to confirm compliance with the conditions for participation in the procedure, regardless of the legal nature of the legal relations between him and him, after fulfilling the conditions set out in Article 22a Pzp.

3. If the amounts required in the document mentioned in item 6.10.7.1.1. and 6.10.7.1.2. SIWZ, wywill be denominated in a currency other than PLN, the Purchaser will convert them into PLN at the average exchange rate of the National Bank of Poland on the day on which the contract notice was published in the Official Journal of the European Union. If, on the day of publication of the contract notice in the Official Journal of the European Union, the National Bank of Poland does not publish a table of exchange rates, the Purchaser will adopt the conversion rate according tothe latest NBP exchange rate table, published before the date of publication of the contract notice in the Official Journal of the European Union.

5. The Contractor, which relies on the abilities of other entities, must prove to the Employer that in carrying out the contract, he will have the necessary resources of these entities, in particular presenting the commitment of these entitiesto provide him with the necessary resources at the disposal of the contract. The contractor is required to submit the undertaking referred to in the above sentence together with the offer in electronic form with a qualified electronic signature.

6. The contracting authority envisages the award of an order involving the repetition of similar services.

6.1. Employer, within 3 years from the date of awarding withbasic ordering, may be awarded to the Contractor by an order consisting in the repetition of similar services, i.e. :

6.1.1. Removal of dry trees not covered by legal protection 100%

6.1.2. Removing fallen, broken trees 100%

6.1.3. Exposure of traffic signs and signals 70%

6.1.4. Tree care treatments 70%

6.1.5. Unveiling of the gauge in accordance with public road regulations (submonthly) 70%

6.2. The award of the contract will involve an increase in services resulting from the following circumstances: fortuitous events, takeover of the area, change of land use, the need to carry out an increased number of works related to the maintenance of the areas or the need to continue the service if the contractor is not selected in the award procedurepublic procurement.

1. The contractor is excluded from the contract award procedure in relation to which any of the grounds referred to in art. 24 paragraph 1 point 12 23 Pzp

2. The Awarding Entity will call the Contractor whose tender has been rated the highest before submitting the order to submit it within a designated period not shorter than 10 days, valid on the day of submittingb documents confirming the circumstances referred to in art. 25 paragraph 1 point 1 Public Procurement Law:

1) Information from the National Criminal Record in the scope specified in art. 24 paragraph 1 point 13, 14 and 21 of the Public Procurement Law, issued not earlier than 6 months before the deadline for submission of tenders,

2) the Contractor`s statement that he has not issued a final court judgment or the final administrative decision regarding arrearswith the payment of taxes, fees or social security or health insurance contributions or in the event of the issuance of such a judgment or a decision of documents confirming the payment of these receivables together with any interest or fines or the conclusion of a binding agreement on the repayment of these receivables,

3) the Contractor`s Statement on the lack of judgment against him as a precautionary measurewhich is forbidden to apply for public contracts.

2. Contractor who is subject to exclusion pursuant to art. 24 paragraph 1 points 13 and 14 and 16 20 may provide evidence that the measures taken by him are sufficient to prove its reliability, in particular to prove compensation for damage caused by a crime or tax offense, monetary compensation for the harm suffered orcompensation for damage, exhaustive explanation of the facts and cooperation with law enforcement authorities, and taking specific technical, organizational and personnel measures that are appropriate to prevent further offenses or fiscal offenses or improper conduct of the contractor. The first sentence shall not apply if to the contractor who is the entity of the group, the court ruled by a final and binding verdict the prohibition to apply for the award of the contract and the period of validity of the prohibition specified in the verdict had not expired. In the circumstances indicated in point 6.10.2. The SIWZ, the contractor is obliged to fill in the relevant sections in JEDZ and to submit, together with the offer, the evidence referred to in item 6.10.2. ToR in electronic form bearing a qualified oneelectronic signature.

3. If the Contractor has its registered office or place of residence outside the territory of the Republic of Poland, instead of the documents referred to in item 6.10.1.1. ToR, submits information from the relevant register or, in the absence of such a register, another equivalent document issued by the competent judicial or administrative authority of the country in which the contractor has its registered office or place of exchangeapartment or place of residence has a person to whom the information or document relates, to the extent specified in art. 24 paragraph 1 points 13, 14 and 21. These documents should be issued not earlier than 6 months before the deadline for submission of tenders. Record of point 6.10.4. 6.10.6. The ToR shall apply accordingly.

4. The contractor attaches to the offer: a current statement as at the date of submitting the offersSingle European Order Document (hereinafter EAT). The Contractor submits the EAT with the offer via the "Form for submitting, changing, withdrawing the offer" available on ePUAP and also made available on the miniPortal, in accordance with item 6 of the ToR.
