1. The subject of the order is the construction of a passenger information system (Fleet Management System and Dynamic Passenger Information) used by the Municipal Department of the Municipal Office of Toruń in the framework of which the Contractor will create the functionality of the fleet systembusowa transport urban MZK Toruń Sp. z o. o. with delivery, assembly and commissioning of Dynamic Passenger Information boards.

1. The subject of the order is the construction of a passenger information system (Fleet Management System and Dynamic Passenger Information) used by the Municipal Department of the Municipal Office of the City of Toruń in real time, under which the Contractor will create the functionality of the system for the public transport bus fleet MZK Toruń Sp. z o. o. with the delivery, assembly and commissioning of Dynamic Passenger Information boards, including:

1) delivery of the passenger information system together with the development of the system documentation (Fleet Management System and Dynamic Passenger Information), including: a) delivery of a newthe passenger information system (on the conditions indicated in point II on page 23 appendix 2 to the contract template),

b) delivery of the application to create the topology of the urban communication network and timetable planning,

c) delivery of the application for smartphone and mobile devices tablet

2) delivery, assembly and commissioning of on-board devices in 115 public transport buses with driver consoles;

3)equipping dispatcher's stations and traffic control stations in accordance with Annex 2 to the contract template;

4) delivery, assembly and configuration of dedicated servers;

5) development of project documentation and technical specifications of performance and acceptance of the robot to the extent necessary to report the robot or obtain construction permit decision, and then based on the prepared documentation of prdesign, delivery, installation and commissioning of passenger information boards, 73 pieces with tablet computers,

6) obtaining administrative decisions, technical conditions, agreements, opinions and permits necessary to execute the order on behalf of the Employer;

7) training of system users.

2 . A detailed description of the subject of the order is attached to the model contract description pordering object.

3. The subject of the orders also includes transferring to the Ordering Party copyrights to the design documentation, acquisition of licenses and other rights to source codes and interfaces, enabling access to the system, its maintenance, servicing, expansion and integration of the system being the subject of the order with other systems. The ordering party does nothe sees the requirements referred to in art. 29 para. 4 Pzp and does not pose objections referred to in art. 36 a para. 2 of the Act

5. The ordering party will not use the orders referred to in art. 67 sec. 1 point 7 PPL,

6. Deadline for implementation:

1) the date of commencing the execution of the order is the day of signing the Contract;

2) Specific deadlines for the subject matter of the order:

a) Preparation of the system documentation: up to 6months from the date of signing the contract

b) Development of construction and executive designs, documentation reconciliation and obtaining a relevant decision enabling the installation of passenger information systems at stops: up to 12 months from the date of signing the contract

c) Construction of the passenger information system: until 30/06/2021

- Delivery, assembly and commissioning of the system together with the necessary computer equipment, including delivery of applications for creating timetables and launching applications for mobile devices up to 12 months from the date of signing the contract

- Delivery, assembly and commissioning of on-board equipment with consoles for up to 12 months from the date of signing the contract

- Delivery, assembly and commissioning of Dynamic Information boards Pasażerska together with control computers. to 30/06/2021,

- Training: up to 30.6.2021 * With the following: submission by the Contractor to the architectural and construction body of a complete application with the required attachments for issuing the decision on the construction permit / or if the building permit is not required to declare the intention to start the construction works for the task should be preceded by submission to the Ordering Party for collecting all project documentation developedby the Contractor as part of the task.

In order to confirm that the conditions for participation in the procedure have been met and that there are no grounds for exclusion, the contractors submit the following documents with the offer:

1. Contractor's declaration of belonging or non-affiliation to the same capital group,

2. Obligation of entities to give the Contractor at his disposal indispensableresources for the implementation of the order, if the Contractor relies on the technical or professional capacity or financial or economic situation of other entities, regardless of the legal nature of the legal relationship that links them with them. In order to assess whether the Contractor, relying on the abilities or situation of other entities under the principles set out in Article 22a of the Act, will have at its disposalnecessary resources to the extent that allows proper implementation of the public order and assess whether the relationship between the Contractor and these entities guarantees real access to their resources, the Ordering Party requests documents that specify in particular:

a) scope of resources available to the Contractor other entity; resources of another entity, by the Contractor, when performing the orderc) the scope and duration of participation of another entity in the performance of the public order; d) whether the entities, on the capacities of which the Contractor relies in terms of participation in education proceedings, professional qualifications or experience, carry out construction works or services, whose indicated abilities apply.

List of documents and statements to be provided by the national contractor or havingthe registered office or place of residence outside the territory of the Republic of Poland is provided in clauses 4.3.7 - 4.3.10. 8. The ordering party prior to ordering, in accordance with art. 25 ust. 1 of the Act, will call the Contractor whose offer has been the highest rated, to submit in the designated, not shorter than 10 days, the current date as of the day of submitting statements or documents:

- Information from the NQF in the scopereferred to in Article 24 sec. 1 points 13, 14 and 21 of the Act issued not earlier than 6 months before the deadline for submitting bids,

- Contractor's statement on the lack of issuing a final court decision or final administrative decision on default of taxes, fees or social security or health insurance premiums or - in the event of such a judgment or decision -documents confirming payment of these receivables together with any interest or fines or conclusion of a binding agreement regarding repayment of such receivables, - Contractor's statement about the lack of a ruling against him as a preventive measure to prohibit applying for public orders,

- If the Contractor relies on the ability or situation other entities on terms and conditionsin Article 22a of the Act presents in relation to these entities the document mentioned in point 4.3.1 of the ToR and statements referred to in clauses 4.3.2 and 4.3.3 of the ToR.
