The subject of the order is to provide and service a long-term loan in the amount of PLN 27 800 000 intended to finance the planned district budget deficit Białostocka for 2018. The loan will be granted for a period of 15 years, repaid in monthly installmentsh starting from January 2019.

Credit characteristics:

1. The loan period is 180 months from 1.1.2019.

2. Interest paid in monthly installments, calculated on the funds actually used (placing the funds at their disposal and their amount is indicative and does not constitute a basis for calculating interest).

3. The loan interest rate is variable in relation to-WIBOR 1M interest rate calculated as an average of 10 days (quotations preceding the fiscal period). WIBOR 1M should be accepted for the preparation of the tender offer in the amount and on the day specified in the specification of essential conditions of the order.

4. The Employer does not allow the Contractors to use the preparatory commission. The offers of Contractors who offer the preparatory commission will be rejectedne.

5. The actual credit servicing costs will be the variable credit rate calculated as the arithmetic average of 10 WIBOR 1M quotes from the month preceding the interest period, plus each bank interest margin, plus the bank margin specified in the offer, expressed in percentage points (two decimal places), unchanged during the contract period.

6. Repaymentcapital in monthly installments (according to the schedule constituting also the price form).

7. Repayment of interest in monthly installments payable on the last business day of the month. If the loan repayment date falls on a non-working day, the Ordering Party will pay the required installment on the first business day following the repayment date. In the case of interest for the period from the day of paymentfor the loan to 31/12/2018, interest will be repaid on 31.1.2019 - 8. To calculate interest (applies to entries in the loan agreement) it should be assumed that the year has 365 days.

9. The Ordering Party reserves the right to repay the loan early without additional fees and commissions. In the event of early repayment of part or all of the loan, the Ordering Party will not be charged with additional fees on this accountand interest will be charged for the period of its actual use only from the current outstanding debt.

10. Settlements between the Employer and the Contractor will be made in Polish zlotys

11. Form of loan security blank promissory note along with a promissory note declaration.

12. The Customer informs that he currently has a loan of PLN 5, 600, 000 to be paid (as per condition-as at 31/08/2018). On 12/9/2018, another contract for the provision and servicing of a long-term loan in the amount of PLN 6, 000, 000 was signed.

Attached the documents necessary to assess the creditworthiness of the Employer on the loan

PLN 27 800 000.

13. According to art. 29 para. 3a of the Act, the Employer requires that persons performing activities in the field of the subject matter of the contractand whose implementation consists in performing work in the manner specified in art. 22 § 1 of the Act of 26.6.1974, the Labor Code (Journal of Laws of 2016, item 1666 with subsequent amendments) was employed by the Contractor or Sub-Contractor under a contract of employment. The Contractor or Subcontractor should employ the above-mentioned persons at least from the beginning until the end of the term of the order completion. In the case of a solutionThe employee will be obliged to employ another person for this place by the employee or by the employer before the end of this period. The type of activities necessary to execute the order in relation to which the employment requirements are based on the contract of employment by the Contractor or Subcontractor persons performing activities during the implementation of the order: deedrelated to loan service. The way of documenting employment persons:

a) to demonstrate the circumstances referred to in para. 4 of this chapter, the Contractor is obliged to document the employment of persons by submitting to the Employer within 10 days from the date of conclusion of the contract, a statement that persons performing activities related to loan servicing are employed on the basis of a contractfor work, the Contractor will fulfill this condition if he proves that he has a license to conduct banking activities in Poland, as well as for the services covered by the order in accordance with the provisions of the Banking Act of 29.8.1997 (Journal of Laws of 2017, item 1876 as amended), and in the case referred to in art. 178 para. 1 of the Act, another document confirming the commencement of worksbefore the date of entry into force of the Act referred to in Article 193 of the Banking Law. - The Employer does not set any requirements in this regard
