The subject of the order is to grant a loan in the amount of PLN 2 815 000.00 for financing the budget deficit of the Wiśniowa commune and repayment of previously taken loans.

The subject of the order ist granting a loan in the amount of PLN 2 815 000.00 to finance the budget deficit of the Wiśniowa Commune and repay the previously drawn loans.

The loan will be granted in accordance with the scheme presented in section 3.5 and the loan repayment plan constituting Annex 4 to the specification of significant terms of the order. will be based on the WIBOR 1M rate according to the current listings as atń conclusion of the contract and a fixed margin during the loan period, with a fixed capital installment. The basis for calculating the cost of the loan for the purpose of comparison and selection of the best offer is the loan repayment schedule, constituting Annex 4 to the specification of significant terms of the order, containing the following assumptions: a) loan amount PLN 2 815 000.00, b) loan period until 31.12. 2034 r. C) interest rates(d) the contracting authority allows the loan to be released in tranches by transfer to the current account of the Wiśniowa Commune budget assuming: - 1st tranche 30/09/2012 - PLN 2, 000, 000.00, - Second tranche 30.11. 2018, the amount of PLN 815, 000.00

e) The deadline for making the funds available to the Ordering Party up to 3 business days;

f) the grace period for repayment of the principal installmentstill the end of February 2020

g) number of capital installments 113

h) frequency of interest installment payments - every month starting from 30/10/2018

i) frequency of capital installment payments

- in the years 2020-2024 in one installment per one year with the deadline for the last calendar day of the month of March of a given year,

- in 2025 no repayment of the loan installment

- in the years 2026-2034, every month starting from 31.1.2026 r.

The amount of capital installments in individual months is specified in the loan repayment plan, constituting Annex 4 to the specification of significant conditions of the order; j) If the repayment date falls on a non-working day, repayment of the capital installments will start on the first business day after this date. k) the method of rounding quotas to two decimal places (in accordance with the principle that you will starty from 3 decimal places values from 0 to 4 are rounded down, values from 5 to 9 in heat,

l) method of collecting interest according to loan balance (365/365 formula, 366/366 for leap year);

m) bank commission for granting a loan - according to the submitted offer will be collected from the actually used amount of credit;

n) bank commission will be charged each time from a high(o) the Ordering Party reserves the right not to use the full amount of the loan in excess of PLN 2, 000, 000.00,

p) The Contractor will not charge any additional fees for early repayment of the loan - the Contractor will meet the condition of participation in the competence proceedings or entitlements to conduct a specific professional activity, if it proves thatiada permission to conduct banking activities in the Republic of Poland in accordance with the requirements of the Act of 29.8.1997 Banking Law (OJ 2017.1876, i.e.) - The Employer does not set requirements regarding the condition of participation in proceedings regarding the economic or financial situation. In order to confirm the absence of grounds for exclusion of the Contractor from participation in the proceedings, the Awarding Entity requests a successordocuments:

1) information from the National Criminal Register in the scope specified in art. 24 sec. 1 items 13, 14 and 21 of the PPL and, in respect of convictions for a criminal offense, to the extent specified by the Awarding Entity pursuant to art. 24 sec. 5 point 5 and 6 of the PPL, issued not earlier than 6 months before the deadline for submitting bids;

2) certificate of the competent head of the tax office pconfirming that the Contractor is not in default of paying taxes, issued not earlier than 3 months before the deadline for submission of bids, or other document confirming that the Contractor has entered into an agreement with the competent tax authority regarding repayment of such receivables with possible interest or fines, in particular legally provided for exemption, postponement or splittinginstallment of overdue payments into installments or suspension in full of the decision of the competent authority, - 3) certification of the relevant organizational unit of the Social Insurance Institution or Agricultural Social Insurance Fund or other document confirming that the Contractor is not in arrears with paying social security or health insurance contributions issued earlier than 3 mibefore the expiry of the deadline for submission of tenders or other document confirming that the Contractor has concluded an agreement with the competent authority regarding the repayment of such receivables together with any interest or fines, in particular he obtained the legally required exemption, deferral or payment in installments of overdue payments or suspension in full of the execution of the decision competent authority;

4) copy ofproper register or from central records and business information, if separate regulations require an entry in the register or records, in order to confirm the absence of grounds for exclusion under Art. 24 sec. 5 point 1 Pzp;

5) the Contractor's statement that he has not been the subject of a final court judgment or final administrative decision on default in payment of tax, t or social security or health insurance premiums or - in the event of such a verdict or decision - documents confirming payment of such receivables with possible interest or fines or conclusion of a binding agreement regarding repayment of such receivables; - 6) Contractor's statement on the lack of a decision against him as a preventive measure for the prohibition of applying for7) declaration of the Contractor about the lack of a final conviction of a conviction court for violation of liberty or a fine to the extent specified by the Ordering Party on the basis of art. 24 sec. 5 points 5 and 6 Pzp;

8) the Contractor's statement about the lack of a final administrative decision against him in breach of obligations under labor law, law-environmental protection or social security regulations to the extent specified by the Awarding Entity pursuant to art. 24 sec. 5 point 7 Pzp;

9) Contractor's statement on not paying taxes and local fees, referred to in the Act of 12.1.1991 on local taxes and charges (Journal of Laws of 2016, item 716);

10) Contractor's declaration of affiliation or lack of affiliation-to the same capital group; in the case of being part of the same capital group, the Contractor may submit together with the statement documents or information confirming that connections with another contractor do not lead to distortion of competition in the proceedings.
