Granting a long-term loan for the Międzyrzecki District

Reference Number: ES.272.09.2020.PL

The subject of the order is the service of granting a long-term loan for the Międzyrzecki District.

1. Long-term loan to be used to cover the planned 2020 deficit and repayment of previously incurred liabilities in the form of redemption of bondstion.

2. Loan amount: PLN 11, 595, 358.00.

3. The loan will be drawn in two tranches after signing the contract at the request of the Employer.

1st tranche: up to PLN 5, 797 179.00

2nd tranche: up to PLN 5, 777, 179.00

4. The contractor applying for the contract agrees to repay the loan within 10 years (120 months) counted from January 2023 to December 2032

5. Contractors will accept the principle thate

a. starting from January 2023, the loan will be repaid with 24 monthly flat capital installments of PLN 75 819.00, in the following years, i.e. from January 2025 the loan will be repaid with 95 monthly flat capital installments of PLN 101 819.00 and the last 120 - the installment in the amount of PLN 101, 977.00;

b. the capital will be repaid every last business day of the calendar monthprice PLN;

c. interest on the loan will be calculated on the actually used loan amount;

d. interest on the loan will be calculated on a monthly basis and payable on a monthly basis on the last business day of the month ending the calendar month.

6. The contractor will not charge any other fees related to the implementation of the loan agreement.

7. Guarantee the possibility of early repayment kof residuals or multiples of capital installments without additional costs by the Employer.

8. They will take WIBOR 1M (average monthly) as the basis for the loan interest rate in the period from the first to the last day of each month preceding the given interest period.

9. The bank`s margin will be added to WIBOR 1M and is unchanged throughout the loan termy.

10. The amount of the base rate (WIBOR 1M) and interest payable in subsequent months will be notified to the Purchaser in writing, not later than ten business days before the payment date.

11. In the event of early repayment of the loan, interest will be calculated for the period of its actual use.

12. In the event of early repayment of the loan by the Employer, pageny will set a new loan repayment schedule and save the arrangements in the form of an annex to the contract.

13. The Purchaser reserves the right not to disburse the loan in whole or in part, which will not charge the Purchaser with any additional costs.

14. The Purchaser reserves the right to launch tranches at a lower amount, or to skip the whole tranche.

15. The Purchaser reserves the right to changedeadlines and tranche amounts

16. During the contract period, the bank does not charge any other fees for granting or repaying the loan.

17. During the term of the contract, the actual calendar will apply.

18. The Contractor`s commission is 0%.

19. The only form of loan collateral will be a blank promissory note with a promissory note declaration and the possibility of a countersignature of the Poviat Treasurer.

20. The contractor is obliged to preparedraft contract along with a schedule to be submitted to the Employer after the selection of the Contractor and the deadline for lodging an appeal.

21. The contractor will indicate an employee by name to service the Employer in the implementation of the contract in question.

22. The contracting authority does not specify in the description of the subject of the contract any employment requirements (specified in Article 36 paragraph 2 point. 8a of the Public Procurement Law) by the Contractor or Subcontractor based on the employment contract of persons performing activities specified in the ordering by the Employer in the manner specified in Article 22 -1 of the Act of 26 June 1974 Labor Code (Journal of Laws 2018.108 as amended), as the subject of the order are financial services consisting of the transfer of cash.

23. Impact of funds on the billThe Awarding Entity will take place within 7 business days of submitting the application at the latest.

24. The Purchaser declares that he has no arrears in payment of ZUS contributions and he is not in arrears in taxes towards the Tax Office.

I. The Contractor will meet the condition if he demonstrates that he has a current authorization to conduct banking activity in Poland, as well as to provide services covered by the subject forspeaking, in accordance with the provisions of the Banking Act of 29 August 1997, and in the case specified in art. 178 paragraph 1 of the Banking Act, another document confirming the commencement of operations before the date of entry into force of the Act, referred to in Art. 193 of the Banking Act.

II. Contractors who are not subject to exclusion from the procedure pursuant to artvol. 24 paragraph 1 point 12 23 of the Public Procurement Law and are not subject to exclusion from the procedure pursuant to art. 24 paragraph 5 points 1 and 8 of the Public Procurement Law

III. The Contractor shall attach to the offer a current statement pre-confirming that the Contractor is not subject to exclusion and fulfills the conditions for participation in the procedure. The declaration should be submitted in the form of a single document (EAT). informationcontained in the statement constitute preliminary confirmation that the Contractor meets the conditions for participation in the procedure and is not subject to exclusion. In the event of joint application by the Contractors, JEDZ shall submit and sign each of the Contractors jointly applying for the contract. These documents confirm the fulfillment of the conditions for participation in the procedure and the lack of grounds for exclusion to the extent thatwhich each of the Contractors shows that they meet the conditions for participation in the procedure and no grounds for exclusion.

IV. In order to confirm that there are no grounds for excluding the Contractor from participation in the procedure, the Contractor, at the request of the Employer, is required to submit the following documents and statements:

1. information from the National Criminal Register in the scope specified in art. 24 paragraph 1 point 13, 14 and 21 ofPzp ponds, issued not earlier than 6 months before the submission deadline;

2. an excerpt from the relevant register or from the Central Register and Information on Economic Activity, if separate provisions require an entry in the register or a register, to confirm the absence of grounds for exclusion pursuant to art. 24 paragraph 5 point 1 of the Public Procurement Law;

3. the Contractor`s declaration of no issue to nego of a final court judgment or final administrative decision on arrears in payment of taxes, fees or social security or health insurance contributions, or in the event of such judgment or decision of documents confirming the payment of these claims together with any interest or fines or the conclusion of a binding agreement on the repayment of these claims;

4. Contractor`s statement that he has not been awarded a preventive measure against him from applying for public contracts.

IV. Within 3 days of posting on the website information from the opening of tenders, the Contractor shall provide the Employer with a declaration of belonging or not belonging to the same capital group as referred to in art. 24 paragraph 1 point 23 of the PPL Act. withwith a declaration, ...

V. Information on documents regarding Contractors having their registered office or place of residence outside the territory of the Republic of Poland has been included in the announcement, section VI.3).

The Employer does not set conditions

1. If the Contractor has its registered office or place of residence outside the territory of the Republic of Poland, instead of the documents referred to in point III.2. Section III.1.1, compositionand a document or documents issued in the country in which the Contractor has its registered office or place of residence, confirming that its liquidation has not been opened or bankruptcy has been announced, issued not earlier than 6 months before the deadline for submission of tenders.

2. If the Contractor has its registered office or place of residence outside the territory of the Republic of Poland, instead of the documents referred to in pointIII.1. section III.1.1, submits information from the relevant register or, in the absence of such a register, another equivalent document issued by the competent judicial or administrative authority of the country in which the Contractor has its registered office or place of residence or the place of residence of the person to whom the information or document relates, to the extent specified in art. 24 paragraph 1 item 13, 14 and 21 of the PPL Act, issued onnot earlier than 6 months before the submission deadline.

3. If in the country in which the Contractor has its registered office or place of residence or place of residence there is a person to whom the document relates, the documents referred to in items 1 and 2 above are not issued, they shall be replaced by a document containing the Contractor`s statement, indicating the person or persons entitled tohis representation, or statement of the person to whom the document was intended, submitted before a notary public or before a judicial, administrative or professional or economic self-government body competent for the seat or place of residence of the Contractor or the place of residence of that person. The provision regarding the deadline applies.

4. Contractor based in the territory of the Republic of PolandPoland with respect to a person residing outside the territory of the Republic of Poland, to whom the document referred to in point III.1 applies. section III.1.1, submits the document referred to in item 2 above to the extent specified in Art. 24 paragraph 1 points 14 and 21 of the PPL Act. If in the country in which the person to whom the document was to reside has no place of residence such documents are issued, it is replaceda document containing the person`s declaration made before a notary public or before a judicial, administrative or professional or economic self-government body competent for that person`s place of residence. The provision regarding the deadline applies.

6. As at the bid submission date, the Contractor presents the following documents and statements:

- bid form,

- EAT,

- if the Contractor acts through a proxy, a power of attorney should be attached to the offer,

- a power of attorney to represent Contractors jointly applying for the contract (if it has application),

- proof of payment of the bid security,

- the Contractor who consists ofon the ability or situation of other entities will make an undertaking of these entities to make available to him the necessary resources for the implementation of the contract. The offer with attachments and EAT shall be prepared in electronic form in the following data format: .pdf, .doc, .docx, .rtf, .odt, .xls, .xlsx and signed with a qualified electronic signature.
