Comprehensive banking service with a revolving overdraft facility for MPK S.A. in Krakow for 2020 2025

The subject of the order is a comprehensive banking service with a working capital loan for MPK S.A. in Krakow for 2020 2025, including to:

The detailed scope of the subject of the contract containsa specification of the essential terms of the SIWZ order.

Order with a value exceeding the PLN equivalent of EUR 214, 000 in PLN. exchange rate determined on the basis of the Regulation of the Prime Minister of 18.12.2019 on the average exchange rate of PLN in relation to EUR constituting the basis for converting the value of public orders.

The contract will be concluded for a period of 60 monthsand services counted from the date of commencement of services.

Commencement of services will take place no earlier than from 1.9.2020, the Employer provides for a period of up to one month from the commencement of the provision of services a transition period for the adaptation and launch of non-cash transactions in ticket machines and terminals POS and eCommerce applications / services.

Purchaserbased on art. 67 section 1 point 6 of the PPL Act provides for the possibility of providing, within 3 years of the award of the basic contract, to the current Contractor of services, contracts constituting jointly not more than 50% of the value of the basic contract and consisting in the repetition of similar services in accordance with the subject of the basic contract, in particular related to increasing loan amountover PLN 60, 000, 000, an increase over the number indicated in the ToR of the number of POS terminals, mobile or stationary ticket vending machines, cash collection points. in accordance with the provisions of the Act of 29.8.1997 Banking Law (i.e.z. 2187 from later as amended), and in the case specified in art. 178 section 1 of the Banking Law, another document confirming the commencement of operations before the date of entry into force of the Act, as referred to in Article 193 of the Banking Law.

In the case of transformed banks from state-owned ones, the Contractor shall make a statement that the Bank conducts its business pursuant to an appropriate resolution or Regulation of the Council of Ministers. In

in the case of foreign credit institutions within the meaning of the Banking Law, in place of the abovementioned of the document, a relevant document from the bank`s country (seat) should be presented, confirming the right to conduct banking operations and a notification submitted to the Banking Supervision Commission about conducting operations on the territory of the Republic of Poland in the form of a branch or as part of cross-border activitiesContractors who meet the above condition and are not subject to exclusion from the contract award procedure pursuant to art. 24 paragraph 1 point 12 23 and art. 24 paragraph 5 points 1, 3, 4, 8 of the Act.

Public Procurement Law Act (i.e. Journal of Laws 2019 item 1843 as amended, hereinafter referred to as the Act or the Public Procurement Law).

1. To demonstrate the lack of grounds for exclusion and fulfillof the above condition of participation in the proceedings, the Contractor is required to submit the following statements and documents:

1.1. current statement as at the date of submission of tenders, constituting a preliminary confirmation that it meets the conditions for participation in the procedure and is not subject to exclusion. The Contractor submits the above statement in the form of the EAT / ESPD documentconfirmation of compliance with the conditions for participation in the proceedings, the Contractor has limited himself to completing section α ("General statement regarding all qualification criteria") in part IV ("Qualification criteria") of the EAT document. In this situation, the Contractor need not complete any of the other sections in Part IV of the EAT document;

1.2. Current banking license for the territoryof Poland, in accordance with the provisions of the Act of 29.8.1997 Banking Law (i.e. Journal of Laws 2018 item 2187 as amended), and in the case specified in art. 178 section 1 of the Banking Act, another document confirming the commencement of operations before the date of entry into force of the Act, referred to in Article 193 of the Banking Act.

In the case of transformed banks from state-owned ones, the Contractor shall submit written declarationsadvising that the Bank operates on the basis of an appropriate resolution or Regulation of the Council of Ministers.

In the case of foreign credit institutions within the meaning of the Banking Law, in place of the abovementioned document, a relevant document from the bank`s country (seat) confirming the right to conduct banking operations and a notification submitted to the Banking Supervision Commission about conductingactivities in the territory of the Republic of Poland in the form of a branch or as part of cross-border activities;

1.3. information from the National Criminal Register in the scope specified in art. 24 paragraph 1 item 13 or 14 of the Public Procurement Law, issued not earlier than 6 months before the deadline for submitting bids;

1.4. information from the National Criminal Register in the scope specified in art. 24 paragraph 1 point 21 of the ActPublic Procurement Law (collective entities), issued not earlier than 6 months before the deadline for submission of tenders.

1.5. a certificate from the competent head of the tax office confirming that the Contractor is not in arrears with taxes, issued not earlier than 3 months before the deadline for submitting bids or other documentntu confirming that the Contractor has entered into an agreement with the competent tax authority regarding the repayment of these receivables together with any interest or fines, in particular, he obtained the exemption, deferral or installment of overdue payments provided for by law or withholding in full the execution of the decision of the competent authority;

1.6. certificate of the appropriate field organizational unitSocial Insurance Institution or Agricultural Social Insurance Fund (Kasa Rolniczego Ubezpieczenia Społecznego) or other document confirming that the Contractor is not in arrears with payment of social security or health insurance contributions, issued not earlier than 3 months before the deadline for submission of tenders, or another document confirming that the Contractor has concluded an agreement with the competent authority regarding these repaymentsin addition to any interest or fines, in particular, he obtained the exemption provided for by law, deferment or installment of overdue payments or suspension of the entire execution of the decision of the competent authority;

1.7. an excerpt from the relevant register or from the central register and information on economic activity, if separate provisions require an entry in the register or the register, into confirm the absence of grounds for exclusion under Article 24 paragraph 5 point 1 of the Public Procurement Law;

1.8. the Contractor`s statement of the lack of a decision against him as a preventive measure forbidding public procurement;

1.9. the Contractor`s statement that he has not issued a final court judgment or final administrative decision regarding late payment of taxes, fees orsocial security or health insurance contributions, or in the event of such a judgment or decision being made showing documents confirming payment of these claims together with any interest or fines or concluding a binding agreement on the repayment of these debts;

1.10. the Contractor`s declaration of non-payment of local taxes and fees referred to in the Act of 12.11991 on local taxes and fees (i.e. Journal of Laws of 2018, item 1445, as amended);

1.11. the Contractor`s statement on belonging or not belonging to the same capital group; in the case of belonging to the same capital group, the Contractor may submit, together with a statement, documents or information confirming that links with another Contractor do not lead to distortion of competitionentities in proceedings.

2. If the Contractor has its registered office or place of residence outside the territory of the Republic of Poland, instead of:

2.1. documents referred to in points 1.3 and 1.4 submit information from the relevant register or, in the absence of such register, another equivalent document issued by the competent judicial or administrative authority of the country in which the Contractor has its registered office or place of exchangeapartment or place of residence has a person to whom the information or document relates, to the extent specified in art. 24 paragraph 1 item 13, 14 and 21 of the Public Procurement Law;

2.2. documents referred to in items 1.5, 1.6 and 1.7 shall submit a document or documents issued in the country in which the Contractor has its registered office or place of residence, confirming respectively that:

2.2.1. is not in arrears with taxes, fees, or warehousesk for social or health insurance or that it has entered into an agreement with the competent authority regarding the repayment of these receivables together with any interest or fines, in particular, he obtained the exemption, deferral or installment of overdue payments provided for by law or withholding in full the decision of the competent authority,

2.2 .2. its liquidation was not opened or announced to himbankruptcy.

II. Detailed information on the manner of communication between the Employer and the Contractors, submission of declarations and documents, how to prepare the offer and the form of declarations and documents are specified in the ToR. Basic information is provided below:

1. The contractor is obliged to submit together with the offer:

a) a uniform European documentt Order (EAT), the Contractor is obliged to submit under pain of nullity in electronic form signed by a qualified electronic signature;

b) (if applicable) the third party`s obligation to provide resources, the Contractor is obliged to submit in electronic form signed by a qualified electronic signature signed by the entity, on resources cited by W.contractor or an electronically certified copy of the document.

c) (if applicable) a power of attorney for the person signing the offer or the attorney of Contractors jointly applying for the award of the contract, The power of attorney must be submitted in electronic form in the original or a notarized copy of the document bearing a qualified electronic signature.
